MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:


This Memorandum of Agreement is made and entered into on this ___ of
___________________ 2023 by and . between the following Parties identified as:

MARGIE DE JESUS WONG, of legal age, Filipino, and a resident of Malesido Homes General
Santos, Philippines, referred herein as First Party.
-And-

OLIVER SAGUIBAL, of legal age, married, Filipino and a resident of Davao City, Philippines,
referred herein as Second Party.

WITNISSETH

WHEREAS, the First Party engages in Petroleum trading business in the Philippines. It
has legitimate huge fuel supplier in Singapore. It secures with full and legal
responsibility that fuel supply sources are available to be delivered locally to cater
buyers. Further, it offers to the Partners herein this lucrative business ventures for a
possible income by extending it's market resources.
WHEREAS, the Second Party represents himself to the knowledge of the First Party his
willingness to extend Marketing support support by looking legitimate buyers locally with full
legal responsibility that marketing sources or buyers are ready and available to purchase the
available supply.

WHEREAS, The Second Party herein hereby accepts the offer of the First Partner for the fuel
buyers provider .
WHEREAS, the First Party hereby declares, under full penalty of perjury that each Bank
Guarantee/Standby letter of Credit will be backed by good, clean, cleared, and of non criminal
origin cash fund, free and clear of all items, encumbrances and any third party interests.

WHEREAS, the First Party acknowledge that as far as possible the fuel buyers will be
exclusively provided by the Second Party.

NOW, THEREFORE, for and in consideration of the premises and mutual covenants, the Parties
hereto have agreed as follows:

THAT, First Party is ready, willing and able to provide necessary documents relative to the
good/ fuel order for the validity of the transaction involved.

THAT, First Party is determined to give and distribute the agreed commission shares of the
Second Party free of any fraud and misrepresentation.

THAT, the Second Party is willing and able to provide ready and legitimate local buyers upon
signing of this agreement.

SHARING ALLOCATION:
That the First Party shall give 1 peso per liter commission share plus .50 pesos share for his staff and personnel.
THAT the share shall be given every success of the delivery to the buyer or upon payment made buy the buyer.
computations of the commission shall be communicated tol the parties herein.

THAT the payment of the total amount shall be in the form of cash or corporate check.

Duration of Contract:

Tis agreement shall continue to effect for the whole year and renewable fro another year upon
the consent of both parties.

GENERAL PROVISION:

1. 1.JURISDICTION: This Contract Agreement shall be interpreted according to the PHILIPPINE


laws . Wherever possible, each provision of the Contract Agreement shall be interpreted in
such a manner as to be effective and valid under applicable law, but if any provision of the
Contract Agreement shall be prohibited by or invalidated under any applicable law it shall
only be invalid to the extent that it is prohibited or invalidated. Misunderstanding shall be
settled first amicably.

2. NOTICES: All notices and Amendment(s) to this Contract Agreement shall be valid
and binding only if made by mutual consent in writing in the English language. Contract
Agreement reached between signatories of the Parties and exchanged by fax or email
shall be considered as effective written agreement.

4. NON-DISCLOSURE AND NON-CIRCUMVENTION: The Parties are to be bound


and to abide by the Non-Circumvention Non-Disclosure rules that shall apply to this
Contract Agreement for a period of five (5) years, no matter whether direct or indirect.

5. REPRESENTATION: The Parties hereby affirm and attest that each has the
authority to accept and execute this Contract Agreement and to be bound by its terms and
conditions.

6. CONFIDENTIALITY: All the Parties must respect the privacy of this contract and
shall not divulge or communicate to the party who are privy to this agreement.
