The Contract value for Design, Supply, Installation, Testing Commissioning and Maintenance of Advance Traffic Management System (ATMS) in all respect. is (Including 2 Years DLP & 13 Years AMC) The terms and conditions for execution of the Sub-Contract work are as per Annexure-1. Employer! Client means National Highways Authority of India(“NHAI”) having its office at G 5&6, Sector-10, Dwarka,New Delhi - 110 075 or it's assigns or ‘successors or authorized representative for Ausa Chakur Projects. 1.4 Concession Agreement means the contract Agreement executed between the Client and the Concessionaire. 4.5 Project Site means- Ausa Chakur Road Project 4.6 Engineer! Consultant mean the authorized technical representative of the Employer and shall have the same meaning as defined in the Main Contract. 1.7 Contractor means M/s Gangamai Industries and Construction Limited (“GIACL") and it's assigns or successors or authorized representative having its registered office at 2nd Floor, Tapadiya Terraces, Adalat Road, Aurangabad 431001 <~)}) 4.8 Sub Contractor means the agency appointed by the Contractor for execution ‘of the Scope of the Works as defined herein i.e. M/s LogicMo Systems Private Limited. 1.9 Sub Contract agreement means: The several documents forming the *Sub Contract”, listed in the Sub Contract Agreement, are to be taken as mutually explanatory of one another unless otherwise provided in the Sub Contract; the priority of the documents forming the Contract shall be in descending order as follows: 1. This Special Conditions of the Sub Contract. 2. Concession Agreement 1.10 Singular & Plural ~ Singular shall have the same meaning as that of plural and vice versa as defined in the Concession Agreement. 1.11 Article ~ Article Headings and numbers are for reference only and shall be ignored when construing the meaning of any provision of this Contract agreement. Page 2 of 19 PDF Eraser Free 112 Sub Contract Price means Price stated in the letter of acceptance/ Sub Contract agreement’ Bill of Quantities/Work Order and or as adjusted in accordance with the provision of Sub Contract Agreement 1.13 Drawings means all drawings, calculations and technical information of a like nature under the Sub contract agreement/ Concession Agreement and all drawings, calculations, samples, patterns, models, operation and maintenance manuals and other technical information of a like nature submitted by the Sub Contractor and approved by the Contractor /Concessionaire and Employer/Engineer. 1.14 Specifications means the specification applicable for the Sub Contract Works included in the Concession Agreement and any modification thereof or addition thereto made or submitted by the Contractor/Sub Contractor and approved by the Contractor /Employer. 1.45 Bill of Quantities (“BOQ”) means the priced and completed bill of quantities forming part of this contract. (The BOQ is for reference Only) 1.16 Sub Contract Works means the works to be executed, items and / or activities to be provided / carried out, and / or services and activities to be performed in accordance with the Sub Contract agreement issued to the Sub Contractor defined under “Scope of Works” in the Sub Contract agreement or part(s) thereof as the case may be and shall include all extra or additional, altered or substituted or temporary works as required for performance of the Sub Contract agreement and urgent measures which in the opinion of Contractor! Concessionaire become necessary during the process of work to obviate any risk of accident or failure Article No. 2. Scope of works: Tumkey Job for Design, Supply, Installation, Testing, Commissioning and Maintenance of Advance Traffic Management System (ATMS) in relation to road Construction work from km. 56+836 to Km, 1144345 including Fifteen years warranty. SAC Code 997331 Article No. 3. Scope of Sub Contractor a) Civil work of control room with power supply at one location in the control room shall be provided by GIACL. Power supply for functioning of equipment's (excluding ECBs) along the project length at predetermined locations at outer edge of carriageway/median as possible shall be provided by GIACL. Rating of Power requirement for all such locations will have to be provided by LMSPL. The locations for the same shall be finalized and got approved from GIACL Power Fequired during installation of ATMS. b) The OFC ducts laid in open median along the structures like bridges shall be passed through HDPE pipes properly clamped to the structure using anchor and fasteners. Chamber for duct laying is in LMSPL scope. GIACL has laid the approx. 20 km OFC duct pipe, which will be deduct from your RA Bill as per certified rate in Work Order BOQ Sr. No. 4.1. Joint inspection of the OFC duct pipe laid by GIACL to be conducted & Deductions of only OFC Duct on the basis of the survey & material purchased by GIACL and OFC duct installation charges as per mutual agreed rates, PDF Eraser Free ©) The scope of work shall also include all such items which are not specifically mentioned in the work order, but which are necessary for the satisfactory completion of the entire scope of work defined in Concession Agreement unless otherwise specifically excluded from the scope in the work but as per limited scope of work of LMSPL. d) LMSPL shall have to depute one engineer to supervise civil work and other allied work as per drawings, layout will be provided by us. ) LMSPL shall have to prepare detail ATMS drawing with equipment planning with specification for approval from authority engineer/NHAI f) LMSPL have given details specification and make of equipment to be used for approval of Authority Engineer, and get approvals for installation. Work to be carried out strictly as per the approved drawings, make, specification, The Reference pillars & lines to be preserved during the course of work. Proper control on quality & progress to be exercised, to the full satisfaction of Engineer, In- charge or Supervising Authority. The work will be supervised by the team of Independent Engineer & NHAL g) All the major & Minor civil work required at site (excluding chamber for duct) shall be in GIACL scope. LMSPL shall assist the site team for marking of the foundation etc. h) During execution of subject work, storage space for all electronic items of ATMS equipments til installation will be arranged & managed by LMSPL at LMSPL's own cost and risk, During execution of work and before handing over of ATMS to A) GIACL, it will be LMSPL sole responsibility to preserve all the ATMS equipment except any physical damages & Theft to any installed ATMS equipment . i) i) In case of repetition of works or rework due to improper work as per specifications, it wil be LMSPL responsibility to rectify the same at LMSPL own cost up to the satisfaction of Engineer In charge / Independent Engineer. ) Taking approvals for drawings, Make, Specifications and related correspondence for the same with Independent Engineer! NHAI shall be the responsibility of LMSPL. However, all Correspondence and communication with Independent Engineer! NHAI shall be routed through GIACL. LMSPL will take all measures to meet the requirements mentioned in the Concession agreement. k) LMSPL is solely responsible for the preparation of proposal and design & drawing of any Change of Scope (COS) implemented by NHAI and payment of COS will be done after getting approval to the COS from Authority. Article N IACL Scop a) The excavation in all sort of soil including road crust, soft rock and back filling to requited density, levels of the trenches as per drawing and specifications will be done by GIACL. PDF Eraser Free b) All Civil works such as Excavation, Backfiling, Foundation, concrete ete. Fequired for installation and satisfactory commissioning of the system will be done by GIACL. ©) GIACL will provide Hydra, Crane as required for the work during installation 4) GIACL to provide Transportation required for movement of equipments from storage location to field location. €) Reinforcement Steel (HYSD) and Concrete for foundation of Equipment for ATMS. 1) Water for Curing of Concrete works. Article No. 5. Storage & Security of delivered goods at Site: a) GIACL will provide Storage Place for Poles, Gantry & other heavy material at their site campus. Storage & security of all electronic items til installation are in the scope of LMISPL. GIACL is not responsible for any physical damages & Theft happen at Storage place which provided by GIACL. Article No. 6. Delivery and Completion Perios a) The delivery of the equipment's should be arranged in such way so as to complete the total scope of work on or before 20 January 2023 considering the availability of site & prerequisites completed by GIACL. Article No. 7. Defect Liability Period / Warranty a) Defect Liability Period / Warranty for the civil-works, equipment’s supplied and installed shall be for Fifteen Years from the date of satisfactory commissioning & taking over of the system whichever is earlier. Any repair, maintenance, routine maintenance, periodic maintenance (including supply of parts required to put ATMS in original condition) required for satisfactory working of the system during the defect liability / warranty period will be carried by LMSPL, the cost of same is included in the Contract Price. LMSPL shall provide the maintenance manual and schedule and get it approved from the competent authority for implementation before the Commissioning of the whole system. However, GIACL will assist LMSPL in getting any special approval if necessary. ©) During DLP / Warranty Period, LMSPL shall be fully responsible for upkeep, teplacement, repair etc of any or all the parts within the agreed time but in no case more than 3 days subject to availability of spares at site (For not available material transit time at actual) of any failure / non-funetionality noticed. Cost of all such works are deemed to be inclusive in Contract Price PDF Eraser Free d) Defect liability period of 24 months will be considered from the date of installation & commissioning of equipment by LMSPL. Commissioning/SAT to happen within 15 days from the date of installation. e) DLP & AMC does not include any consumable items ie. Keyboard, Antivirus, 3 party licenses, UPS batteries etc. and any physical damages/Theft to any ATMS. equipment f) Any damage caused due to unstable power supply, surge/spike, lightning to electronic circuitry shall not be covered under our warranty / DLP & AMC. 9) Client shall ensure proper electrification and electrical protection for ATMS ‘equipments throughout project life cycle with stable power supply. h) Force Majeure: LMSPL will not be liable for any default towards agreed services under this agreement, due to the reasons caused by conditions beyond its feasonable control, including but not limited to the acts of God, Government restrictions, Strikes, Pandemic, Covid 19, Floods, Work stoppages on account of certain specific reasons, fires, etc. Force majeure conditions shall be applicable during supply, installation, commissioning, Warranty, Maintenance phase. Article No. 8. Training: a) Basic training of System Operation will be given by LMSPL at the time of handing over. GIACL will identify the key personnel for such activity and will inform LMSPL 10 days in advance. Four sets of Training material & a soft copy of Training Material shall be provided by LMSPL. )) ®) Proper Control of Quality & Progress to be exercised, to the full satisfaction of the Engineer-in-charge, Independent Engineer or NHAI. The reference pillars and fines to be preserved during the course of work. LMSPL will take all necessary care to prevent and preserve all utility lines and cables in and around LMSPL working stretch and instruct LMSPL staff, operators and labours accordingly. b) Alll software supplied / loaded in the systems shall be licensed version and original licenses shall be submitted to GIACL. All software licenses shall be valid for minimum 15 years from the handing over date and User passwords used shall be informed to our authorized representative. Comprehensive manual for operating the system shall be submitted by LMSPL ©) LMSPL should safe guard LMSPL's materials and equipment tll erection work. For this purpose, LMSPL shall deploy proper Watch and Ward to safe guard all materials and equipment being used for the work. No claims / payments will be entertained arising out of any thefts that may occur at site till erection d) Any damages occurring due to deliberate cutting of OFC etc. arising out of vandalism /sabotagefany other reason during the Installation period will solely PDF Eraser Free GIACL responsibility and LMSPL shall bear no responsibility against the same. Replacement of Accidental damaged material to be provided by GIACL & reinstallation of such work activity in LMSPL scope based on mutual agreement ‘& quantum of work. No claims shall be entertained by GIACL from LMSPL. ©) The testing of materials/equipment’s, if any required as per specifications shall be carried out by LMSPL at LMSPL's own cost. Article No. 10. COMMENCEMENT AND COMPLETION a) Time for the execution of the Contract work will be reckoned from the date of issue of this Work Order. b) Time period for Contract Agreement is 05 (Five) Months including monsoon. The time limit for completion of project shall be extenced time to time based on the extension of time limits granted by the Authority ©) Ifnecessary additional equipment and other resources should be deployed to complete the work in scheduled time without any additional cost to the GIACL. Article No. 11. SUB CONTRACTOR'S GENERAL OBLIGATIONS, a) ‘The Sub Contractor confirms that the scope of work as agreed herein shall be carried ‘out by it in conformity with all the obligations and requirements as mentioned in the Concession Agreement as per limited scope of work of LMSPL. b) The Sub Contractor shall execute, complete and maintain the Sub Contract Works in accordance with the Sub Contract agreement and to the satisfaction of the Contractor, Engineer and the Concessionaire/Employer. The Sub Contractor shall exercise all reasonable skill, care and diligence in executing any part of the Sub Contractor Works for which Sub Contractor is responsible. If any contractor approval required to be taken from clients/Employer then contractor shall take approval before commencement of work at site ©) Save, where the provisions of the Sub Contract otherwise require, the Sub Contractor shall so execute, complete and maintain the Sub Contractor Works that no act of omission of it in relation thereto shall constitute, cause or contribute to any breach by i) the Sub Contractor of any of its obligations under the Concession Agreement and the Sub Contractor shal, save as aforesaid assume and perform hereunder all the obligations and liabilities of the Contractor under the Concession Agreement in relation to the Contract Works. Nothing herein shall be construed as creating any privity of Contract between the Sub Contractor and the Employer. ) ‘The Sub Contractor hereby acknowledges that any breach by Sub Contractor or their agents or employees in regard to scope of Sub Contract Work may result in the Sub Contractor's committing breaches of and becoming liable in damages under the Concession Agreement, the Parties shall discuss and agree as to the corresponding loss, if any, suffered by the Sub Contractor and measures to mitigate such loss. ©) All work shall be in accordance with the requirement of the Contractor, Concessionaire, Employer and Engineer. The work shall be executed with good’ workmanship & construction practices. No payment shall be made in respect of work not accepted by the Contractor! Employer! Engineer. Rejected work shall be removed and rectified by the Sub-Contractor at its own cost within the specified time frame. No extension of time shall be granted on this account. 1) Sub Contractor shall be responsible for all his labour of all tiers, and he shall ensure that their labour, plant and machinery are in keeping with high standard required. Any such contractor so engaged shall be with the prior concurtence of the Contractor. PDF Eraser Free 9) Sub Contractor shall be ready to work round the clock for meeting the targets set at no ‘extra cost to the Contractor. h) Coordination of the works ~ The Sub Contractor will take all measures necessary to co- ordinate its activities at the site of work with those of the Contractor and other contractors. In case of unavoidable interferences, the Contractor shall reasonably determine the priority of the works. i) Removal of Sub Contractor's personnel: - The Concessionaire/ Contractor can instruct the Sub Contractor to remove from the work any of its personnel on the ground of bad behavior, lack of competence or negligence. Article No. 12. NON PERFORMANCE a) Incase the Sub Contractor do not commence the work, or do not progress satisfactorily a per agreed time programme or do not maintain quality of work or neglect or do not comply with the GIACL instruction or do not make payments to its workmen or do not comply and observe the statutory laws of the place of work, then the GIACL reserves the right to take all or any of the following remedial measures: b) Reduction in Scope of Sub Contractor Work. ©) Get the work done executed by the GIACL or through any other agency at the Sub Contractor risk and cost and recover all loss or damage that may be sustained by the GIACL in such event. Article No. 13. LIQUIDATED DAMAGES The damages levied by Employer as per the Concession Agreement provisions for the ‘Subcontract Works shall be paid by the Sub Contractor corresponding to their scope of work Article No. 14. TERMINATIONS: a) In case you commit any default either due to persistent slow progress or due to abandoning of work without assigning any valid reasons acceptable to GIACL, GIACL. reserve the right to terminate this work order after due notice and reserve the right to get the work done from other exclusively at your risk and cost. In addition, the retention, amount will be forfeited, b) GIACL reserves the right to terminate this work order, if the Sub Contractor fails to provide the solution as per the requirement by providing notice which will have 45 days cure period. ©) It can be terminated mutually also. In such a case of termination, payment will be adjusted for damage / loss to the GIACL for non-performance by the Sub Contractor. Article No. 15. STAFF/ LABOUR DEPLOYMEN’ a) All activities related to LMSPL work including construction of Temporary office for LMSPL execution / field staff, and its working, labour camp, residential quarters, transit/transportation of LMSPL manpower and equipment will be done by LMSPL at LMSPL own cost with no extra amount payable, ») Alltype of diesel, oil, lubes for day-to-day working operation and maintenance of works and execution of works will be procured and managed by LMSPL. at LMSPL own cost. PDF Eraser Free ©) You will be responsible to observe labour laws and statutory regulations’ provisions like the contract regulations and Abolition’s act, minimum wages act, Payment wages act, work compensation act, in respects of your staff 9) Any demand/ penalties made on you, directly by the said authorities for any default shall be recovered from your running bills subject to scope of LMSPL & fulfilment of prerequisites from GIACL. ©) You shall take necessary steps to cover deployed employees, equipment list & machinery used during installation at site with insurance coverage with your cost towards any accident. Article No. 16. SAFETY & ENVIRONMEN’ Article No. 16. SAFETY & ENVIRONMENT: @) The Sub Contractor will ensure that proper precautions are taken by it as per Safety Health Environment as per the requirement of the Concessionaire Agreement. The Sub Contractor having understood the procedures and guidelines provided in Concession Agreement, any incidental cost of adhering to the norms is included in agreed unit rates ‘and the Sub Contractor explicitly agrees to it ») The Sub Contractor is expected to provide to his staff adequate PEP (personal protection equipment) including Safety shoes, reflective jacket Helmets. Article No. 17. Payment and Measuromet {Excluding 2 Years DLP & 13 Years Comprehensive AMC, a) 25% Advance along with Purchase Order. b) 15% Against system design documents, ©) 80% of the material value against delivered at site on pro rata basis Pa !) 5% on Commissioning and Satisfaction of Authority, €) _5% Retention money to be released on completion of SAT against submission of Bank Guaranty for One Year of equal amount. Payment and Measurement: {2 Years DLP & 13 Years Comprehensive AMC) Payment for the DLP & AMC period will be payable in biannual installment as decided by Management (Annexure-1) over a period of 15 years from commissioning, Article No. 18. ESCALATION: No claim on any variation or escalation will be entertained during entire contract period. Article No. 49. Taxation: @) Supplier! sub-contractor should correctly mention all requisite information on the invoice & GST portal as required under the GST laws including correct amount, place of supply, rate of tax, GSTIN of Company ete. ) Supplier! sub-contractor should that outward supply return (GSTR-1) is filled correctly and shall declare correct information on the raised to company and GST portal, in case PDF Eraser Free any mismatch the supplier shall promptly make amendments or such corrective ‘measure to ensure that company does not suffer any loss of credit due to such mismatch ©) The rates are exclusive of all types of taxes, duties, levies etc. and shall only include all costs of materials (consumables / non consumables), labour charges, transportation, equipment, tools & tackles, safely apparatus, supervision, overheads, profits and / of any other incidentals required for the execution of this contract. The quoted rates shall include cost of all the operations, including idiing/underutiization, shifting if any. Article No. 20. Tax Payment Supplier! sub-contractor shall get tax payment only after the invoice is uploaded by supplier in GST outward supply retum (GSTR-1) and credit of GST is available (reflected in GSTR- 2A) to company after filed the GSTR1 return property, For the aforesaid purpose, “Specified Documents" shall mean the following documents: - 1. Self certified copy of Screenshot of “Table 4 ie. B2B Invoices" of GSTR 1 (after clicking on our GST No,), displaying the details of invoices (such as invoice no , invoice date, taxable value & tax amount) raised by the Sub-contractor on Contractor 2. Self certified copy of screenshot of the filing status of GSTR1 retum of the Sub- contractor for the relevant month, The same can be obtained by sub-contractor after fogging on GST site & clicking on “Services '| Returns 1) View e-filed Returns” menu Article No. 21. IDLE CHARGES Idling charges will not be paid on any account whatsoever. Idling charges to be paid in case of Demobilization & mobilization due to work front not available Article No. 22 STATUTORY REQUIREMENTS a) All the statutory levies and requirement for taxes, duties, and the likes as applicable shall be borne by the Sub Contractor. b) Income tax as per existing requirement will be recovered from the Sub Contractor's payments, ©) The Sub Contractor shall in any manner provided by law, pay to every employee / ‘workman employed by him in connection with Construction Contract, wages at rates not less than the minimum rates fixed by the appropriate State Govt. under the minimum wages act, for the class of employees engaged in the work of similar nature to the one under the Construction Contract 4) Where the minimum wages are not fixed by State Govt., Sub Contractor shall pay to every employee / workman wage at rates not jess than the minimum rates fixed by the Central Govt. under the minimum wages act for the class of employees engaged in the work of similar nature to the one under the Construction Contract ©) The Sub Contractor in relation to its labour employed shall adhere to the provision of the Industrial Disputes Act and rules and regulations made there under and such other Acts, as may be applicable, shall indemnify and hold harmless the GIACL/ Concessionaire against any claims, legal action etc. arising out of any loss or damages caused to the workman / employee of the GIACI or during the occurrence of this Construction Contract or otherwise. Sub Contractor shall not engage labour below 18 years of age at work. 9) If the works entail carrying out biasting operation or explosive handling the Sub Contractor shall provide certified licensed blaster/s for carrying out all blasting operation and handling of explosives as per the Indian explosive act or any other related statutory laws. h) Sub Contractor has to provide every employees who have deployed at site their individual UAN, PF number and ESIC Number in Excel sheet. + Sub-Contractor need to submit following documents if applicable before the mobilization at site. » Shop & Establishment Certificate PF Registration ESIC Registration PT Registration Labour Welfare Registration GST Registration vyyyy Article No, 23. TRANSPORTATION AND INSURANCE a) Transportation and Insurance (Till commissioning, as per contract), Packing and forwarding, Loading and unloading tll Storage Location are included in this contract. All Insurance coverage at the project will be provided by the Sub Contractor under Workmen Compensation Act /policy as applicable, b) From commencement to the completion of the Sub Contracted Works, the Sub Contractor shall take the full responsibilty for the case thereof and taking precautions to prevent the loss or damages to the greatest extent possible and shall be liable for any ‘damage or loss that may happen to the Contracted Works or any part thereof shall at its own cost as per limited scope of work of LMSPL. ©) The Sub Contractor shall not be entitled fo payment under the above provisions in respect of so much loss or damage as has been occasioned by any failure on his part to Perform his obligations under the Contract or not taking precautions to prevent loss or damage or minimize such amount of loss or damages. The Sub Contractor shall purchase and maintain such insurance as necessary for its Plant and equipment and also liability arising from the use of such plant and equipment at his cost. The Sub Contractor shall furnish to the Contractor copies of policies of insurance and receipt for premium paid and other connected documents and shall produce whenever required to the Concessionaire/ Contractor. ‘Transit Insurance of ATMS equipments till delivery at Storage location in LMSPL| scope. Post delivery Insurance will be in GIACL scope ©) Any other Insurance required for this Sub Contract Works but not covered above shall be the Sub Contractors’ responsibilty. The Sub Contractor shall indemnify the Concessionaire/ Contractor on this account. f) The Sub Contractor shall not sublet any works or part thereof without the prior written consent of the Contractor/Concessionaire and the Employer. 9) The Sub Contractor is aware that the Contractor/ Concessionaire has given an opportunity to work with it as a Sub Contractor vide this Sub Contract agreement. The Contractor is confident that the Sub Contractor will put in good performance and ensure that work is executed as expected in the subject Sub Contract agreement. SETTLEMENT OF DISPUTES ‘The decision of the Concessionaire/Employer/Engineer in respect of the following shall be final, conclusive and binding on the Sub Contractor and shall not be subject to any remedy by way of appeal. a. Approval of Materials; b. Scope of work and its progressive execution during the tenure of the Sub Contract, ©. Rates and prices of work covering all obligations of the contractor under the Sub Contract and all materials and things necessary for the proper completion and maintenance of the works: 4.
