Sale Agreement
BETWEEN:
1. JACOB WAMBUA MUNYAMBU of Identity Card Number 9639521 and of P.O BOX
……..… in the Republic of Kenya.
AND
3. ISAAC KITHEKA MASILA of Identity Card Number 11052147 and of P.O BOX 192
MAKINDU in the Republic of Kenya.
4. AGNES KITHEKA of Identity Card Number 13616948 and of P.O BOX 192
MAKINDU in the Republic of Kenya. (hereinafter referred to as “the Purchasers” which
includes personal representatives, assigns, nominees, or nominees) on the other part.
WHEREAS;
a) The Vendors are owners of ALL THAT piece of land situated Waselu area of Mulilii off
Makindu-Wote Road in Makindu within Makueni County within the Republic of
Kenya containing by measurements zero nought Five acres (0.5) Acres or thereabouts
being title number MAKINDU/KISINGO/562 (hereinafter called the “Property”).
b) The Vendors has agreed to sell, and the Purchasers has agreed to the property for a
Consideration of Kshs. 92,000/= (Ninety Two Thousand Shillings)and upon the terms
and conditions hereinafter appearing.
1. The property sold is ALL THAT piece of land located Waselu area of Mulilii off
Makindu-Wote Road in Makindu within Makueni County in the Republic of Kenya
containing by measurement ½ (half) an acre or thereabouts being parcel of land number
MAKINDU/KISINGO/562 (hereinafter referred to as “the Property”).
3. The Purchase Price is Kshs. 92,000/= (Ninety Two Thousand Shillings) which shall be paid
to the vendors in full upon execution of this Agreement.
4. Upon payment of the deposit, the purchaser shall be at liberty to take possession and develop
the property.
5. The sale is subject to the Law Society of Kenya Conditions of Sale (2015 Edition) in so far as
they are not inconsistent with the conditions contained in this Agreement.
6. Subject to the terms of this Agreement, the Advocates on record shall facilitate all the terms
set out in this agreement.
7. The Advocates on record for the purchasers herein MWANGANGI & ASSOCIATES,
SKYGO MALL, 3RD FLOOR, OFFICE NO. 25, MLOLONGO, OFF NRB-MSA
ROAD, BEHIND 3DS HOTEL, P. O. BOX 49943-00100, NAIROBI (hereinafter referred
to as the Advocates").
9. The Property is sold subject to the easements conditions restrictions and other matters subject
to which the Vendor holds the absolute proprietorship interest but otherwise free from all
encumbrances.
SPECIAL CONDITIONS
1. On or before the Completion Date, the Vendor shall have delivered to the Purchaser:
(i) All documents of the title relating to the Property which are in the Vendor’s
possession;
2. Time shall be deemed to be of the essence for all purposes of this agreement.
3. The Purchaser has inspected the Property and is satisfied with the same. The Vendor shall
also be required to point out to the Purchaser the beacons of the Property.
4. The seller guarantees that the land is not subject to any criminal or civil proceedings and is
not in any way subject to any repossession from any person, entity and/or any government
agency.
