Mercor Terms of Work

This Agreement is made between Pulkit garg ("Worker") and Mercor.io Corporation (“Mercor”). Worker may perform
services for one of Mercor's clients, partners, and contacts ("Client").

Statement of work
Worker acknowledges that Mercor may present Worker with job opportunities. This agreement governs the terms of this
relationship before and after accepting any job opportunities from Mercor. This statement of work may be shown on Worker's
Mercor dashboard, written over email, or written over text.

Non-circumvention
Worker acknowledges that Mercor has a proprietary interest in the relationships it has with its clients, partners, and contacts.
Worker understands that they may be introduced to these parties directly or indirectly through the course of their work. Worker
agrees not to work directly or indirectly, in a paid or unpaid capacity, for any individual, company, or organization that Mercor
introduces them to during the term of their engagement and for a period of 2 years following the termination of their engagement
with Mercor, without obtaining the prior written consent of Mercor. Any breach of this provision shall be considered a material
breach of this agreement and may result in disciplinary action.

Full-time obligations
If Worker accepts a statement of work for a client, Worker will reasonably execute Client's tasks and work efficiently for agreed-
upon hours. Worker should be able to produce supporting evidence to demonstrate quality and quantity of work completed. If
Worker engages in full-time work for Client now or at a later date, Worker shall not, without the express written consent of Client,
engage in any other employment, business, or professional activity that is classified as full-time or requires a time commitment
equivalent to full-time employment with any other employer. Full-time employment is defined for the purposes of this agreement
as an engagement that requires 40 hours or more of work per week. Any breach of this provision shall be considered a material
breach of this agreement and may result in disciplinary action.

Payment
Mercor agrees to pay Worker the amount specified in the statement of work on every Friday until contract termination upon the
successful completion of services. The first payment for that work will be on the first Friday after work begins. The first payment
will be the weekly pay rate prorated based on the start date. This payment will be prorated on a 7 day schedule, including
Saturday and Sunday. This means a worker starting on Wednesday, then working Wednesday, Thursday, and Friday will receive
3/7ths of their weekly compensation on Friday.

Tax Compliance
Worker shall be solely responsible for the filing of all tax returns, and the payment of all taxes, assessments, and contributions,
including but not limited to federal and state income taxes, self-employment taxes, social security taxes, sales tax, and any other
taxes or business-related fees that are legally required in the jurisdiction of Worker's business operation or residence. Worker
agrees to comply with all applicable tax laws and regulations in a timely manner, and to indemnify and hold Mercor harmless
from any and all liability, penalties, fees, damages, or costs that may arise due to Worker's failure to comply with such tax
obligations.

Term of Agreement
This agreement will become effective when signed by both parties and will terminate on the date a party terminates the
Agreement as provided below. Worker is an independent contractor, and is not Mercor's nor Client's employee. To the maximum
extent permitted by applicable law, Mercor shall not be liable for any claims, damages, or liabilities arising out of or related to the
services provided by Mercor under this agreement, whether as a result of breach of contract, tort, or any other legal theory.
