WITNESSETH
THAT, the COMPANY is willing to accommodate the request of the school/establishment and to
allow the on-the-job trainee to undergo practical training, subject to thefollowing terms and
conditions:
1. During the period of his/her internship, the COMPANY shall not be bound to pay the intern/
on-the-job trainee any salary, allowance or compensation but may do so if it wishes.
2. The intern/ on-the-job trainee shall abide by all rules and regulations observed by the
COMPANY employees during his/her period of internship and shall exercise care and
diligence in the task assigned to him/her
3. The COMPANY shall exclusively own any output or product (tangible or intangible)
produced by intern/ on-the-job trainee as a product of his performance of tasks or duties
assigned to him or her during period of internship
4. The COMPANY shall not in any way be held liable for injury/ies
and/or accident/s that the intern/ on-the-job trainee may suffer in the course of his/her
training.
5. The COMPANY shall be held free and harmless from any liability for
damage or injury to third parties who may be occasioned by intentional or negligent act of the
intern/ on-the-job trainee.
6. The intern/ on-the-job trainee or, if a minor, his/her PARENT or GUARDIAN, binds
himself/herself to indemnify the COMPANY for damages which may be caused on any
property by the intern/ on-the-job trainee intentional or negligent acts.
7. It is clearly understood that during the period of his/her internship/training and
presence in the COMPANY, no employer-employee relationship exists between the intern or
on-the-job trainee and the COMPANY.
8. The intern/ on-the-job trainee with respect to the Intellectual Property and/ Confidential
Information (as defined below) owned by the Company to which Intern may have access or
may contribute as a result of Intern's training with the Company and setting forth the
(a) Intern shall not disclose or use at any time, either during his training and/or internship
with the Company or thereafter, any Confidential Information both manual and digital
(as defined below) of which Intern is or becomes aware, whether or not such information
is developed by him, except to the extent that such disclosure or use is directly related to
and required by Intern 's performance of duties assigned to Intern by the Company. Intern
shall take all appropriate steps to safeguard Confidential Information and to protect it
against disclosure, misuse, espionage, loss and theft.
(b) As used in this Agreement, the term "Confidential Information" means all
confidential or proprietary knowledge or information that belongs to or is in the
possession of the Company or its affiliates and any information that is not generally
known to the public and that is used, developed or obtained by the Company in
connection with its business, including but not limited to (i) Company performance,
strategic and business plans and objectives, (ii) research and data (including but not
limited to research, technical, clinical, personnel and financial), (iii) marketing and sales
materials (including but not limited to proposals, computations, plans and activities) (iv)
operating procedures, (v) equipment mix, (vi) training, support and maintenance
procedures, (vii) financing sources and practices, (viii) shareholder and partner lists and
information, (ix) designs, drawings, photographs and reports, (x) computer software,
including operating systems, applications and program listings, (xi) flow charts, manuals
and documentation, (xii) data bases and digital maps, (xiii) accounting and business
methods, (xiv) customer lists, profile and history, (xv) copyrightable works, (xvi) all
technology and trade secrets, designs, and (xvii) codes, programs, procedures, protocols,
concepts, specifications, systems, procedures, processes, methods, developments,
designs, techniques, work, material, analyses, compilations, evaluations, graphs, charts,
studies, other documents, know-how and trade secrets, whether prepared by the
Company or its affiliates, consultants, advisors, agents or attorneys and whether tangible
or intangible.
(c) Confidential Information shall not include any information that has been published in
a form generally available to the public prior to the date Intern proposes to disclose or
use such information. Information shall not be deemed to have been published merely
because individual portions of the information have been separately published, but only
if all material features comprising such information have been published in combination.
(a) In the event that Intern as part of his activities on behalf of the Company generates,
authors or contributes to any invention, design, new development, device, product,
method or process (whether or not patentable, or reduced to practice or comprising
Confidential Information), any copyrightable work (whether or not comprising
Confidential Information) or any other form of Confidential Information relating directly
or indirectly to the Company's business as now or hereinafter conducted (collectively,
"Intellectual Property"), Intern acknowledges that such Intellectual Property is the
As requested by the Company from time to time and upon the end of the Intern’s training
or internship with the Company, Intern shall promptly deliver to the Company all copies
and embodiments, in whatever form, of all Confidential Information and Intellectual
Property in Intern 's possession or within his/her control (including, but not limited to,
written/digital records, notes, photographs, manuals, notebooks, documentation, program
listings, flow charts, magnetic media, disks, diskettes, tapes and all other materials
containing any Confidential Information.
The Intern agrees that it will not in any manner use or utilize any documents, materials,
or resources of the Company such as source codes, digital graphics, other confidential
information and the likes. Intern will surrender all source codes and other similar
documents to the Company and will not keep any hard nor soft copies of the said source
codes and other similar materials or confidential information.
