Power of Attorney
This General Power of Attorney (the "Power of Attorney") is made and effective 15th March 2024,
BETWEEN: Nauzet Doramas del Rosario Quintana, with an address of Teruel street
55, Santa Lucia de Tirajana, Las Palmas, hereinafter referred to as the
"Principal". DNI 42200770W
AND: Arturo Palafox Sferruzza, with an address of Poligono street 10 209,
Madrid, hereinafter referred to as the "Agent", collectively referred to as the
"Parties". DNI 43464542Q
APPOINTMENT OF AGENT
I, the Principal, with full decision-making capacity, hereby appoint the named Agent to act on my
behalf, to make any and all decisions, and to control and manage my affairs without any limitation.
The Agent shall have the authority to act on my behalf and in my name, place, and stead in any
way which I myself could do, if I were personally present, with respect to the following matters as
each of them is defined below:
POWERS OF AGENT
The Agent is granted the authority to act on behalf of the Principal in the following matters, with
the option to delegate such authority to third parties, subject to the limitations and conditions
outlined for each power:
1. Legal Matters: The Agent has the authority to represent the Principal's interests in all legal
proceedings, including civil, criminal, administrative, or investigative matters. The Agent
may engage in any legal action necessary to protect the Principal's personal and property
rights. The Agent may consult with legal professionals but is responsible for decisions
related to legal matters.
2. Tax Matters: The Agent is permitted to prepare, review, and file all types of tax forms,
including returns, reports, declarations, and related documents. Additionally, the Agent may
act on behalf of the Principal in all tax-related matters with appropriate authorities and may
receive confidential information. The Agent may engage tax professionals as needed but
remains accountable for tax-related decisions.
3. Legal, Trust, and Other Beneficiary Transactions: The Agent is authorized to engage in
all conduct related to the Principal's interests in legal and trusts, including decisions
regarding claiming, relinquishing, disclaiming, ratifying, or contesting inheritance rights.
The Agent may involve qualified professionals but remains responsible for beneficiary
transactions.
4. Insurance and Annuity Transactions: The Agent may examine, secure, modify, or
terminate any type of insurance or annuity contracts or proposals. The Agent can act on
behalf of the Principal in all insurance matters, including payment of premiums and receipt
of benefits. Delegation of specific tasks to insurance professionals is permitted, but ultimate
accountability rests with the Agent
DURABILITY
This Power of Attorney will continue to be effective if I become legally incapacitated or disabled,
as defined by the laws of the jurisdiction in which it is executed. The authority granted to my
Agent will persist throughout my lifetime unless I revoke it when I am capable of making my own
decisions.
TERMINATION OF POWERS
In addition to the revocation provisions outlined elsewhere in this Power of Attorney, the authority
granted to my Agent will cease to be effective under the following conditions:
1. Death of the Principal: The Agent's authority under this Power of Attorney shall
automatically terminate upon the death of the Principal.
2. Bankruptcy of the Agent: If the Agent files for bankruptcy or becomes insolvent, their
authority to act on behalf of the Principal in financial matters shall be terminated.
3. Resignation or Ineligibility of the Agent: If the Agent resigns, becomes ineligible, or is
otherwise unable or unwilling to fulfill their responsibilities as Agent, their authority shall
terminate, and a successor Agent, if designated, shall assume the responsibilities. If no
successor Agent is named, the Principal or a court of competent jurisdiction shall appoint a
new Agent.
4. Expiration of the Term: If a specific term is specified for the Power of Attorney, the
authority granted herein shall automatically terminate upon the expiration of that term,
unless renewed or extended by the Principal.
THIRD PARTIES
All persons, corporations, or entities that rely on the validity of this Power of Attorney will be
indemnified and held harmless from any loss suffered as a result of their reliance on any actions
taken by my Agent under this Power of Attorney.
REVOCATION
This Power of Attorney is revocable by me at any time when I am of sound mind and capable of
making my own decisions. The revocation must be in writing and may require the same formalities
as this Power of Attorney.
GOVERNING LAW
This Power of Attorney will be governed by the laws of the jurisdiction in which it is executed, as
such laws are applied to agreements made and to be performed entirely within such jurisdiction.
This document is to be interpreted and enforced in a manner that gives effect to the intent of the
parties to the fullest extent possible under applicable law.
SIGNATURES
This Power of Attorney is signed voluntarily, without any undue influence, and with a full
understanding of its significance and its consequences.
