TERMS AND CONDITIONS FOR CARRYING AND FORWARDING (C & F) AGENT CUM TRANSPORTER OF
AGRO CHEMICALS, SEEDS ,FERTILIZERS Etc. BY ROAD (ON ANNUAL CONTRACT BASIS) FOR TAMIL NADU,
KERALA & KARNATAKA STATES.
1. The tenderers should thoroughly go through the terms & conditions before submitting their
tenders.
2. Sealed tender to be submitted in the prescribed format, separately for Technical and Commercial
Bid with super scribed as “TECHNICAL BID” and “COMMERCIAL BID” respectively over envelope
and both the sealed bids should further be sealed in another envelope super scribed as “TENDER
FOR C & F AGENT CUM TRANSPORTER CONTRACT FOR TAMIL NADU”
3. Tender received after prescribed time and date shall not be accepted.
4. Tenders in sealed envelope will be received at HIL (India) Ltd, Date on 25.04.2024 at 18.00 hrs.
Technical bid will be opened on 26.04.2024 at 15.00 hrs. Tenders received after the due date and
time shall be summarily rejected.
5. Commercial bids of only technically qualified tenderers shall be opened on 29.04.2024 at 10.30 AM

7. In confirmation to acceptance of all the tender terms and conditions, the tenderer is required to
sign on all the pages of tender documents and submit with the offer along with Technical Bid.
8. Conditional tender shall not be accepted.
9. Commercial Bid should contain only rate in the prescribed form and all other details should be
given in Technical Bid only.
10. An affidavit confirming and declaring that no other Firm / Sister concerns / Associates belonging to
same group are participating in this tender and I/We hereby confirm/declare that the bidders, their
associates, sister concern etc. belonging to the same group have not been black listed/de-listed or
put on holiday by any institutional agencies/Govt. Department /Public Sector Undertaking or any
organization etc. in the last 2 (Two) years.
11. No arbitration should be pending with HIL (India) Limited at the time of submission of tender
documents.
12. EMD:
Tenderers must submit Earnest Money Deposit of Rs. 1, 00,000/- (One Lakh only). The tenderer
will have the option of submitting the EMD either in Demand Draft/Pay order favoring HIL (India)
Limited, Drawn on any Scheduled/Nationalized Bank payable at Coimbatore. The charges, if any for
online payment mode or for DD for submission of EMD will be borne by Tenderer.
EMD can also be deposited in HIL (India) Limited account through RTGS / NEFT and details of this
transaction with UTR No. to be submitted along with Technical Bid for verification.
No interest shall be payable by HIL (India) Limited on EMD/ Security Deposit amount.
HIL (India) Limited reserves the right to forfeit the Security Deposit (in part or full) in the event of
the failure of the C & F Cum Transporter to comply with the Terms and Conditions of the contract.
The Security Deposit or such part thereof which has not been forfeited or adjusted will be refunded
to the transporter only on expiry of the contract and on satisfactory completion of the work under
agreement and after deducting the outstanding dues, if any, against the transporter on account of
shortage, damages delayed lifting/delivery etc. HIL (India) Limited reserves the right to forfeit the
Security Deposit in the event of failure of transporter to produce acknowledgement copy of the
Lorry Receipt or Consignment Notes from the consignees or execution of the transportation job to
the HIL (India) Limited satisfaction.
14. HIL (India) Limited may not conduct any negotiation for the Bids far as possible. However, HIL
(India) Limited reserves the right to conduct negotiations with lowest bidder (L-1) as per relevant
rules amended from time to time.
15. It should be understood by the C & F Agent cum Transporter that the HIL (India) Limited’s goods
are of such nature the same can be damaged in transit due to various factors and after having
understood the same the losses are deductible from the bills of the C & F Agent cum Transporter
and/or from the amount of Security Deposit/EMD, and while doing so transportation charges will
also be proportionately disallowed for such of the quantities reported short/damaged. In the event
of HIL (India) Limited’s loss exceeding the amount of the Security Deposit and the bills which may
be payable to the C & F Agent cum Transporter the C & F Agent cum Transporter shall pay the
amount on demand from HIL (India) Limited without any dispute/demur.
16. HIL (India) Limited does not guarantee any specific volume of work at any time during the period of
the agreement. The agreement itself does not confer any right on the C & F Agent cum Transporter
to demand that the entire work should necessarily or exclusively be entrusted to him. HIL (India)
Limited reserves the right to appoint one or more C & F Agent cum Transporters and distribute the
work among them during the period of this agreement and no claim for compensation shall lie
against HIL (India) Limited on account of such division of work. No C & F Agent cum Transporter can
demand division of work but HIL (India) Limited may empanel/award the job at any time to more
than one C & F Agent cum Transporter at L-1 rates so that the movement of good/material is not
hampered due to non-availability of trucks.
17. Loading charges will be borne by HIL (India) Limited and unloading charges will be borne by C & F
Agent cum Transporter.
18. The C & F Agent cum Transporter will ensure that vehicle / truck entering into C & F Godown HIL
(India) Limited premises should have valid Pollution Control Certificate.
19. The C & F Agent cum Transporter has to provide Name of Contact person, Mobile Number, Fax
Numbers well as e-mail details so that dispatch instruction being sent by HIL (India) Limited
received by them / him immediately after its issue.
20. The C & F Agent cum Transporter shall make available the trucks and lift the consignment within 24
hours of intimation by HIL (India) Limited for movement within State and within 48 hours of
intimation by HIL (India) Limited for movement outside State. It shall be ensured by the contractor
that the entire consignment under the agreement is lifted within the dates intimated by HIL (India)
Limited on each occasion. If the C & F Agent cum Transporter fails to lift the stocks within above
period of HIL (India) Limited’s intimation, HIL (India) Limited shall have the right to impose a penalty
for delayed lifting at the rate of Two Percent of the freight charges per day per truck up to a
maximum of two days beyond which it shall be open to HIL (India) Limited to transport the goods
through any other C & F Agent cum Transporter. In that event, if HIL (India) Limited has to pay more
than the amount payable to the C & F Agent cum Transporter under this contract, the excess
amount paid shall be recovered/adjusted by HIL (India) Limited from the amount and/Security
Deposit at the credit of the C & F Agent cum Transporter. The receipt from the other C & F Agent
cum Transporter for payment by HIL (India) Limited on account of transporting the goods through
them shall be conclusive evidence of the amount so paid and the C & F Agent cum Transporter
under this contract shall without any dispute pay the excess amount either in cash/accept
recovery/adjustment from the amount at the credit of contractor.
21. The C & F Agent cum Transporter will have to inform the number of trucks owned by him with copy
of the valid registration of the vehicle issued by RTO. HIL (India) Limited may decide the capacity of
the C & F Agent cum Transporter for award of work.
22. The C & F Agent cum Transporter will be entirely responsible for obtaining the permits etc., (if any)
wherever necessary such as for interstate entry free passage etc., failure to obtain these forms
from consignor and the resultant delay will be entirely at the risk of the C & F Agent cum
Transporter and HIL (India) Limited is not liable to pay any charge on account of detention, storage
etc., en route for want of any permit/clearance.
23. The consignment shall be delivered by the C & F Agent cum Transporter at the consignee’s address
at the specified destination on door delivery basis during office hours i.e. 10.00 hours to 17.00
hours, on working days within days within the transit periods of 250 Kms per day. The transit period
is exclusive of the days of lifting (loading) and delivery (unloading). If delivery outside office hours
or on holidays is anticipated, the C & F Agent cum Transporter shall inform the consignee, in
writing, at least 48 hours in advance above such delivery to enable the consignee to make the
required arrangement.
However, neither the consignee nor the consignor shall be responsible if arrangements are not
made by the consignee for taking delivery of the consignment after the office hours or on holidays.
24. The transit period specified in Clause 22 above shall be deemed to be the essence of the contract.
The said period shall be legibly written on the LR/GC both in words and numbers. If the C & F Agent
cum Transporter fails to deliver the consignment within the time limit specified, HIL (India) Limited
shall have the right to levy a penalty as follows for delayed delivery.
IN CASE TOTAL PENALTY WOULD NOT EXCEED THE TOTAL FREIGHT PER TRUCK.
25. All the bookings will be on “To Be Billed” basis. The freight charges shall be destination wise
inclusive of statistical and bridge crossing charges. It shall be on per KG/LT.

LOWEST TENDERER (L-1) WILL BE DETERMINED ON THE BASIS OF OVERALL LOWEST RATE OF ALL
DESTINATION PUT TOGETHER CALCULATED FROM THE ABOVE TABLES. INCASE, MATERIAL IS
TRANPORTED TO ANY OTHER PLACE/RSO’S (AS PER ANNEXURE-I) NOT COVERED IN THE ABOVE LIST WILL
BE PAID AT THE RATE PER MT/KL PER KM CALCULATED THROUGH PROPORTIONATE BASIS OF NEAREST
DESTINATIONS AS PER TENDER.
26. For billing or payments KM calculation shall be based on shortest distance by the approved truck
road / highways Google Maps.
27. Payment will be made by RTGS on production of the certificate of receipt of the goods from the
consignee. The cost on account of shortage in the consignment, penalty for the late delivery of the
consignment and value of damages to the consignment will be deducted by the consignor before
making payment to the C & F Agent cum Transporter.
28. HIL (India) Limited reserves the right to deduct at source the Income Tax amount (TDS) from the
payment due to the C & F Agent cum Transporter according to the provisions of sec. 194C of the
Income Tax Act 1961 and rules framed there under as in force.
29. No detention charges will be payable for the first 24 hours of detention of trucks at the originating
station or at the destination station. For detention beyond 24 hours, HIL (India) Limited may pay
detention charges at reasonable rate but not exceeding 2% of the freight charges per working day
per truck provided it is sufficiently established that HIL (India) Limited alone is responsible for the
detention. In calculating the number of days of detention the days of placement/arrival of the truck
and that of loading/unloading shall be excluded.
30. If the consignment is delivered short of the destination or at some other destination unless
otherwise permitted by HIL (India) Limited in writing, HIL (India) Limited will not pay the freight
charges to the C & F Agent cum Transporter.
31. The C & F Agent cum Transporter shall not withhold the delivery of the consignment for any reason
whatsoever, and shall be solely responsible for any loss that HIL (India) Limited may sustain on
account of such non-delivery. In the event of non-delivery of the consignment at the destination
the C & F Agent cum Transporter shall bear the entire cost of the product/material and packing
material in full at the HIL (India) Limited‘s prevailing sale price along with the damages liable for
payment by HIL (India) Limited on the consignment due to non-supply of product/material to -
Dealers.
32. No transshipment is allowed in between the destinations. For any reason such as breakdown,
accident etc. if the truck is stranded beyond reasonable limits, the C & F Agent cum Transporter
should make alternative arrangements for safe transportation of the goods by road within the
delivery time limit prescribed already. Except the extraordinary justifiable situation such as
accident, breakdown, road blockage etc. no transshipment is allowed i.e. the truck received by the
consignee should be the same as that into which the stock was loaded by the consignor as
indicated in the LR. If and when transshipment is resorted to and the truck No is changed, the C & F
Agent cum Transporter shall justify the same to HIL (India) Limited’s satisfaction. For
delay/damages on account of transshipment not accepted by HIL (India) Limited, penalty shall be
twice the penalty prescribed for normal delay / damages.
33. No endorsement shall be made on the LR/GC to the effect the consignment is carried at the
“owner’s risk” and it should be on “Carrier’s Risk” only.
34. The C & F Agent cum Transporter shall ensure that (a) Hooks” are not used for handling the bags (b)
the trucks are covered with double tarpaulins which are perfectly water-proof, leak-proof and in
sound condition to avoid damage by rain etc. (c) the consignment is never exposed or kept open
and (d) the entire transportation is made only by road and not by any other mode of
transportation.
35. The agreement to which these terms and conditions form a part shall be in force till the job for
which the C & F Agent cum Transporter has been engaged is completed to the entire satisfaction of
HIL (India) Limited this can be extended on mutual consent in writing.
36. Rates agreed now are exclusive of GST etc., if any.
37. The terms and conditions as stated above shall be binding on the HIL (India) Limited and the C & F
Agent cum Transporter and their relationship shall be governed by the same. HIL (India) Limited
shall have the right to terminate the contract at any time during its currency after giving 10 days’
notice to the C & F Agent cum Transporter without assigning any reason whatsoever and C & F
Agent cum Transporter shall not be entitled to question the termination nor shall be entitled to any
compensation on this contract. In the event of C & F Agent cum Transporter being adjudged
insolvent or going liquidation or winding up his business or failing to observe any of the provisions
of the contract or is convicted or punished under the provisions of any statute, HIL (India) Limited,
shall be at liberty to terminate the contract without prejudice to any other rights or remedies under
contract and to get the work done for the un expired period of the contract at the risk and cost of
the C & F Agent cum Transporter and to claim from him any resultant loss sustained or costs
incurred.
38. The C & F Agent cum Transporter must submit the bill within two months otherwise 2% penalty will
be charged on total amount of bill.
39. In case of any change in rates of diesel there shall not be any change in the rate during the period
for which rates are approved by HIL (India) Limited.
40. The rates shall include all taxes but exclusive of GST (whichever is applicable at the time of tender
and tenure of contract) on transportation and would include comprehensive insurance charges
such as Road taxes, taxes if any on inter-state movement of trucks etc. and no increase in rates
would be permissible in such charges. The contractor shall indemnify the Company against levy of
any taxes/ charges etc. imposed by the Govt. or any authority which are in existence at the time of
submission of tender and also future statutory levies and the Contractor failed to deposit the same.
The Company shall have the right to recover the total amount of tax so assessed including litigation
expenses from contractor’s bill / Security Deposit. For any decrease in GST during the tenure of the
contract, the percentage so decreased will be reduced from the date on which the decrease in GST
is brought in to effect and will accordingly reflect in the contractor’s bill. Similarly, for any increase
in GST during the tenure of the contract, the percentage so increased will be increased from the
date on which the increase in GST is brought in to effect and shall be reimbursed at actual. Copies
of Notification/Circulars issued by the Govt. shall be arranged by the Tenderer.
Order in writing conveyed to the parties. In case of any dispute, the court of jurisdiction of the law
will be at New Delhi and this agreement will be deemed to have been entered into a New Delhi
irrespective of the place of performance of the agreement.

MT/kilometer in Rupees:
Evaluation of bidders will be done by totaling of the following quoted price in point S. No.1to4.
GST charges will be extra as applicable. Considering expected yearly business of Rs.1500 lacs with
an average price of Rs.200/-per lit/kg estimated quantity is mentioned in the following table.

“In case there is discrepancy between words and figures or there is overwriting in figures, the rates given
in words shall be considered “
Quantity to be carried per truck will be in accordance with regulation of Motor Vehicle Act as applicable
from time to time.
I / we will take all precautions for safe delivery of consignments at various destinations and the material
will be covered with tarpaulins. While the material is either in transit or in our custody, we shall not
transfer the material from one truck to another and we will be responsible for any loss / damage to the
consignment and hereby agree to make good the losses as ascertained by you. In case the contract is
awarded either partly or fully in our favour, we undertake to carry out the job faithfully and to the entire
satisfaction of HIL (INDIA) LIMITED. We will not sub-let the contract either partly / fully to any other party.
As and when we are not in a position to supply the guaranteed number of trucks, you will be at liberty to
get the job done through any other contractor and recover the additional cost incurred by you from the
bills / security deposit.
I / we undertake to comply with Central / State rules, regulations bye-laws and order of local authorities
and statutory bodies and pay all fees / taxes as may be leviable on account of transport operations at our
cost as specified by the state governments.
I / we agree for the earnest money deposit forfeiture. In case of non-fulfillment of the contract terms and
conditions,
I / we agree to the forfeiture of security deposit. In case my / our Earnest Money Deposit / Security
Deposit stands forfeited due to above then I / we agree for any other panel action which the company may
deem fit.
I / we hereby agree that I / we will not demand (during the currency of the contract) any increase in rates
quoted by me / us on account of increase in the price of tyres, auto spare parts etc. or in wages of drivers
etc.
I / we assure you to supply maximum trucks per day allotted to me / us. We also assure you that each
indent will be completed in stipulated time as advised by you. I / we have gone through the tender
documents and I / we hereby agree to abide by the terms and conditions.

PERFORMANCE CLAUSE
Monthly C&F Agent Service charges mentioned in Annexure-II will be subject to performance criteria
herein as below-

1.1 Taking delivery of products from the railway authorities/transport companies as the case may be,
receive the said products from the above authorities or directly from the supplier/vendor & transport the
material to the godown and shall prepare stock receipt report indicating details of receipt, shortages,
leakages, damages etc. If the material sent by company doesn’t reach at the destination with in time, C & F
Agent will give notice to transporter with a copy to company at utmost priority but not later than 24 hours.
1.2 To store the products in well-maintained godown as per pesticide storage norms with proper tonnage
facility, meeting all the regulatory requirements.
1.3 To protect the stocks from damage or loss by rain, other weather conditions, pilferage and/or any other
reason while storing/handling/transporting the stock. Any loss on this account will be borne by the C & F
Agent and same has to be reimbursed to the company.
1.4 To dispatch stocks either in his own mode of transport or through transport agencies and shall pay
necessary freight to the transport agencies and Octroi, if any. Freight payments rates shall be decided by
RSMs. The C&F Agent shall maintain details of such transporter.
1.5 To prepare Proforma Invoice-cum-Delivery Challans (PICDCs) on behalf of the Company and send to
dealers / consignees along with the consignment. The C & F Agent shall ensure filing of details of products,
Batch number, manufacturing date, expiry date and other relevant details in the PICDC/STA and other
documents while dispatching the products. Road permits wherever required, shall be arranged by the
Company.
1.6 The C & F Agent shall comply with requirements of the Insecticides Act1968, State/Central Tax Act and
other applicable laws in force in respect of the products covered under the agreement including Shops and
Establishment Act, Octroi and any other statutory rules and regulations and procure all licenses thereto.
1.7 The C & F Agent shall have adequate technology for communication telephones, fax machines and
computers with SAP compatible software and broad band internet connectivity for computerization of
documentation etc. Adequate software for SAP will be provided by the company.
2.0 Scope of work of Company
2.1 Dispatch of Pesticide stocks from the stock point or any other place with Lorry Receipts with
relevant forwarding invoices / challan.
2.3 Regional Sales Manager or his authorized representative is authorized to deal with C & F Agent on all
matters related to this contract.
3.0 Timelines
3.2 Ensure timely dispatch and delivery of stocks as per Sales Order/Stock Transfer Advice.
4.0 Damages
4.1 Where goods are received by the C & F Agent either in short quantity or damage / leakage condition,
the C & F Agent shall notify the Regional Sales Manager immediately putting appropriate remarks on the LR
and forwarding challan, obtain confirmation of the same in time from Transport Authorities in order to
enable the company/supplier to lodge claim with Insurance company. Any loss on this account due to
negligence / complacency on C & F Agent’s part shall be recoverable from the C & F Agent.
4.2 Apart from the above, other damages/leakages/shortages while handling at godown & during
transportation shall be to C & F Agent’s account. And C&F shall indemnify to the company for all losses of
any kind whatsoever due to their fault/negligence.
5.0 Godown
5.1 The C & F Agent will provide to the Company adequate godown space way from the premises used for
storing foodstuff & animal feds for safe storing of the products.
5.2 The C & F Agent shall pay all municipal and other taxes payable in respect of the said godowns space
provided to the company.
5.3 The godown should be accessible by road for movement of stock by trucks & should be protected from
rain, flood &wind.
5.4 The godown shall be well built, dry and well-lit and have proper ventilation.
5.5 The C & F Agent shall provide proper security & fire protective arrangement at the godown.
5.6 The C & F Agent shall also take care to see that the products are kept away from any sort of open
flames and display such warning near the products, since they are inflammable. They shall also install
necessary fire fighting equipments in the godown.
5.7 The title to the products shall, at all times, remain with the company and shall at no time vest with the
C & F Agent and the C & F Agent shall have no lien on them. Aboard should be displayed prominently in the
godown premises indicating that the stock is the property of HIL (India) Limited.
5.8 C & F Agent undertakes not to hypothecate the products/goods/materials supplied by the Company
and stored in the godowns to any individual or organization during the pendency of this agreement and
thereafter till the time goods are returned to the company. No lien whatsoever shall be created in favour of
any party in respect of products/material supplied bythecompany.
5.9 The date expired stocks shall be segregated & stamped “NOT FOR SALE’ and be kept in a separate place
specially demarcated for the purpose. Similarly, damage/leakage stocks should be segregated and kept
separately.
5.10 The C & F Agent shall store the company’s products in such manner that the deliveries are effected on
“First Expiry-First Out” (FEFO) basis of the Batch number so as to ensure that the products are dispatched
well before their expiry date. Date expired stocks should not be delivered to the parties under any
circumstances. In case of any financial loss due to non- following of FEFO system by C & F Agent, the same
will be recovered from C & F Agent.
6.0 Deliveries
6.1 The C & F Agent shall dispatch the products to dealers/consignees on FOR basis or as directed in writing
by RSM immediately or as per the date schedule indicated in the sales order issued by the Regional Sales
Manager orhis authorized-representative.
6.2 Deliveries/Dispatches shall be effected through PICDC and on receipt, these should be acknowledged
and stamped by the parties in whose favour they are issued.
6.3 The C & F Agent shall give clear instructions to the carrier while dispatching the product to ensure that
the company products do not mix with any other products, particularly food stuff and animal feeds as the
products are hazardous in nature. The C & F Agent shall be responsible for isolating company’s products
while storing or handling.
6.4 The C & F Agent shall ensure delivery of material strictly as per details of products, packing, batch
number, expiry date in the PICDC generated from the system. He will be responsible for deviations, if any,
in thedelivery/stock.
7.0 Report
7.1 C & F Agent should maintain electronic communication devices such as email, telephone, fax etc. for
proper & effective communication.
7.2 C & F Agent should maintain Stock Registers/Records as per norms paid out by statutory authorities
giving full particulars of product & packing stock receipts, issues & balance on daily basis or shall submit
reports in the prescribed format & frequency.
8.1 C & F Agent shall permit the officials of the company/ Agriculture Deptt. Officials/Auditors /Surveyors to
enter into the godowns for physical verification.
10.0 Insurance:
10.1 HIL shall insure the godown in which the company’s products are to be stored from fire, Floods, riots
and other natural calamities in his own interest.
10.2 Stocks stored in the godown will be insured by the HIL in respect of following risks: Fire lightning,
explosion/implosion, impact, aircraft damage, riots, strike, malicious damage theft etc. In such cases,
preventive measures are to be initiated by C & F Agent and company officials should be informed
immediately. Any failure in this respect will be on C & F Agent’s account.
10.3 HIL will arrange transit insurance of the stocks from C & F Agent location to different destinations.
For any losses, damages etc., the C & F Agent shall immediately intimate the company. Any deviations from
this will be to C & F Agent’s account.
12.1 The C & F Agents shall be bound to reimburse to the company any loss that may be caused to the
company due to misappropriation or wrongful disposal of products by C & F Agent due to the acts, deeds
and things by C & F Agent or their employees.
12.2 In case of short deliveries, losses & damages to the products or late deliveries, HIL reserves the right to
claim full reimbursement of value, impose appropriate penalties and recover it from C&F Agent
bills/security deposit.
12.3 Applicable statutory recoveries/deduction if any will be recovered from your bills.
13.1 C & F Agent shall submit bills in duplicate in respect of work done with supporting documents and as
per schedule of charges to concerned Regional Sales Manager. Bills should be submitted on monthly basis.
13.2 The payment will be made through cheque /RTGS on the request of C & F Agent at his cost within 15
days of receipt of bills completed in allrespects.
13.3 However, delayed payment for any reason shall not give you any right to suspend work under the
contract or claim damage and/or interest.
14.1 Enclosed Annexure Form I to V shall be considered as an integral part of this contract.
15.0 Evaluation
15.1 C & F Agent performance of this contract shall be evaluated & reviewed mutually at regular intervals
for necessary improvements.
16.0 Security
16.1The C & F Agent has to give a Demand Draft or Bank Guarantee for the value of Rs.5.0 lacs towards
security deposit of the stock held at premises. No interest shall be payable by HIL on security deposit. This
shall be refunded without any interest on closure/termination of this contract subject to recoveryof dues,
ifany.
17.0 Termination
17.1 Notwithstanding anything contained herein above, either party reserves the right of termination of
this agreement any time, by giving 90 days prior written notice to the other party without assigning any
reasons. In case of non-satisfactory performance or breach of any terms and conditions, the company shall
have the right to terminate this contract within a month’s notice without assigning any reason whatsoever.
17.2 Upon closure/termination of this agreement the C & F Agent shall be liable to account for the stock
lying in possession and return the balance stock or give compensation in lieu thereof to the company.
18.0 Non Exclusivity
18.1 This contract is non-exclusive and HIL may assign any part of this contract to any other party as per
exigency.
19.0 Validity
19.1 This agreement is valid for one year, however it is extendable for further two years based on the
performance of the C & F Agent, with other terms and conditions remaining the same.
20.0 PERFORMANCECLAUSE
21.1 The terms and conditions hereof shall be subject to force majeure. Neither the Company nor the
contractor shall be considered in default in the performance of their respective obligation herein above if
such performance is prevented or delayed because of any act of God, War, Hostilities, Revolution, Civil
Commotion, Official Strike, Epidemic, Fire or because of Law and Order proclamation, regulation or
ordinance of any Govt. or any subdivision there of or local authority.
The contractor shall be entitled to the benefit of this clause only if he informs of the circumstances
amounting to force majeure to the Company, within 48 hours of the happening thereof by post/fax/mail
immediately followed by a confirmatory letter sent by Registered Post/Acknowledgement due. In the event
of the contractor pleading any ground as constituting that behalf alone shall prevail and if, in the opinion of
the management, the grounds pleaded by the contractor do not constitute force majeure, then the
contractor shall not be entitled to plead the same and or claim any relief under this clause.
22.0 Disputes
22.1 Disputes if any arising out of execution of this work order shall be resolved amicably through mutual
discussion failing which, the same shall be referred for arbitration to the sole arbitrator nominated by the
Chairman & Managing Director of HIL and the arbitration shall be governed under the provision of
Arbitration & Conciliation Act 1996 and any other applicable amendment. The award passed by the
Arbitrator/s shall be final and binding on the parties and the venue of the arbitration shall be at New Delhi.
22.2 Courts at New Delhi shall have the sole and exclusive jurisdiction to try the disputes (any kind).
