ADDENDUM TO THE RECRUITMENT SERVICES AGREEMENT

This Addendum is made on this October 13, 2022 (“Effective Date”).

By And Between

Altimetrik India Pvt Ltd, a company registered under the Companies Act, 1956, having its registered
office at Sy No 7P and 93P, Electronic City, Industrial Area, Begur Hobli, Bangalore – 560100
(hereinafter referred to as “Altimetrik”, which expression shall, unless repugnant or contrary to the
context, mean and include its successors in interest and permitted assigns) OF THE FIRST PART.

And

……………………………………… SapienHR Analytics Pvt Ltd , a company incorporated under the provisions of
Companies Act, 1956/2013 having its registered office at Kudroli world 17th Main Road , KHB Colony
5th Block Koramangala Bangalore, 560095 ……………………………………………………………………………..
(hereinafter referred to as "Service Provider", which expression shall unless anything repugnant to the
context or meaning thereof be deemed to mean and include his successors, assigns, heirs and
executors) of the OTHER PART.

Altimetrik and Service Provider are hereinafter, wherever the context so permits, referred to
individually as a Party and together as the Parties.

WHEREAS:

[A.] The Parties have entered into a Recruitment Service Agreement dated ………………………… 17th Day of
February 2022("Agreement").

A.[B.] The Parties hereby agreed to amend the Agreement in the manner as set forth herein below.

NOW THIS AMENDMENT WITNESSETH AS FOLLOWS:

1. The Parties hereby agreed to incorporate below clauses in the Agreement:

“Clause 2 (g). Potential candidates shall not be working directly or indirectly in dual employment
with any company, firm or organization as an employee, consultant or freelancer or in any other
capacity whether full time or part time on paid or un-paid basis.

Clause 2 (h). Service Provider agrees that it is the duty of the Service Provider to inform the
potential candidates that Altimetrik has Zero tolerance towards dual employment and
employment with Altimetrik is exclusive, and working any kind of dual employment as a
consultant or freelancer or otherwise during the employment with Altimetrik will not only be a
conflict of interest but will also constitute a material violation of Altimetrik policies and a breach
of employment contract with Altimetrik.
Clause 5(c). Further Altimetrik reserves the right to recover the fee paid from the Service
Provider if the Candidate is terminated or discontinue employment with Altimetrik due to dual
employment within six (6) months from the date of joining.”

2. The Parties hereby agreed to amend clause 5(d)(ii) of the Agreement as below:

“Clause 5 (d)(II). The profiles of the candidates for various positions sent to Altimetrik will be
valid only for two (2) months and, in case, Altimetrik chooses to hire the candidate within such
period, the credit shall be claimed by Service Provider.”

3. The terms not specifically defined herein shall have the meanings attributed to them in the
Agreement.

4. The terms as set out in this Amendment shall be deemed to be incorporated by reference into the
Agreement and any Annexures thereto.

5. Except as specifically mentioned in this Amendment all other rights, obligations, terms and
conditions shall remain as captured in the Agreement.

6. This Amendment and the Agreement represent the entire agreement and understanding between
the Parties with respect to the subject matter of the Agreement.
