- ARTISTE BAND CONTRACT -

AN AGREEMENT made on this 01st day of April 2024

(hereinafter referred to as the AGENCY) of the first part

And

HYATT REGENCY KUANTAN RESORT.

(hereinafter referred to as the RESORT) of the second part

hereby managing a SIX (6) piece Indonesian band known as the SOUL FOCUS band

(hereinafter referred to as the ARTISTE) of the other part.

WHEREBY, is agreed as follows:

The RESORT is desirous to appoint the services of the AGENCY, for the ARTISTE to perform at
the RESORT’s place of address and business. The band herein are eager there forth to perform at
the above place of business and venue ‘THE CUKKA’ based on the following terms and conditions
specific hereof;

1. The RESORT shall affix the services of the ARTISTE to perform at the RESORT’s address
and place of business for a period of THREE (3) MONTHS effective from the schedule date
from 15th APRIL 2024 until the 15th JULY 2024 (or Malaysian Immigration approval date).

2. The RESORT shall pay a service remuneration fee of RM 16,500.00 (Ringgit Malaysia
Sixteen Thousand Five Hundred Only) payable every end of the completed month on or
by the 8th of the following month to the Agency.

3. No cash advances of any sort requested by the ARTISTE will be entertained. The RESORT
strictly advises the ARTISTES to refrain from any such cash advances.

Subject to the option herein granted to the RESORT, this Agreement shall commence on
and shall expire on the renewal with an additional month(s) contract will be offered
depending on performance and attendance during employment tenure, if requested by the
venue and management.

The RESORT shall be entitled at its option to renew this Agreement by giving to the Band/
Artiste not less than fourteen days' notice prior to the expiration of this Agreement.

Nothing herein shall be deemed to prevent either party from extending or renewing this
Agreement for such other duration or from varying or amending any of the terms and
conditions herein as they may from time to time mutually agree in writing with the RESORT
ONLY.

4. The working schedule for the ARTISTE will be determined and set by the RESORT,
accordingly to duration of forty-five (45) minutes strolling set with an interval between sets,
whereby it is expressly agreed that the ARTISTE will perform four (4) sets daily at forty-five
minutes per set. The working schedule will be subjected to change at the RESORT’s
discretion.

The above is subject to change according to the needs of the premises and will be
determined by the person in charge of the premise. There might be requirement(s) to
perform for additional set/ songs when the need arises.

5. The ARTISTE must perform at the ‘CUKKA’ for during the term of this agreement at the
RESORT’s premises from their daily performance schedule. Off days for the ARTISTE shall
be as set on every Monday’s.

6. All Income Taxes deriving from this Agreement for foreign Artiste shall be the sole
responsibility of the AGENCY and the AGENCY shall pay for any such taxes arising from
this AGREEMENT.

7. The RESORT shall provide to the ARTISTE meals to be consumed at the Staff Cafeteria
only. All other hard drinks consumed at the working venue will be of the ARTISTE own
account, deducted at the end of the month.

8. The RESORT shall provide Three (3) double room as shared lodging at the RESORT for
the ARTISTE during the term of this AGREEMENT. The ARTISTE shall not allow friends or
relatives to stay in-house at the quarters at any time.

 The Artiste shall be solely responsible for any death or any bodily injuries sustained or
suffered by the Artiste resulting from any act or omission whether as a result of any
negligence or otherwise whatsoever or howsoever caused and whether occurring before,
during or after any rehearsal or Performance or in the RESORT premises or elsewhere and
the Artiste shall indemnify the RESORT for any claim, demand, loss, damages, expenses,
costs that may be made against the RESORT as a result thereof.

The Artiste shall be solely responsible for any damage, theft or loss of clothing, instrument
or any other personal belongings of the Artiste resulting from any act or omission whether
due to any negligence or otherwise whatsoever or howsoever caused and the Company
shall in no event be liable to account or indemnify the Artiste for the same.

The Artiste shall at all times keep the company fully indemnified.in respect of all actions
proceedings claims, demands and expenses whatsoever which may be made or brought
against or suffered or incurred by the RESORT in consequence of any breach by the Artiste
of any of the covenant's terms, conditions, stipulations, warrants or undertakings as
contained in this Agreement.

9. During performances or practice times, the ARTISTE is required to abide strictly to the
RESORT’s Rules and Regulations and Company Policies. The ARTISTE dress code should
be of utmost importance at all times. The ARTISTE shall not report to work in a stage of
intoxication or to be in the influence of any classified drugs at any time.

10. The ARTISTE is required at their own cost and expense to provide and maintain their
personal hand held equipments and to provide suitable back-line equipment and sound
systems for the stage on a rental basis.

11. The ARTISTE shall at all times during the term of this AGREEMENT, comply and take all
practical steps to be of their best behavior while in the RESORT’s premises.

12. The AGENCY for the RESORT is solely responsible for applying and obtaining all
necessary visas; work permits or entry permits on behalf of the ARTISTE from the relevant
Government authorities for the legal presentation of the engagement hereof in full
compliance with the LAWS OF MALAYSIA.

13. The AGENCY shall provide the ARTISTE with a Bank Guarantee for a sum amounting
made in favour of KETUA PENGARAH IMMIGRESEN for the period of three (3) months for
the purpose of the permits applications.

14. The ARTISTE shall ensure that are prepared with a wide selection of repertoire for the daily
live presentation of this engagement. The ARTISTE shall include at least a minimum of two
(2) new songs and materials into their weekly engagement.

15. The RESORT shall permit the ARTISTE to carry out routine rehearsals and sound checks
at the venue for the daily live performance herein contracted on dates and at times deemed
suitable by The RESORT.

16. The RESORT shall provide respectively to the ARTISTE, with laundry services (if available
during the term of this AGREEMENT for stage uniforms only. Personal clothing’s are not
included for these services but will be accorded at a discounted staff rate.

17. During the term of this engagement, should the ARTISTE be found guilty of any serious
misconduct or breach any of the terms and conditions of this AGREEMENT then the
RESORT may terminate this Agreement by giving ONE WEEK notice with effect of the
ARTISTE.

18. The AGENCY is solely responsible for applying and obtaining all necessary visas; work
permits or entry permits on behalf of the ARTISTE from the relevant Government
authorities for the legal presentation of the engagement hereof in full compliance with the
LAWS OF MALAYSIA.

19. If in the opinion of the RESORT and Premises the performance of this Agreement is
rendered impossible by reason of a national emergency, a government directive or any
cause whatsoever beyond the control of the RESORT/Premises or in the event of any
breach or non-observance by the Artiste of any of the terms or conditions of this
Agreement, the RESORT (without prejudice to any other rights and remedies hereunder or
at law) may forthwith determine this Agreement and the Artiste shall have no claim against
the Company /the Premises for any expenses, costs, damages, compensation or otherwise
other than a fair proportion for work actually carried out.

20. This Agreement shall be construed in accordance with and governed by the Laws of
Malaysia.

IN WITNESS THEREOF both the parties hereinafter have hereby today set their hands the day
and year as first above written.
