THE NEW ORINDA GENERATION SELFHELP GROUP
CONSTITUTION AND BY – LAWS

ARTICLE 1: NAME AND IDENTIFICATION OF THE GROUP


The name of the group is THE NEW ORINDA GENERATION SELF HELP GROUP. The group was
formed in April 2023.
The New Orinda Generation Self Help Group is located in Toi Market, Kibra.

ARTICLE 2: MISSION AND VISION


The New Orinda Generation Self-help Group is a non-political affiliated group committed to
facilitate, empower, strengthen and mobilize human resources and women group for outline
participation in IGAs and other developments.
The Vision of New Orinda Generation Self-help Group is to provide and motivate the welfare of
its members to the realization of self-reliance and sustainability.

ARTICLE 3: AIMS AND OJECTIVES


a) To promote peace and unity among members.
b) To mobilize resources for the betterness of its members.
c) To offer relevant support to members.
d) To have sustainable support group.
e) To enhance and support education
f) To uplift living standards of members.
g) To improve on welfare of members through collaboration and partnership with relevant
institution.
h) To design and carry out program to support members as shall be deemed and guided by
laid down by the laws.
i) To support each other both financially and Syco Social Support (SSS).
j) To bring members together for a common goal.

ARTICLE 4: SERVICES PROVIDED/ACTIVITIES.


1. Savings
2. Merry go round
3. Lending soft loans to members
4. Establishment of projects
5. Social fund to members
6. Establishing IGA
7. Counselling and mentoring
8. Linkage to financial institutions or other relevant partners
9. Team building and bonding

ARTICLE 5: SOURCE OF FUNDS


a) Registration fee
b) Grants
c) Donations from well-wishers and NGOs
d) Government
e) Fines
f) Shares
g) Members contributions
h) Fund raising
i) Members savings
ARTICLE 6: MEMBERSHIP
A. Eligibility
i. Must be a Kenyan citizen
ii. Must be a holder of a National Identity card
iii. Must be of sober mind
iv. Must register with Ksh.100 that’s non-refundable.
v. Membership is open to the Orinda’s family.
B. Termination
i. In the event of his/her death
ii. Failure to appear in the meetings for three months he/she automatically loses
his/her membership.
iii. If he/she is found betraying the group in one way or another, he/she is
automatically removed from the group.
iv. If a member willingly decides to leave, he/she will do so by giving a written
notice and an allowance of 14 days from the date of notice.
All his/her savings will be prepared and refunded less loans, debts and fine
defaults as owed to the group
C. Level of Assistance
i. In the event of a member or spouse deceased, each member shall contribute
Ksh.2000
ii. To the members’ child each member shall contribute Ksh.1000
iii. To the members’ parent each member shall contribute Ksh.1000
iv. In the event of sickness to a member, spouse or child which leads to
hospitalization, each member shall contribute Ksh.500
v. To members who require any educational assistance each member shall
contribute Ksh.1000

ARTICLE 7: SAVING AND LOANINGS/LENDING


1. Savings is a must as per once strength on the presiding meeting.
2. Failure to save, fine of Ksh.100 will be a must.
3. Every saving, interest and fines will be disbursed at the first week of December each
year.
4. The maximum a member can borrow is ¾ of his/her savings as many as he/she qualifies.
5. The maximum time for loan refund is monthly due date borrowed after which the
interest will be roll over.
6. Any transaction must be at the meeting e.g savings, loaning, paying debts and fines.
7. A member must repay loan borrowed before requesting for another loan unless his/her
savings allow.
8. An interest of 30% of money borrowed will be charged monthly.
9. The service rate charge shall be determined by members at every cycle and calculated in
percentage.
10. If a member fails t0 repay their loan within the stipulated time, the following actions
shall be taken;
a. Given the opportunity to express challenges he/she is facing
b. A reminder letter or notice issued to the member.
c. Special committee formed to identify mechanism of recovering the loan
afterward put before members at the meeting.
11. All contribution/savings will be collected by the treasurer.
12. Money will be kept in the bank group account.
13. Any amount of money left during the meeting must go with the treasurer who must
produce a deposit slip in the next meeting.

ARTICLE 8: COMPOSITION OF MANAGING COMMITTEE


1. Chairperson / Assistant Chairperson
2. Secretary / Assistant Secretary
3. Treasurer
4. Organizing Secretary
5. Two committee members elected

ARTICLE 9: ELECTION PROCEDURES


1. Shall be held after every 2 cycles at the beginning of a new cycle.
2. Quorum present for the election to take effect shall be 2/3 of registered members.
3. A candidate must be nominated and proposed by a member
4. Elections shall be through a secret ballot with the use of either symbols, initials or
names.
5. Minimum number that must be vied for each position shall be two members unless in
the case of any post
6. Gender and regional will be observed.
7. The election will be presided by affiliated partner or nay government officer.

ARTICLE 10: DUTIES AND RESPONSIBILITIES


CHAIRPERSON / ASSISTANT CHAIRPERSON
i. Presides over all meetings unless prevented by illness or either sufficient case.
ii. Leads and guides the group
iii. Make sure that savings and loans procedures are followed.
iv. Shall be one of the decision makers of the group.
v. Supervise the activities of the organization and guidance on the project implementation.
vi. Ensure safety of the group documents
vii. Shall be the spokesperson of the organization upon advice from the executive
committee
viii. Shall be co-signatory in all transactions of the group
ix. Calls in meetings with the help of the secretary
x. Represents the group outside
xi. Distributes tasks according to the group goals
xii. Strive to ensure that all the group committee has coordinal relation among them and
their goals articulate the group goals.
xiii. Shall keep the group certificate.

SECRETARY / VISE SECRETARY


i. Keeps safe all the correspondence documents of the group.
ii. Writes minutes, reports or any relevant documents to the organization.
iii. Prepares and submits reports to all the stakeholders
iv. May be one of the bank signatories.
v. Compares records with the treasurer and organizer
vi. Prepares annual in conjunction with the head of executive committee
vii. Shall issue notice concerning all relevant meetings together with the chairperson.
viii. Shall ensure all records are maintained in good sound whenever needed.
ix. Liaise with chairman to organize meetings.

TREASURER
i. Shall collect money for registration, savings, receive and take to the bank all the funds
belonging to the group.
ii. Make sure that all the money is safe all the times
iii. Keep financial records, expenses, fines and bank statements
iv. Shall ensure all financial records are maintained in a good sound accounting standards
v. Shall ensure proper distribution of funds under the directive from the executive
committee
vi. Shall keep financial documents with the help from the chairperson
vii. Will be custody of all group’s funds and ensure they are safe under the supervision of
the executive
viii. Advise the group using the resources of its future needs
ix. Must be a bank signatory

ORGANIZING SECRETARY AND CHIEF WHIP


i. Organizing the meeting venue
ii. Ensure order during all meetings
iii. Liaise with the secretary on nearing meetings
iv. Keep clear loan, interest and fines records
v. Report to the secretary any activity related to the group
vi. Ensure all group’s assets are kept safe and returned in order after being used and have
records of the same
vii. Ensure all the departmental heads are aware of upcoming activities
viii. Presides over all meetings in absence of the chairpersons

ARTICLE 11: REMOVAL OF OFFICE BEARERS BETWEEN ELECTIONS


1. Being incompetent due to sickness or laziness
2. Unable to discharge his/her duties as per the expectation of the group
3. Charged with criminal offence as per the constitution of Kenya
4. Absent for 3 consecutive meetings without trace or proper apology
5. Show indiscipline to the group
6. If found to betray the group for his/her own favor
7. Unable to pay his/her dues as per requirements of the group

ARTICLE 12: MEETINGS


The group shall hold their meetings on the second week of every month
Online meetings can also be organized once a month
Annual General Meeting will be held in December every year
Special meetings shall be called to address any emerging real issues

ARTICLE 13: PENALTIES AND FINES


1. Absent with apology not exceeding 3 meetings
2. Absent without apology fine is Ksh.50
3. Lateness for meeting after prayer is fine of Ksh.30
4. Phone call or ring during a meeting is a fine of Ksh.50
5. Talking without permission granted at the meeting, a fine of Ksh.150
6. Absenteeism permission is only twice above that a fine Ksh.50 will be charged
7. Chatting during the meeting if found there will be a fine of Ksh.50 per glance
8. Failure to produce bank slip during the meeting fine shall be Ksh.500
9. Showing any disrespect or indiscipline to a group member, a fine of Ksh.50 will be a
must

ARTICLE 14: CONFLICT / DISASTER MANAGEMENT IN THE GROUP


All members shall be informed in case of any conflict. All members should meet to address the
issue before 24 hours expire
Appointed group will be called to discuss the issue then bring the members before the
members in the next meeting

ARTICLE 15: DISSOLUTION OF THE GROUP


The New Orinda Generation Self-help Group may dissolve by resolution passed by two thirds of
delegates present at annual general meeting.
Provided, however that no dissolution shall be effective without prior permission in writing
from the registrar obtained upon application t him/her made and assigned by three office
bearers.

ARTICLE 16: AMENDMENT OF CONSTITUTION


Amendment to this constitution shall be approved by at least two thirds of the delegates
present at the annual general meeting.

GROUP BY-LAWS
The following shall be strictly followed in the group;
1. All members must participate in all group activities
2. Permission is only twice above that a fine of Ksh.50 will be a must
3. Failure to attend the meeting there will be a fine of Ksh.50
4. Lateness after the allowance of 15 minutes will be a fine of Ksh.30
5. Merry-go-round is must; any lateness is a fine of Ksh.200
6. Phone calls during meetings is not allowed, in case of any call there will be a charge or
fine of Ksh.50
7. Chatting during the meeting is not allowed, anyone found in this situation at a glance
will pay a fine of Ksh.50
8. Talking without permission is prohibited, anyone doing that at a glance will pay a fine of
Ksh.100
9. Loan limit is one month after which there will be a roll in the interest per month
10. Minimum interest is Ksh.3000 every year per member. Failure to achieve that will not
enjoy any interest shared by the members
11. There will be a must emergency kit charges of Ksh.1000 each year.
12. Membership renewal is Ksh.200 every year.
13. In case a member fails to produce his/her contribution during assistance, the amount
will be deducted from his/her savings which amounts to interest.
14. In the situation whereby his/her savings cannot meet the contribution, an extra 20%
fine will be charged from the total balances/gaps plus the gaps will be kept in the
group’s account.
15. If a member or an office bearer is sent to represent the group on behalf of the group
outside the group’s location, he/she will be facilitated.
