AGENCY AGREEMENT

BETWEEN

HEREINAFTER CALLED (THE AGENT)

ARTICLE I - ENTITLING AS AGENT TERRITORY

The company entitling herewith "THE AGENT" as their sole agent in the territory of Arab
Republic of Egypt for the following commodities of our production:

ALL PRODUCTS OF THEIR MANUFACTURING

ARTICLE II -RIGHTS &OBLIGATIONS

A). The agent is to act for the company according to their instructions.
B). Final acceptance of customer s order can be made by the Agent only after receipt of
written approval of the Company.
C). The agent shall maintain an efficient Commercial and Technical Organization of the
Territory.
D). The Company will keep the Agent informed about any new product developments and will
provide all brochures, pamphlets and data sheet.

ARTICLE III -COMMISSION

A). The Company is granting to the Agent of a commission of 3% (Three percent) of the
invoice value to be paid in U.S Dollars after the execution of every shipment.

The commission to be transferred to the Agent and agreed upon later.

B). The commission is covers all expenses of the Agent.

C). The Company shall have the right for its own representative to solicit orders and
business within the Territory , but on all orders , if any reaching the Company direct from
customers residing in the Territory , the Agent shall enjoy the commission as if the order
came through him.
ARTICLE IV –DURATION

This Agreement is effective from 1st of June 2024 to 31st May 2025 , and will automatically
prolongate for similar periods unless it is discontinued by one of the parties by means of
written notice at least three months prior of such date of termination.

The termination of this Agreement must not affect the Agent s commission due on all previous
operations concluded and unfinished yet as well as on new operations handled by the Agents
office within the period of duration of the said Agreement.

ARTICLE V -FINAL CLAUSE

A). Any amendments to this Agreement must be made by a written form and duly signed by
both parties and to be endorsed by both the Chamber of Commerce and the UTAMTECH
Company.

B). The present Agreement is made out of four copies , two of each have been
received by the Agent and the Company.
