Deed of Assignment 2
WHEREAS:
(1) The Vendor is possessed for his sole benefit the property hereby assigned for the residue
of the term of years granted by the lease mentioned in the first schedule hereto subject to
the rent covenants and conditions hereby reserved and contained but otherwise free from
incumbrances.
(2) The Vendor has agreed with the Purchaser for the sale thereof for the sum of

(3) The consent of the Governor / Lessor as required by clause of the lease to this
Assignment has been duly obtained.
(1) In pursuance of the said agreement and in consideration of N………….. paid by the
Purchaser to the Vendor (the receipt whereof the Vendor hereby acknowledges) the
Vendor as beneficial owner HEREBY ASSIGNS unto the Purchaser ALL THAT lease
therein mentioned TO HOLD unto the Purchaser for all the residue of the said term of
years and subject henceforth to the said rent covenants and conditions.
(2) PROVIDED ALWAYS that covenants which are implied herein by reason of the Vendor
hereby assigning and being expressed to assign as Beneficial Owner shall not be
deemed to imply that any of the covenants on the part of the Lessee contained in the said
lease have been performed or observed which if performed or observed would put the
property hereby assigned into a state and condition other than that in which it now is.
(3) The Purchaser HEREBY COVENANTS with the Vendor henceforth during the
continuance of the term of the Lease to pay the rent reserved thereby or revised
thereunder and to perform and observe the covenants’ conditions stipulation contained in
the lease and on the Lessee’s part to be performed and observed and to keep the
Vendor indemnified against all actions, claims, and demands arising on account thereof
or in relation thereto.
IN WITNESS WHEREOF the said parties hereto have hereunto set their hands and seals the day
and year first before written,
FIRST SCHEDULE
