CHANNEL PARTNER AGREEMENT

This Channel Partner Agreement ("Agreement") is made and entered into as of 20th May 2024
by and between Now Now Inc., a company incorporated under the laws of Rajasthan, with its
principal place of business at Primary Health Centre Chandraghata, 0, Raj Purohit Ji Ki
Haveli, Retwali, Patanpol, Tipta, Kota, Rajasthan, 324006, and Mr. Shubham Sharma,
residing at Ward no. 6, Railway colony Dhanpuri, Post Dhanpuri Tahsil burhar Dhanpuri,
Shadol MP-484114.

WHEREAS, Now Now desires to appoint Partner as a non-exclusive channel partner to


promote and generate sales of its products and services.
WHEREAS, Partner desires to act as a non-exclusive channel partner for Now Now on the
terms and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties
agree as follows:
1. Appointment
1.1 Now Now hereby appoints Partner as a non-exclusive channel partner for the Projects in
the Territory.
1.2 Partner hereby accepts such appointment and agrees to use commercially reasonable
efforts to promote and generate sales of the Projects within the Territory.
2. Partner's Responsibilities
2.1 Partner shall:
 Diligently promote the Projects to potential customers within the Territory.
 Use its best efforts to identify and qualify potential customers for the Projects.
 Act professionally and ethically at all times when representing Now Now.
 Provide Now Now with timely and accurate reports on its activities under this
Agreement.

3. Compensation
3.1 In consideration for the services provided hereunder, Now Now shall pay Partner a
commission equal to twenty-five percent (25%) of the net revenue generated from each
Project sold within the Territory, excluding Goods and Services Tax (GST).
3.2 Net revenue shall be defined as the gross revenue from the Project sale minus any
refunds, discounts, or chargebacks.
4. Term and Termination
4.1 This Agreement shall commence on the Effective Date and shall continue for a period of
1 year.
4.2 This Agreement may be terminated by either party upon written notice to the other party
in the event of a material breach of this Agreement by the other party that is not cured within
30 days of written notice.
5. Confidentiality
5.1 Each party agrees to hold in confidence all confidential information of the other party
disclosed hereunder and to use such confidential information only to perform its obligations
under this Agreement.
6. Independent Contractor
6.1 Partner is an independent contractor and shall not be considered an employee, agent, or
partner of Now Now for any purpose. Partner shall be solely responsible for all taxes, social
security contributions, and other similar charges arising out of its performance hereunder.
7. Entire Agreement
7.1 This Agreement constitutes the entire agreement between the parties for the subject
matter hereof and supersedes all prior or contemporaneous communications, representations,
or agreements, whether oral or written.
8. Governing Law
8.1 This Agreement shall be governed by and construed per the laws of the State of
Rajasthan, without regard to its conflict of law’s provisions.
9. Severability
9.1 If any provision of this Agreement is held to be invalid or unenforceable, such provision
shall be struck and the remaining provisions shall remain in full force and effect.

10. Notices
10.1 All notices and other communications hereunder shall be in writing and shall be deemed
to have been duly given when delivered personally, sent by certified or registered mail,
postage prepaid, return receipt requested, or sent by reputable overnight courier service,
addressed as follows:

11. Waiver
11.1 No waiver by either party of any breach or default hereunder shall be deemed to be a
waiver of any subsequent breach or default.
