HEREBY GUARANTEE to the Funds Provider absolutely and unconditionally the due repayment within seven (7) days

after a written demand, all monies which shall at any time be due to the Funds Provider from the Borrower whether

actual or contingent and whether as principal debtor or surety, together with interest, charges, costs, and expenses

thereon at the rate specified in the Loan agreement described above or any subsequent rate agreed to by the

Parties.

This Guarantee covers without limitation, all legal and other costs and expenses incurred in the process of the

creation or enforcement of this Guarantee provided that the total amount recoverable from me under this

Guarantee shall not at any time exceed the Total Repayment sum plus interest charges, cost, commissions, and

expenses, legal or otherwise incurred as aforesaid to the date of discontinuance as shall be determined and

confirmed in writing by the Funds Provider.

AND I FURTHER GUARANTEE AND AGREE AS FOLLOWS:

1. My liability under this Guarantee shall be that of a principal debtor and not as surety only, and at the Funds

Provider’s option be held solely responsible for the liabilities of the Borrower.

2. This Guarantee shall be a continuing security binding on me and my personal representatives until receipt by me

of written notice of release or discontinuance from the Funds Provider.

3. This Guarantee is to be a continuing Guarantee and accordingly shall not be discharged or prejudiced by any

partial payment or settlement of the Borrower’s indebtedness to the Funds Provider or the existence of a credit

balance in favour of the Borrower at any time.

4. The insolvency, or bankruptcy of the Borrower shall not affect my liability and I will continue to remain liable to

the Funds Provider until the Borrower’s indebtedness guaranteed hereunder is fully liquidated and confirmed by

the Funds Provider in writing.

5. In the event of my death, insanity or bankruptcy, this Guarantee shall not be determined but it shall continue to

be binding and operative against my heirs, legal and personal representatives until all monies due to the Funds

Provider from the Borrower have been paid and confirmed by the Funds Provider in writing.

6. I hereby acknowledge and agree that failure or delay on the Funds Provider’s part in exercising any of the Funds

Provider’s rights, powers or privileges under this Guarantee shall not operate as a waiver thereof nor shall any

single or partial exercise of any right power or privilege preclude any further exercise thereof or the exercise of

any other right, power or privilege.

7. Any notice by way of demand, request or otherwise hereunder may be given to me either by electronic means or

physically at the address herein stated or my last known residence or may be sent to me by post to my address as

aforesaid and if sent by post, it shall be deemed to have been duly received by me three days after same has been

posted. If, for want of address or otherwise, the notice cannot be given by post, an advertisement in a newspaper

shall be deemed sufficient notice given on the day the advertisement appears.

8. A demand hereunder may be made on behalf of the Funds Provider by any officer of the Funds Provider or any

advocate/solicitor acting for and on behalf of the Funds Provider

9. This guarantee is governed by Nigerian law and I hereby agree to submit to the jurisdiction and competence of the

Nigerian courts
