Subject: Consultancy Offer Letter for Telecalling Consultant

Dear Dibyajyoti Mohanty,

I am pleased to extend to you this offer of consultancy as a Telecalling


Consultant. On acceptance of this offer, you will begin your consultancy with
Explorium Innovative Technologies Private Limited (“Company”) and will be
expected to work as per assigned targets & goals.

1. Role & Responsibilities:

1. You are required to make a sincere attempt at completing the daily


target set for the team.
2. You will be expected to make a minimum of 120 attempts/daily-outs per
day and minimum of 60 connected calls per day.
3. Standard working hours are 10 am to 7 pm.

Please note: Role & Responsibility is subject to change and is at the sole discretion
of the Company.

2. Date of Joining:
1. Date of Joining will be March 23, 2022

3. Payment Terms for the Consultancy are as follows:

3.1 Consultancy Pay Structure


The consultancy pay structure is mentioned in Annexure A

Note: Payment Structure is subject to change at the discretion of the Company. The
revised pay structure will be applied to post a formal notification to the Consultant.

3.2 Error & Work Policy Deductions:


1. Payment will be subject to a deduction made as per error policy and work
policy defined over email separately.
2. Final Amount Payable will be calculated after making deductions.
3. The Error & Work Policy is subject to change and will be notified by the
Company whenever changed.

1. Payment Cycle will be calculated from 1st of a Month to


30th/31st of the Month
2. In case the date of joining is after the 20th of a month, the payment for 1st
month will be calculated along with the payment for the 2nd month
3. To be eligible for the entire month’s salary you need to be actively working
for a minimum period of 10 days and achieving daily targets.

3.4 Payment Timeline:


1. Payouts will be made via Bank Transfer
2. 50% payment will be made by the 15th of the next month
3. The other 50% payment will be made by the 30th of the next month

3.5 Payment Method: Bank Transfer will be made to the bank account provided
by the Consultant.

4. Taxes: TDS will be deducted from the final payment amount as per Government
Regulations. TDS rate will be 1% if PAN is provided and 20% if PAN is not provided.

5. Relationship with the Company


1. The relationship between you and the Company is of an independent
consultant or independent contractor only.
2. No part of this agreement forms an Employer-Employee relationship between
the Company and the Consultant.
3. The consultant will not be liable for receiving any benefits related to
employment since this is a Consultancy agreement only. By accepting this
offer, you waive all claims for any employment-related benefits.

6. Notice Period by the Consultant


1. Minimum 7 Days’ notice period has to be served in case the Consultant wants
to terminate the consultancy
2. In case notice is not given, the payment for the latest period will be withheld
in order to cover the losses caused due to the failure of serving the notice
period.

7. Exit by the Company


1. The Company may exit the consultancy at any time with or without notice

8. Non-Disclosure & Confidentiality

During your consultancy, you may have access to trade secrets and confidential
business information belonging to the Company. By accepting this offer of
consultancy, you acknowledge that you must keep all of this information strictly
confidential, and refrain from using it for your own purposes or from disclosing it to
anyone outside the Company.

In addition, you agree that, upon conclusion of your consultancy, you will
immediately return to the Company all of its property, equipment, and documents,
including electronically stored information.

Pay Structure

Pay per minute of call - INR 3.0

50% deduction of the month’s pay will be deducted if you commit


any fraudulent activity.

*Flagged call: When 50% of the objectives are off track the calls get flagged
*Rejected call: When the 75% of the objectives are off track then the call is
rejected
