Agreement For Providing Security Guards
WHEREAS
(2) The Agency carries on business in providing security guards to factories and at other
places.
(3) The company has requested the Agency to provide security guards to provide security to
the factory from theft and other insecurities.
(4) The Agency has agreed to do so and following terms are agreed upon between the parties.
(1) The Agency agrees to provide as requested by the company two security guards at every
interval of eight hours for full 24 hours of each day (including the night). The duties of two
security guards at a time will change every eight hours in rotation. It will be the responsibility
of the Agency to provide such guards every day.
(2) It will be duty of the security guards to keep a constant watch and to move round the
factory turn by turn and to prevent any outsider from entering the premises of the company
except with the permission of the company obtained through its authorised officers.
(3) The security guards will be provided with a watchman's cabin near the gate of the factory
and other security guards will be constantly in or near the cabin.
(4) No person without having an identity card or a pass issued by the company or without the
express permission of the officer or officers nominated by the company will be allowed to
enter the premises of the factory with or without any vehicle. If any person arrives at the gate
without having an identity card or pass or written permission then his name will be
communicated to such officer by the telecom connection and only on such officer permitting
him to enter he will be allowed to do so.
(5) The security guards will be entitled to examine the person of any incoming or outgoing
visitor or other person if he is suspected to carry with him any objectionable material.
(6) The persons to be provided as security guards will be physically fit, neat and tidy and will
be supplied with a uniform and some insignia by the Agency so as to be easily identified as
security guard. Preferably such persons will be retired police constables or released armymen.
If the company through its authorised officer finds any security guard physically unfit or
weak and not properly dressed the officer will be entitled to ask the Agency to have him
replaced by any proper and fit person.
(7) The security men so provided shall endeavour to take all steps and precautions to prevent
thefts, pilferage and other criminal acts in the factory premises.
(9) If any security guard is found misbehaving or in a drunken state or otherwise creating any
mischief the company will be entitled to ask the Agency to replace him by another fit security
guard and the Agency will do so forthwith without questioning the decision of the company's
officer concerned.
(10) The responsibility and liability of payment of wages and other emoluments to the person
of the security guards will be that of the Agency................. Similarly the matters of earned
leave, sick leave and other facility to be given to the security guards will be a matter between
the security guards and the Agency and the Agency agrees to indemnify and keep
indemnified the company against any claim, loss, cost, charges and expenses incurred or
suffered by the company on that account.
(11) The company shall pay to the Agency for the services of the security guards as herein
provided a sum of rupees......................................................... per month in advance on or
before the fifth day of each month and nothing more.
(12) The security guards will not be treated as the employees of the company but they will be
the employees of the Agency and all the liabilities on account of the said employees will be
that of the Agency.
(13) The security guards will act according to the instructions of the personel officer of the
company given from time to time.
(14) This agreement will remain in force for a period of of the opinion that the service is not
satisfactory for any reason or the Agency commits a breach of any term of this agreement the
company will be entitled to terminate this agreement earlier by giving one month's notice in
writing to the Agency.
(15) If the company fails to pay to the Agency the monthly amount in any month the Agency
will have the option to withhold the services of the security guards till the monthly payment
is made or to terminate this agreement by giving one month's prior notice to the company to
that effect.
(16) On the termination of this agreement by efflux of time or otherwise the security guard
will be withdrawn from the factory forthwith on such termination.(17) In the event of any
dispute regarding the liability of any one party hereto to the other and arising out of this
agreement the same shall be referred to the arbitration of the Managing Director of the
company or of the person nominated by him and his decision shall be final and binding on the
parties.
