CONSTITUTION.
ARTICLE 1: NAME AND ADDRESS
1.1. The group shall be christened Cairo Unit Self Help Group.
1.2. The group shall be registered by the relevant ministry in Republic of Kenya
1.3. The physical address shall be at Indangalasia sublocation, East Butsotso
location, Lurambi Subcounty, Kakamega County.
1.4. The postal address shall be taken care by Ematiha Primary School P.O. Box
2828 Kakamega.

ARTICLE II: MISSION AND VISION STATEMENTS

2.1. MISSION
To be an organization that best utilizes its saving and members co-guarantor
ship to access credit from various financial institutions.
2.2. VISION
To ensure that benefits (Savings and Credit) obtained from the group.

ARTICLE III: AIMS AND OBJECTIVES

3.1. It shall be non- political.
3.2. It shall promote unity co-operation and discipline among members.
3.3. It shall take care of members welfare.
3.4. It shall encourage savings, credit and investment.
3.5. It shall empower members economically.
3.6. It shall embrace active participation and co-guarantor ship.

ARTICLE IV: REGISTRATION AND MEMBERSHIP
4.1. Registration fee shall be Ksh. 500/= which is non-refundable.
4.2. Membership shall be open to all adults.
4.3. Every member shall contribute towards merry-go round twice a month.
4.4. Every member shall contribute towards his/her shares minimum ksh. 50/=.
4.5. Every member shall pay his/her loan accordingly.
4.6. Active participation of member shall be guaranteed to fully enjoy the
privileges of the group.
4.7. A member who wishes to resign for various reasons shall do so in writing
to the chairperson.

ARTICLE V: DISCIPLINE AND DEFAULTS

5.1. Misconduct
a) Advice
b) Censure
c) Fine
d) Warning
5.2. Grose misconduct
a) Severe warning in writing.
b) Clear liabilities and quit or be forced to quit.
5.3. Fines and penalties
a) Absent without apology pay ksh.50.
b) Lateness pay ksh.20.
c) Rumors mongering pay ksh.100.
d) Phone noise 10.00
5.4. Defaulters
a) 1st time defaulter: Member contribute to pay and default reimburses.
b) 2nd time defaulter: Members contribute to pay and go for securities.

ARTICLE VI: OFFICE BEARERS
6.1. The following shall be office bearer of the group;
a) Chairperson
b) Vice Chairperson
c) Secretary
d) Vice Secretary
e) Treasurer
f) Organizing Secretary
6.2. The following shall be executive committee of the group; Chairperson,
Vice Chairperson, Secretary, Treasury, Organizing Secretary, Adviser, Auditor.
Their duties
a) Shall discuss and agree on relevant agenda before meeting.
b) Make sure decisions and resolutions made by members are carefully
carried out.
c) Coordinate and manage group activities.
d) Asses and approve applications.
6.3. Duties Of Office Bearers
A. CHAIRPERSON
 Shall always call the meeting to order
 Shall direct the group activities.
 Shall enforce the rules of the group.
 Shall advice the members from time to time.
 Shall be a bank signatory.
 Shall ensure safe custody of the group finance.
 Shall give permission to all members as per their request.
 Shall be a servant but not a boss

B. VICE CHAIRPERSON
 Shall assist the chairperson and perform the normal duties of the
chairperson in the absence or at the request of the former.
C. SECRETARY
 Shall always writes minutes
 Shall ensure the groups record are well kept.
 Shall be bank signatories.
 Shall read to the members the previous minutes.

  Shall prepare agenda as directed by the executive.
D. TREASURER
 Receives and disburses all monies of the group.
 Issues receipts and preserves vouchers for all monies paid out.
 Keeps proper books of account and avail same for inspection while
keeping all records related to the account of the group.
 Table financial reports to the A.G.M. for approval.
 Signatory to the bank.
E. Organizing Secretary
 Shall arrange group function e.g. group party, group Harambees etc.
F. Auditor
 He/she will ensure proper management of the group funds.
 Shall have power to peruse through group books and bank receipts and
statements.
G. Adviser
 Shall ensure peace and give advice to members in case of any
misconduct.
H. Vice
 Shall perform all duties for their heads in their absence.

ARTICLE VII: FINANCE

7.1. Sources of finance
a) Registration fees.
b) Members contribution.
c) Group projects.
d) Miscellaneous e.g., fines.
7.2. Investment
Group project suggested by members e.g., dairy, farming, poultry, crops and
general trade.
7.3. Disbursement
a) In event of demise of a member or spouse each member shall contribute
Ksh. 500/=.
b) In event of demise of a child or parent dependent on him/her a member
shall contribute Ksh 300/=.
c) In absence of either of the two groups above a member shall nominate
as the case maybe.

 d) Economic viable projects.
e) Purchase of stationary.
f) Transport and substance.
g) Certificate renewals and bank charges.
h) Any other mode as the case might be subject to approval of members.

ARTICLE VIII: MEETINGS

8.1. Procedure
a) The group shall hold its meeting twice a month at 10.00am at member’s
house.
b) The quorum shall be ⅓ of present members.
c) Deliberations shall be made in Luhya, Kiswahili or English while
proceedings shall be recorded in either Kiswahili or English.
d) The secretary shall read previous minutes for confirmation and set
agenda for the day.
e) Financial reports shall be given by the treasurer at the end of the month.
f) Resolutions shall be simple majority and incase of a tie the chairperson
shall have a casting vote.
8.2. Annual General Meeting (A.G.M.)
a) Shall be held once per year.
b) The quorum at the A.G.M. shall be ⅔ of the members present.
c) Discuss the special AGM no other matter shall be other than in the
requisition.
d) The agenda shall consist of;
 Reading and confirmation of previous A.G.M. meeting.
 Matters arising and reaction.
 Chairperson report.
 Treasurers financial report for the year.
 Amendments to the constitution if need arises.
 Election of the office bearers
 Dissolution of the group where notice is given.
8.3. Executive Committee Meetings
a) Shall be held as often as required by the chairperson in the house of an
executive committee member.

 b) The quorum shall be ½ of executive committee members.

ARTICLE IX: ELECTION

9.1. General Election
a) Office term shall be one year.
b) Election shall be held at A.G.M.
c) Group shall appoint a presiding officer.
d) Only group members shall be eligible for elections.
e) Current officials are eligible for re-election up to two terms, the third
term will require change of position.
f) For any post, they shall be a proposer and seconder.
g) A nullification and report of elections can be ordered by the presiding
officer.
9.2. By-Election.
a) The procedure shall be as (9.1) above except those specific posts vacant
shall be filled.
b) Any office bearer ceases to hold office by reason of resignation, death,
incapacitated due to ill health, expulsion or vote of no confidence.
c) A by-election shall be held at the following meeting to fill the vacant
post.
d) A notice of resignation shall be made to the chairperson.

ARTICLE X: AMENDMENT TO THE CONSTITUTION

10.1. No amendments shall be made to the constitution without prior notice of
less than a month and supported by ⅔ of members present.
10.2. Dissolution of the group shall be made by a resolution passed by ⅔ of
members present at the A.G.M.
10.3. An officer from Social Services Department or Patron shall be invited to
oversee the dissolution and distribution of surplus asset or liabilities
apportioned amongst members.
