Service Agreement Contract

This Agreement (“Agreement”) is made and entered into as of the [Date] by and

1. Services Provided

The Service Provider agrees to provide the following services (“Services”) to the
Client:

1.1 Facebook Ads Management:

• Creation, management, and optimization of Facebook ad campaigns.


• Ad design, copywriting, audience targeting, and budget allocation.
• Regular monitoring and performance reporting.

1.2 Google Ads Management:

• Creation, management, and optimization of Google ad campaigns


(including Search, Display, and YouTube ads).
• Keyword research, ad copywriting, and bid management.
• Regular monitoring and performance reporting.

1.3 Instagram Account Management:

• Daily posting and content creation, including captions and hashtags.


• Audience engagement, including responding to comments and direct
messages.
• Growth strategy implementation, including follower growth and
engagement pip tactics.
• Monthly performance reporting.

2. Payment Terms

2.1 Fees:
The Client agrees to pay the Service Provider a fee of $2,000 USD per month for the
Services described in Section 1.

2.2 Payment Schedule:

• The Client will make the payment on or before the first day of each
month.
• Payments shall be made via [Payment Method] to the following account:
[Bank Account Details / Payment Platform].

2.3 Late Payments:

• Payments not received within 5 days of the due date will incur a late fee
of 5% of the total monthly fee.
• If payment is not received within 15 days of the due date, the Service
Provider reserves the right to suspend all Services until payment is made in full.

3. Term and Termination

3.1 Term:
This Agreement shall commence on [Start Date] and will continue on a month-to-
month basis until terminated by either party in accordance with Section 3.2.

3.2 Termination:

• Either party may terminate this Agreement by providing 30 days’ written


notice to the other party.
• The Service Provider may terminate this Agreement immediately if the
Client fails to make payment as required under Section 2.
• Upon termination, the Client will be responsible for payment of Services
rendered up to the termination date.

4. Confidentiality

4.1 Confidential Information:

• Both parties agree to keep all information regarding the other party’s
business, strategies, and operations confidential.
• Confidential information shall not be disclosed to any third party without
prior written consent.

5. Intellectual Property

5.1 Ownership:
• All materials created by the Service Provider, including ads, content, and
reports, shall remain the intellectual property of the Service Provider until payment is
made in full.
• Upon full payment, the Client shall have full rights to use the materials
as they see fit.

6. Liability

6.1 Limitation of Liability:

• The Service Provider shall not be liable for any indirect, incidental, or
consequential damages arising from the use or inability to use the Services.
• The Service Provider’s total liability under this Agreement shall not
exceed the total fees paid by the Client for the Services.

7. Miscellaneous

7.1 Governing Law:


This Agreement shall be governed by and construed in accordance with the laws of the

7.2 Entire Agreement:


This Agreement constitutes the entire agreement between the parties and supersedes all
prior agreements, understandings, and representations.

7.3 Amendments:
