FREELANCE SERVICES AGREEMENT

This Freelance Services Agreement ("Agreement") is made between: Dun &


Bradstreet (the "Company") And
____________________________________________(the "Freelancer").

1. Scope of Work
The Freelancer agrees to provide services (the "Services") to the Company
as described in the project description attached hereto (the "Project
Description").

2. Project Details

3. Payment Terms
a) The Company shall pay the Freelancer the total sum of__________________
for the completion of the Services.
b) Payment will be made after the Company has reviewed the completed
project and deemed it satisfactory.
c) Payment will be made through bank transfer to the Freelancer's
designated bank account.
d) The Freelancer is responsible for any country-related taxes associated
with their payment.

4. Term and Termination


a) This Agreement shall commence on___________________________ and continue
until the completion of the Services.
b) Either party may terminate this Agreement upon 24hrs' written notice to
the other party.
5. Confidentiality
The Freelancer shall keep confidential all information and materials provided
by the Company and shall not disclose such information to any third party.

6. Ownership and Intellectual Property


a) The Company shall own all intellectual property rights in the Services and
any materials created by the Freelancer in the course of providing the
Services.

7. Warranties and Representations


The Freelancer warrants and represents that the Services will be provided
with reasonable care and skill and that the materials created by the
Freelancer will not infringe any intellectual property rights of any third party.

8. Indemnity
The Freelancer shall indemnify the Company against any claims,
damages, and expenses arising out of any breach of this Agreement by
the Freelancer.

9. Governing Law
This Agreement shall be governed by and construed in accordance with
the laws of [insert country/state].

10. Entire Agreement


This Agreement constitutes the entire agreement between the parties
and supersedes all prior negotiations, understandings, and agreements
between the parties.

By signing below, the parties acknowledge that they have read,


understand, and agree to be bound by the terms and conditions of this
