FULL TIME SITE BASED FORKLIFT

TECHNICIAN CONTRACT

BETWEEN

KSR FORKLIFTS LIMITED

AND

HIGH REACH EQUIPMENT


CONTRACT

This contract is made between HIGH REACH EQUIPMENT LTD and KSR FORKLIFTS
LIMITED on the ________________ 2023.

The parties agree as follows:


That HIGH REACH EQUIPMENT LTD (hereinafter referred to as the company) shall carry
out all maintenance of Forklifts at CFM (AFP) Ilorin (hereinafter referred to as the client) on behalf of
KSR FORKLIFTS LIMITED (hereinafter referred to as the customer).
THE COMPANY SHALL :-

1.0 Carry out evaluation of all machines covered in this contract as stated in first schedule below
before commencement of the contract and ensure all machines are in good state of operation before
commencement. Quote for all necessary repairs to be communicated to client for approval.

1.1 The company shall assign a technician to resume on client site. Duties expected of technician
stated as follows:

➢ Carryout daily inspection on client’s machines in first schedule below to ensure they are working
properly and safely as well as identify the need for repairs. Fill out the inspection reports as per
third schedule to be signed by contact person on client site.

➢ Highlight issues observed from inspection and correct if resources to do so is/are available. If
not, quote for spares required with lead time for delivery clearly stated will be sent for approval
and repairs will be done as soon as delivery is made.

➢ Communicate list of parts observed wearing out and that will need replacement before they are
totally worn to avoid downtime of machines.

➢ Keep inventory of all repairs and parts installation on client’s machine

➢ Communicate with line manager in case there is a job that requires additional hands or machine is
due for maintenance for necessary actions to be taken.

1.1 Maintain full set of tools to cover all foreseeable work.

2 THE CUSTOMER/CLIENT SHALL

➢ Ensure that only trained and authorized operators are allowed to operate machines under this
contract to ensure safety of the equipment and entire work environment.
➢ Ensure that the machines are not tampered with in any way, by in-house or external
personnel except personnel from supplier.
➢ Purchase all service filters and spares in relation to the machines from the supplier.
➢ Ensure fuel/gas supply for IC engine machines and suitable electricity supply for charging battery
powered forklifts.
➢ Provide office space for supplier’s technician to do paper works and keep basic tools for operation.
➢ Ensure the supplier’s technicians have full access to the machines at all times.
➢ Ensure that authorized personnel are available to check and sign the supplier’s “Field
Service Reports” and/or delivery notes once work is completed.

3. SERVICE PROCESS

3.1 All services rendered by The Company under this Agreement shall be performed during the
working hours of The Company as stipulated in the Second Schedule to this Agreement. Any inspection,
repair or routine maintenance services rendered during non-working hours of the Company will attract
off-hours charges at rate of N1000/hour excl Vat on weekdays and N1500/ hour Excl Vat on
weekends/holidays.
3.2 The Company shall only be responsible for assigning service technician who will be responsible for
basic repairs on customer’s machines. Any other repairs which require consumables, spare parts and additional
hands shall be quoted separately and the customer shall accordingly order separately.

4. PAYMENT TERMS:
4.1 The Customer shall pay the Company N0.0 excluding vat for the services
4.2 The Customer/Client shall pay N190,000.00 for accommodation to the forklift
Technician in Ilorin.
4.3 The Customer/Client shall pay for the replacement of defective or malfunctioning parts
of the machines after agreeing the parts to be replaced and the costs thereof with the
company.
4.4 The Customer/Client shall pay promptly any extra charges submitted by the Company in
respect of repairs not covered by this Agreement, provided that the Company shall obtain
the prior approval of the Customer before incurring such extra charges.
5. NOTICES

5.1 All notices, requests, demands or other communications made under or in connection with
this agreement shall be deemed to have been properly given by a party if it is delivered by
hand (including commercial courier), to the recipient at the address listed below (or such
other address as may be notified in writing by one party to the other):

7. KEY PERFORMANCE INDICATORS (KPI)

7.1 Key Performance Indicators (KPIs)

• 100% Compliance to routine maintenance visit.


• Equipment Availability: 95% uptime

• Penalty for loss of availability: The customer shall deduct the shortfall % of availability against
monthly workmanship charges and up to a maximum of 5%.

7.1 The company undertakes the above responsibility provided the Customer shall
7.2 Ensure that the equipment are readily available for maintenance / repairs as at when due for service.
7.3 Procures and stock the spare parts recommended by the company (in mutual consent with
Company) time to time.
7.4 Not to allow any third party or unauthorized personnel to work on the equipment under this
agreement except in instances where the Company fails to perform its obligations under this
Agreement and in this instance the Company shall be liable for the cost incurred by the
Customer for the services of the third party.
7.5 Not procures any spare parts for the equipment from other sources without any proper
justifications / mutually agreed.
7.6 Not allow mal-operation, operator’s negligence, usage of the equipment beyond its capacity and
usage for other non specified applications.
7.7 In case of major breakdown, High Reach Equipment shall respond within 3 hours upon
customer’s call.
7.8 Availability of Spares: Off Shelve-lead time-12 hrs for all service parts in the contract.
7.9 All employee of High Reach Equipment shall be fully kitted with the correct Personal Protective
Equipment(PPE)
7.10 Service engineers on site must comply with international safety standards
7.11 Ensure that standard operating procedures for all activities in the workshop are strictly adhered to.
7.12 Where necessary, High Reach Equipment shall advise stake holders on methods to efficiently use
equipment and reduce down time.
8. CONFIDENTIALITY

7.1 Either party to this Agreement shall treat as confidential and shall not disclose to any third
party any information relating to the operations of the other received in the course of this
agreement and shall not otherwise use such information.

9. APPLICABLE LAW

9.1 This Agreement shall be governed and construed in accordance with the Laws of the Federal
Republic of Nigeria.

9.2 Parties hereto shall endeavour to resolve any dispute which arises between the Parties
through good faith negotiations. Any difference or dispute relating to any matter under this
Agreement which the Parties are unable to resolve will be Referred to Adjudication save
that any difference, dispute or claim for non-payment will be subject to the exclusive
jurisdiction of the courts.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement by their duly authorized
representatives intending to be bound thereby.
