CONSTITUTION
NG’ANIAT VILLAGE
ELDORET
THE CONSTITUTION OF NG’ANIAT CATTLE DIP
1. NAME
The name of the Cattle Dip shall be “NG’ANIAT CATTLE DIP”, hereinafter referred to as
“Cattle Dip”.
2. OBJECTIVES
The objectives of the Cattle Dip shall be:
To control and prevent tick-borne diseases among livestock.
To improve the overall health and productivity of livestock.
To provide a safe, efficient, and affordable dipping service for the community.
To create an enabling platform through which members can make savings.
To enable members to acquire credit facilities.
To establish a forum that will create a network and effective communication among
members.
To remain non-political.
3. MEMBERSHIP
Any person over the age of eighteen (18) years who shares the above interests and shows
commitment shall be eligible for membership of the Cattle Dip and shall, subject to
approval of the office bearers, become a member on payment of the prescribed
membership fee.
Every applicant is required to fill in a Membership application form on joining the Cattle
Dip.
The Cattle Dip attracts a minimum of Ten (10) and a maximum of Thirty (30) members.
Every member shall make a minimum weekly contribution.
Office bearers may refuse admission to a person after assigning reasons for their decision.
Membership of the Cattle Dip shall cease with effect from the date of a member’s:
o Death
o Withdrawal
o Expulsion from the Cattle Dip
o Becoming certifiably insane
o Being declared bankrupt in a Court of Law
Any member can be expelled from membership if the office bearers so recommend and if
a General meeting of the Cattle Dip shall resolve by a two-thirds majority that such a
member should be expelled on the grounds that his/her conduct has adversely affected the
reputation and dignity of the Cattle Dip.
4. NOMINEES
Every member shall nominate a nominee in writing as his/her nominee to whom, on
his/her death, deposits shall be vested and such appointments shall be attested by two
witnesses who are members of the Cattle Dip.
In the event of the death of a member, the Cattle Dip, after satisfying itself and after
obtaining such documentary proof of the death of a member as it may consider necessary,
shall pay to the nominee the value of the deceased member’s deposits, after deducting
such sums as may be due by the member to the Cattle Dip, as soon as possible.
5. OFFICE BEARERS
The office bearers of the Cattle Dip shall be:
1. The Chairperson
2. Vice-Chairperson
3. The Secretary
4. Assistant Secretary
5. The Treasurer
6. Committee Members (5)
All office bearers shall be elected at the Annual General Meeting (AGM) to be held each
year and shall hold office till the succeeding AGM, subject to adhering to the Cattle Dip’s
rules and regulations, and shall be eligible for re-election.
Any office bearer who ceases to be a member of the Cattle Dip shall automatically cease
to be an office bearer thereof.
Office bearers may be removed from office due to gross misconduct. The office bearers
may co-opt on a temporary basis any member to fill such vacancy in the event of such
occurrence.
5.1. DUTIES OF OFFICE BEARERS
5.1.1. CHAIRPERSON
The Chairperson shall, unless prevented by illness or other sufficient cause, preside over
all meetings of the committee and at all General meetings.
The Chairperson, or in his absence, the Vice-Chairperson shall preside at every General
Meeting. In their absence, any member elected by the majority of those present shall
preside.
5.1.2. VICE-CHAIRPERSON
The Vice-Chairperson shall perform any duties as assigned to him/her by the
Chairperson.
In the absence of the Chairperson, the Vice-Chairperson shall chair all sessions. He/she
shall deputize the Chairperson on all occasions.
5.1.3. SECRETARY
The Secretary shall deal with all the correspondence of the Cattle Dip under the general
supervision of the committee. In case of urgent matters where the committee cannot be
consulted, he/she shall consult the Chairperson or, if unavailable, the Vice-Chairperson.
5.1.4. ASSISTANT SECRETARY
In the absence of the Secretary, the Assistant Secretary shall perform all the duties of the
Secretary and such other duties as shall be assigned to him/her by the Secretary or the
Committee whether the Secretary is present or not.
In the absence of the Secretary, the Assistant Secretary shall perform the duties of the
Secretary.
5.1.5. TREASURER
The Treasurer shall receive and disburse, under the direction of the committee, all monies
belonging to the Cattle Dip and shall issue receipts for all monies received by him/her
and preserve vouchers for all monies paid out.
The Treasurer is responsible to the committee and the members that proper books of
account of all monies received and paid by the Cattle Dip are written up, preserved, and
available for inspection.
The Treasurer shall ensure that all payments and expenditures are duly authorized.
The Treasurer shall hold a petty cash of not more than Ksh. 1000.
6. GENERAL MEETING
There shall be two classes of General Meetings: Annual General Meetings and Special
General Meetings.
The Annual General Meetings shall be held not later than 30th December every year.
Notice in writing of such Annual General Meetings, accompanied by the annual
statement of account and the agenda for the meeting, shall be sent to all members not less
than 21 days before the date of the meeting.
The agenda for any Annual General Meeting shall consist of the following:
o Confirmation of the minutes of the previous meetings.
o Consideration of accounts.
o Election of the office bearers and committee members.
o Such other matters as the committee may decide or as to which a member or
members shall have given notice in writing to the Secretary at least four (4) weeks
before the date of the meeting.
o Any other business with the approval of the Chairperson.
The committee may call for a Special General Meeting for any specific purpose. Notice
in writing of such meetings shall be sent to members 7 days before the date thereof.
Special General Meetings may also be requisitioned for a specific purpose by order in
writing to the Secretary of not less than half of the members, and such meetings shall be
held within 21 days of the date of the requisition. No matters shall be discussed other
than that stated in the requisition.
Quorum for General Meetings shall be not less than two-thirds (2/3) of the registered
members of the Cattle Dip.
7. PROCEDURE AT MEETINGS
At all meetings of the Cattle Dip, the Chairperson or, in his absence, the Vice-
Chairperson or, in the absence of both these officers, a member selected by the meeting
shall take the chair.
Resolutions shall be decided by simple voting. In the case of equality of votes, the
Chairperson shall have a second or casting vote.
8. FUNDS
The funds of the Cattle Dip shall be derived from the following sources:
o Membership fee paid upon entrance into the Cattle Dip.
o Facilitation from county government and any other well wishers
The funds of the Cattle Dip may only be used for the following purposes:
o Primarily used for the purchase of the products used in the cattle dip
o For any other purpose deemed beneficial to the members of the Cattle Dip.
All monies shall be received by and paid to the Treasurer and shall be deposited by
him/her in any bank/banks approved by the Cattle Dip members.
9. AMENDMENTS TO THE CONSTITUTION
Amendments to the constitution of the Cattle Dip must be approved by a two-thirds (2/3)
majority of members at a General Meeting of the Cattle Dip.
10. DISSOLUTION
The Cattle Dip shall not be dissolved except by a resolution passed at a General Meeting
of the members by a vote of two-thirds (2/3) of the members present.
11. INSPECTION OF ACCOUNTS AND LIST OF MEMBERS
The books of accounts, all other documents relating thereto, and a list of members of the
Cattle Dip shall be available for inspection at the registered office of the Cattle Dip by
any officer or member of the Cattle Dip on giving not less than 21 days.
12. DECLARATION
We, the officials of NG’ANIAT CATTLE DIP hereby adopt this constitution for and on
behalf of our members:
