This agreement will outline the expectations from this program and what you can expect from the team at the Agency.

TERMS OF AGREEMENT

This agreement shall commence once this contract is signed by both parties unless otherwise
terminated by the Agency or Client or by mutual agreement of the parties herein.

The contract will enter into its first fixed term of 6 months. At the end of each fixed term, both the
client and the agency will be given the opportunity to reevaluate the terms of the agreement. If no
discussion of termination has been raised, the contract will automatically move into a further fixed
term of 6 months

This is a service where the Agency will provide management on the OnlyFans Account with the
following username: @____________, otherwise known as (the “OnlyFans Account”)

PERFORMANCE

The Agency shall have performed and complied with all covenants, agreements, obligations and
conditions contained in this Agreement that are required to be performed or complied with by them,
however the Agency cannot be liable for any injury, harm, loss, loss of revenue/profits, damage or
anything else that occurs while conducting the Services.

CLIENT OBLIGATIONS

The Client is expected to:

1. Provide the Agency with up-to-date usernames and passwords for any relevant social media
accounts where the Agency provides its services
2. To Keep the Agency up-to-date with current contact details
3. Provide regular weekly content to the Agency to use across the Client’s OnlyFans account
and social media channels.

COMMISION AND PAYMENT

The parties will split profits derived by the OnlyFans Account on a ……… basis. The agency will
receive ……… of the net profits from the OnlyFans Account. Any invoices sent to the Client will be
made payable to the Agency within 7 days of the invoice being sent, if an invoice becomes overdue
an autocharge will be issued.

CONFIDENTIALITY

Confidential information refers to any data or information relating to the Client, whether business or
personal, which would reasonably be considered to be private or proprietary to the Client and that is
not generally known and where the release of that Confidential Information could reasonably be
expected to cause harm to the Client.

The Agency agrees that they will not disclose, divulge, reveal, report or use, for any purpose, any
Confidential Information which the Agency has obtained, except as authorised by the Client or as
required by law.

The obligations of confidentiality will apply during the Term and will survive indefinitely upon
termination of this Agreement.

All written and oral information and material disclosed or provided by the Client to the Agency under
this Agreement is Confidential Information regardless of whether it was provided before or after the
date of this Agreement or how it was provided to the Agency.

INDEMNIFICATION OF LEGAL FEES, OUT-OF-POCKET EXPENSES AND LIABILITY

FOR BREACH

Each party shall indemnify the other party from any and all claims, causes of action, suits, damages or
demands whatsoever, arising out of any breach of this agreement by the indemnifying party.

CONTENT PERMISSION

You (the “Client) give permission to the Agency, to use and market your content on OnlyFans and
across all social media platforms during the period of the agreement.

All content, including text, images, graphics, and multimedia, created by Client for Agency under this
Agreement shall be considered "work made for hire" as defined under UK Copyright Law. Client shall
own all right, title, and interest in and to such content, including any and all intellectual property rights.

NO VARIATION UNLESS IN WRITING

No Variation. No amendment or variation to this Agreement shall be of any force unless it is in writing
and signed by both Parties.

SEVERABILITY

Severability Clause. Should any provision of this Agreement be determined to be void, invalid,
unenforceable or illegal for whatever reason, such provision(s) shall be null and void; provided,
however, that the remaining provisions of this Agreement shall be unaffected thereby and shall
continue to be valid and enforceable.

TERMINATION

Either party will have the right to terminate the contract by giving written notice to the other party at
least seven (7) days before the end of the contract.

GOVERNING LAWS AND JURISDICTION

This agreement and any dispute or claim arising out of or in connection with it or its subject matter
(including non-contractual disputes or claims) shall be governed by and construed in accordance with
the law of United Kingdom

AGE OF CONSENT

The client agrees that they are over the age 18 and can legally distribute explicit content to the
Agency.
