End Use License Agreement for music recordings

by Image Sounds GmbH

1. License object

All music and sound recordings (hereinafter referred to as "Music Works") offered by Image
Sounds GmbH („Licensor“) are protected by copyright and related rights of the Federal
Republic of Germany, international treaties and other applicable laws both in Germany and
abroad.

By purchasing and downloading the Music Works you do not acquire property and do not
become the owner of the Music Works but receive a license to use the Music Works in
accordance with the conditions of this license as set out below.

2. Permitted forms of use

By purchasing and/or downloading the Music Works you acquire from Licensor a simple non-
transferable license unlimited as to time and place conveying the right to combine the Music
Works with other pre-existing musical works for any purpose including commercial purposes
for any form of musical product (in particular parts of music, advertising music, production
music, background music for films and computer games, etc.).

You may also convert, store, compress and/or decompress the Music Works according to the
technical requirements of your projects.

This license and its rights are conveyed solely to you. You may not transfer them to third
parties (no sublicensing or transfer of rights).

The Music Works of Licensor are free of third party rights. However, Licensor cannot accept
any liability arising out of the concrete forms of use, in particular from combinations of the
Music Works with other musical works chosen by you. Please respect third party rights (e.g.
copyrights and trademark rights) when using Licensor’s Music Works.

3. Explicit restrictions

The Music Works are designed to suit your needs in creating new works and therefore are
designed to be combined or arranged with other content to form theses new musical works.

Any other form of use is prohibited. Therefore, you cannot reproduce, distribute, make publicly
available, re-sell, rent or lend the Music Works or to offer them for these purposes without
editing the Music Works.
The demo files are intended for pre-listening only and may not be used for any other purpose.

Violations of explicit restrictions of use constitute an extraordinary reason for termination of


this license and may lead to other legal consequences.

4. Final provisions

This License agreement shall be governed by the laws of the Federal Republic of Germany
excluding its reference provisions/conflict-of-law rules of international private law and the
United Nations Convention on Contracts for the International Sale of Goods (CISG).

Place of performance is – where legally permissible – Hannover, Germany.

The place of jurisdiction for all disputes arising from or in connection with this license is –
where legally permissible – Hannover, Germany. The same applies should your general place
of jurisdiction be outside of Germany or in case you move your residence or habitual abode
abroad after concluding this license or in case your residence or habitual abode is unknown at
the time of filing legal action.
