AGREEMENT FOR APPOINTMENT OF TRAINEE

This contract of employment (“Agreement”) is made and effective this [DATE],

BETWEEN: [TRAINEE NAME] (the “Trainee”), an individual with his permanent address
at:

[COMPLETE ADDRESS]

AND: [COMPANY NAME], a company incorporate under the Indian Companies Act,
1956 / 2013, having its registered office at _______________________ (the
“Employer” or “Company”), through its authorized representative Mr.
__________________, duly authorized by the Board of Directors of the company
to execute this Agreement:

The Employer and Trainee are hereinafter collectively referred to as “Parties” or individually as
“Party”.

RECITALS

A. The Company is engaged in the business of _______________.


B. Trainee is willing to be employed by Employer, and Employer is willing to employ
Trainee, on the terms, covenants, and conditions set forth in this Agreement.

NOW, THEREFORE, IN CONSIDERATION OF THE PREMISES AND THE MUTUAL


PROMISES AND COVENANTS SET FORTH HEREIN, THE PARTIES AGREE AS
FOLLOWS:

1. TRAINING
1.1 Duration of training: The Trainee, being a beginner, agrees to be on training for a period
of _____________ months (“Training Period”) commencing from the date of signing
this Agreement, which may be extended or terminated earlier without giving any notice
or assigning any reasons. In the absence of any formal extension or termination the
Trainee shall be deemed to be on training.

1.2 Discipline and salary: the Trainee agrees to adhere to the instructions of his / her
superiors and abide by the shift schedules and rules of the organization even though the
Trainee has agreed to undergo training without the Company obligated to pay any stipend
or salary, whatsoever during training period.

1.3 Suspension of training: If the Management at any point of time finds that the atmosphere
in the establishment is not conducive for imparting training, the Trainee’s training
appointment may be terminated forthwith without any notice or any payment in lieu of
notice or may be suspended till further orders without payment of any stipend or salary.

1.4 Scope of employment: On successful completion of training and on obtaining


confirmation letter by the Company, the Trainee shall be absorbed by the Company. The
above training will neither create any right of employment or right of preference in the
Company.

2. TRANSFER
In order to give the Trainee wider exposures during training, the Trainee may be
transferred to any other section or department in the same establishment or may be
transferred to any other establishment (existing or which may be set up in future) under
the same management anywhere in the country.

3. JOB DESCRIPTION / DUTIES


The Trainee agrees to perform during working hours, all kinds of work assigned by the
Company. The Trainee agrees not to cause any hindrance to the movement of men,
materials and vehicles to and from the premises of the Company, and / or indulge in any
act prejudicial to the business or goodwill of the Company.
4. CODE OF CONDUCT
4.1 Since, code of conduct is uniform and applies to all Trainees, including trainees (even
though they are not paid stipend) in the organization. The Trainee agrees be bound by the
Company’s rules and regulations and other relevant policies and procedures such as, but
not limited to, sickness, absence, staff development & performance review, personal and
professional relationships, occupational stress, working hours, conduct, discipline, casual
and medical leave, and any other matter as though these rules, regulations, policies and
orders were part of this Agreement. Please refer to the Company’s Human Resource
Policy Handbook (“HR Manual”) for the aforesaid rules and regulations.
4.2 Contents in the HR Manual may be changed from time to time and the Trainee is required
to read them and take necessary steps to ensure they are properly observed. In the event,
any provision of the aforesaid rules and regulations being inconsistent with the provisions
of this Agreement, the former shall take precedence.
4.3 The HR Manual forms an integral part of this Agreement and any violation of the rules
and regulations mentioned in the HR Manual shall be deemed to be a breach of this
Agreement.

5. NON DISCLOSURE
5.1 Trainee shall not at any time or in any manner, either directly or indirectly, divulge,
disclose or communicate to any person, firm, corporation, or other entity in any manner
whatsoever any information concerning any matters affecting or relating to the business
of Employer, including but not limited to any of its customers, the prices it obtains or has
obtained from the sale of, or at which it sells or has sold, its products, or any other
information concerning the business of Employer, its manner of operation, its plans,
processes, or other data without regard to whether all of the above-stated matters will be
deemed confidential, material, or important, Employer and Trainee specifically and
expressly stipulating that as between them, such matters are important, material, and
confidential and gravely affect the effective and successful conduct of the business of
Employer, and Employer’s goodwill, and that any breach of the terms of this clause shall
be a material breach of this Agreement.
6. TERMINATION
The Trainee’s service shall be liable to termination without notice and without assigning
any reason, if the Trainee is found suspicious of wrongdoings or indulge in illicit activity
during his / her presence at the workplace or suppress any information or furnish false
information with a view to obtain employment with the Company. Additionally, the
Company takes no responsibility for any unauthorized actions of the Trainee, whether
inside or outside the premises of the workplace.

7. DEFAMATION
The Trainee shall not make false or derogatory statements in private or public or post
derogatory comments on the internet about the Employer’s
practices, character, financial status, morals or reputation. The Employer reserves its right
to take appropriate legal action under the Indian Penal Code (the “IPC”) and other
appropriate legislations for oral or written defamation. For the purpose of this clause
defamation means a false statement, written or oral, about the Employer or its
management that is damaging to the Company's reputation.

8. RETURN OF COMPANY PROPERTY

8.1 Upon completion of training, the Trainee must immediately return all property belonging
to the Company or third party held in connection with employment with the Company.
This includes any computer equipment, mobile phone, pager, keys or office swipe card,
protective safety clothing or equipment and uniforms. The Trainee must also inform the
Company of any computer passwords.
8.2 The Company reserves the right to search the Trainee or any of his/her property held on
Company premises at any time if there are reasonable grounds to believe that the Trainee
is guilty of any breach of the Company’s rules and regulations.

9. SEVERABILITY
Should any part of this Agreement be rendered or declared invalid by a court of
competent jurisdiction, such invalidation of such part or portion of this Agreement should
not invalidate the remaining portions thereof, and they shall remain in full force and
effect.

10. JURISDICTION
All disputes arising out of this Agreement shall be subject to the jurisdiction of courts in
New Delhi.

IN WITNESS WHEREOF, the Parties hereto have executed this Agreement on the date first
above written.
