SERVICE CONTRACT

This Service Contract is made and entered into on 14th July 2024 by and between:

City College of San Francisco

San Fransisco, USA.


(Hereinafter referred to as the "Institution")

Mueke Kamunyu
Nairobi, Kenya.
(Hereinafter referred to as the "Service Provider" or "Software Developer")

WHEREAS:
1. The Institution desires to retain the services of the Service Provider to maintain,
update, and resolve any technical issues relating to the Institution's software
system, and provide other developer-related roles as specified herein.
2. The Service Provider agrees to perform such services for the Institution in
exchange for the compensation and other terms described in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the


parties agree as follows:

1. Services to Be Provided

The Service Provider agrees to provide the following services:

1.1 Maintain and update the Institution’s software systems, ensuring all modules are
functional and up-to-date.

1.2 Diagnose and resolve any technical issues or bugs that may arise in relation to the
software systems.

1.3 Regularly monitor system performance and provide necessary improvements and
updates.

1.4 Collaborate with the Institution's IT staff to ensure smooth operation of all system
functionalities.

1.5 Provide technical documentation and training, if necessary, to the relevant teams at
the Institution.

1.6 Carry out additional tasks that are consistent with the role of a software developer
and deemed necessary by the Institution.

2. Term of the Contract

2.1 The term of this Agreement shall commence on 14th July 2024 and shall continue
for a period of two (2) years, ending on 13th July 2026, unless terminated earlier in
accordance with this Agreement.

2.2 Either party may terminate this Agreement with thirty (30) days written notice,
subject to any conditions set forth in this Agreement.

3. Compensation

3.1 The Institution agrees to pay the Service Provider a monthly salary of Two Thousand
Eight Hundred US Dollars (USD $2800), payable on the last business day of each
calendar month.

3.2 Payments shall be made by direct deposit or any other mutually agreed method.

4. Working Hours and Location

4.1 The Service Provider shall maintain a flexible work schedule, coordinating with the
Institution’s IT staff to ensure timely delivery of services.

4.2 Work may be performed remotely or at the Institution’s premises, depending on the
nature of the task or at the discretion of the Institution.

5. Confidentiality

5.1 The Service Provider agrees not to disclose or misuse any confidential information
relating to the Institution, its staff, students, or software systems, both during and after
the term of this Agreement.

5.2 This obligation shall survive the termination or expiration of this Agreement.

6. Ownership of Work

6.1 All software code, systems, documentation, or other work products created by the
Service Provider during the course of this Agreement shall be the exclusive property of
the Institution.

6.2 The Service Provider agrees to deliver all such work products to the Institution upon
request or upon termination of this Agreement.

7. Indemnification

The Service Provider shall indemnify and hold harmless the Institution from any claims,
damages, or liabilities arising out of the Service Provider’s breach of this Agreement or
negligence in the performance of the services.

8. Termination

8.1 The Institution may terminate this Agreement with immediate effect in the event of
gross misconduct, negligence, or failure by the Service Provider to perform duties
outlined herein.

8.2 The Service Provider may terminate this Agreement with thirty (30) days written
notice, provided that all outstanding duties have been performed.

9. Dispute Resolution

Any disputes arising from or relating to this Agreement shall be resolved amicably
between the parties. In the event an amicable resolution is not reached, the parties
agree to submit the matter to binding arbitration in accordance with the laws of the
state of California.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the
state of California, United States.

11. Amendments

Any amendments to this Agreement must be in writing and signed by both parties to be
valid.

12. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the
subject matter herein and supersedes all prior agreements or understandings, whether
written or oral.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the
Effective Date.
