Terms:

1. Payment Terms:
40-50% Advance: Due at the time of order placement.
30% Pre-Production Payment: Due once the factory confirms that all raw materials and packaging have arrived (this
may vary based on order quantity, volume, and value).
80% Total Pre-Production Payment: To proceed with production, we must receive a total of 80% of the order value.
Remaining 20% Payment: To be settled once the production is complete and ready for dispatch.
Subject to Cheque Realization

Previously, we operated on a 50% advance and 50% before dispatch model, but due to challenges experienced with some clients,
we are implementing these updated terms.

Please note, after establishing trust with 3-4 regular orders, we can consider adjusting the payment terms. We appreciate your
understanding and cooperation.

2. All payments must be made to the Company name: TYMK HEALTH & WELLNESS PRIVATE LIMITED only.
3. Product Delivery Might be Delayed due to Market Conditions, Raw Material & Packaging Material Suppliers. General Delivery
Schedule: 7 to 50 Working days Depending on the Products.
4. Since it is technically difficult to produce an exact batch size for your order, the Final Dispatch quantity may vary by up to 10%.
Please cooperate and coordinate the same with your TYMK relationship manager.
5. The above-quoted prices are based on Ex-works Vadodara, Gujarat, India. Forwarding, Freight, Export Packaging, and Insurance
at extra cost as per Actual.
6. Subject to Vadodara (India) jurisdiction only.
7. Once the proforma invoice is created and payment is received, the customer cannot cancel or modify the order, nor delay
payments, as packing, labels, and raw materials will already be ordered.
8. If You Delay Pickup of Goods due to Anything from Your side or Payment Delay: We will charge You Extra Rs. 700 per Day or 3%
per month whichever higher from the date of our Notification to You.

10. Price Validity: As the raw material market is very unstable, our offer is valid for up to 20 days. Thereafter the same is subject to our
confirmation in writing. Also note that, if required technical product specifications were not given at the time of making this offer, we
might revise our quotation after receiving the new technical specifications, if changes are to be made in the product formulation or
packaging to suit your product.
11. Any Product Permission/ documentation/ Technical Report charges will be charged extra if we have not collected it from you.
12. We Try our Best to Pack the Products well in order to avoid any damage, leakage, or spillage in Transit. The company, however,
will not bear responsibility for any delay, loss, or damage to goods in transit due to the fault of the logistics company or due to
unavoidable circumstances.
13. Any Defect in our Products should be reported within 5 working days of receipt of goods for us to take necessary corrective action.
The Company will not bear responsibility for damage arising out of improper storage or adverse conditions at the recipient's
location.
14. Goods once sold will not be taken back or exchanged.
15. The color & Taste of the Product may vary from Batch to Batch.
16. Pricing Based on Quantity:
The rates we’ve given for each variant are based on the "specified quantity", as per TYMK vendor rates for packaging, raw
materials, and lower factory production costs. If you decrease the quantity, we may not be able to supply the products. But if we still
agree to do so, please understand that the price will practically increase. However, if you increase the quantity, we may reduce
the price and offer extra bulk discounts.
17. General: Any condition or other matter relating to this offer not expressly stipulated, will be a matter of mutual discussion and
agreement at the time of accepting the order. If this offer is accepted & order is placed, all the above conditions of sale stand
automatically accepted by you.

RESEARCH & DEVELOPMENT

18. Terms and Conditions for Matching/R&D Benchmark Products: At TYMK Group, we strive to match your benchmark products as
closely as possible through our dedicated R&D efforts. Please note that while we charge a minimal fee for this R&D service, we
cannot guarantee an exact match to the benchmark samples. Refunds will not be issued if we are unable to meet the exact

R&D Fees: This fee covers the time spent formulating your product, ordering raw material samples, and creating test
samples.

Standard Fee: The fee "Starts from" ₹15,000 INR/ 200 USD + GST per product. This fee might be higher for some
products, depending on the complexity of the formulation and packaging or the availability of raw materials.

Refund Policy: The R&D fee is 100% refundable/adjustable on your first order Invoice, if you place an order worth
₹4,00,000 + GST or more in a single invoice for that "specific product" only. This offer only applies to the 1st order.

✖️Non-Refundable and Non-Adjustable: If the 1st order for R&D Product is less than ₹4,00,000 + GST, the R&D charges
are non-refundable and non-adjustable. The refund policy does not apply to future orders, regardless of their value.

This policy ensures we fairly compensate our efforts in developing high-quality, custom formulations, while also encouraging
larger initial orders.
