We,AGRIDERIA INDUSTRIAL LLC-USA AND AGRIDERIA COMERCIO


IMPORTACAO E EXPORTACAO LTDA-BRAZIL, hereby declare that we have
current contracts with many sugar factories and refineries in Brazil for the
supply for 1 year, renewable, under the contract codes:

AGT/ICSUGARSTM/5102023/RISSUN/

The total of our contracts adds up to a total of One Million Two Hundred Thousand
(1,200,000) tons (MT) of refined white Icumsa 45 sugar per year, of Brazilian origin.

We have availability right now for new contract. The available quantity is
One Million Two Hundred Thousand(1,200,000) tons (MT) per year, with guaranteed
cargo feasibility, depending on the contracts entered into. The loading port is Santos,
Brazil. Our dispatches are according to the destination and unloading capacity in the
ports; this defines the tonnage of the ship and frequency according to the contract.
Due to the flow of cargo and availability within the port flow, the first load and
dispatch is around 35 to 45 days, from the start of the logistics scheduling. Then,
take the frequency agreed and indicated in the specified contract or addendum to it
(signed and sealed) and guaranteed with a financial instrument (SBLC) that has been
received and approved by our bank.

In the mentioned amount AVAILABLE we have considered the amounts of:


1,200,000 MT for one year (1), partial deliveries in twelve (12) months, 100,000
MT per month, for:
RISING SUN ARKAN LTD, MAURITIUS CONTRACT /

Shipments will start the first to second week of January with a total of 100,000
MT to be shipped in 2 or 3 vessels to Bangladesh and UAE, followed by the
regular monthly shipment of 100,000 MT that will take place at the end of
January and will continue per schedule shipments every month of 100,000 MT
in 2 or 3 vessels. Arrivals ports will be informed at least 30 days before
shipments.
