Agreement
Agreement
This agreement ("Agreement") is made and entered into on the date of acceptance by
the Business ("Client") and the Creator ("Creator"). The purpose of this agreement is to
outline the scope of work, services, terms, compensation, fees, raw footage, expenses,
shipping terms, termination, exclusivity, rights to created content, force majeure,
liability waiver, and amendments related to the creation of original user-generated
content (UGC) by the Creator for the Client.

Scope of Work
The Creator will create original UGC in accordance with the specifications outlined in
the Agreement Summary. The UGC will be created for the purpose of promoting the
Client's business, products, or services and will be used for commercial purposes as
outlined in the Agreement Summary.

Services
The following services shall be provided by the Creator as part of this agreement:

Terms
The Creator will begin work on the UGC on the date specified in the Agreement
Summary and will complete the UGC within the timeframe specified in the Agreement
Summary. The Creator will provide the Client with raw footage of the UGC for review
and approval prior to finalizing the UGC. The Creator will make any necessary revisions
to the UGC as requested by the Client.

Compensation
The Client will compensate the Creator for the UGC as specified in the Agreement
Summary. The Creator will invoice the Client for the UGC on the date of completion. The
Client will pay the invoice within 30 days of receipt.

Late Fees
In the event that the Client does not pay the invoice within 30 days of receipt, a late fee
of X% of the total invoice amount will be added for each additional 30 days of non-
payment.

Raw Footage
The Client will have the right to use the raw footage of the UGC for internal use only
and will not use it for commercial purpose. The Client will not have the right to
distribute or use the raw footage for any commercial purpose without the prior written
consent of the Creator.

Expenses & Shipping

The Creator will be responsible for all expenses associated with the shipment of the
UGC to the Client. The Client will be responsible for all expenses associated with the
return shipment of the UGC to the Creator.

Termination
Either party may terminate this Agreement at any time by providing written notice to
the other party. Upon termination, the Client will pay the Creator for any UGC that has
been completed and the creator will return all the raw footage and the final UGC to the
client.

Exclusivity
The Creator will not create UGC for any other business in the same industry as the
Client during the term of this Agreement.

Rights to Created Content

The Creator will retain the copyright to the UGC, but grants the Client a non-exclusive,
perpetual, worldwide license to use the UGC for commercial purposes as outlined in the
Agreement Summary. The Client will not have the right to distribute or use the UGC for
any purpose other than as set forth in the Agreement Summary without the prior
written consent of the Creator.

Force Majeure
Neither party will be liable for failure to perform its obligations under this Agreement if
such failure is due to acts of God, war, strikes, or other causes beyond its control.

Liability Waiver
The Client will indemnify and hold the Creator harmless against any and all claims,
damages, and expenses, including reasonable attorneys' fees, arising out of the Client's
use of the UGC.

Independent Contractor
The Creator shall perform the services under this Agreement as an independent
contractor and not as an employee of the Client. The Creator shall have the right to
perform similar services for others during the term of this Agreement. The Creator shall
be responsible for all federal and state taxes, social security, and any other applicable
deductions required by law to be withheld from the Creator's compensation. The
Creator shall be responsible for providing and maintaining their own equipment,
supplies and insurance necessary to perform the services under this Agreement. The
Client shall not provide any benefits, such as insurance, disability or retirement
benefits, paid time off or any other employee benefits to the Creator. The Creator shall
not be entitled to any employee benefits from the Client.

Amendments
This Agreement may be amended or modified only by a written instrument executed by
both parties. Any amendments or modifications must be in writing and agreed upon by
both parties.

Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the
state of [insert state or country], without giving effect to any choice of law or conflict of
law provisions.

Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to
the subject matter hereof and supersedes all prior agreements and understandings,
whether oral or written.
