Dear Matthew Petchinsky

Mioym Commercial Capital is proposing to provide a loan under the following terms, based on
the information provided. This Letter of Intent is not intended as an exhaustive, definitive, or
all-inclusive description of all terms that will govern the loan.

Lending Entity: MIOYM Commercial Capital and/or its affiliates.


Borrowing Entity: A single-purpose real estate entity is acceptable to the lender.
Use of Proceeds: For commercial purposes only, loan proceeds shall not be used for personal
or consumer purposes.

Term: 24 Month
Loan Amount: $176,250.00
Interest Rate: 12.74%
****Please note rates are not locked or guarantee until all documents are
submitted into underwriting. It can be locked 15 days prior to closing. Term
may be subject to change at the investor’s discretion.

Administration Fee: An Application, Administration Underwriting & Processing Fee of $ 1995


is due and payable to Mioym Commercial Capital by Borrower upon the
closing of the loan. This fee is not refundable, except as otherwise provided
herein.
Origination Fee: A loan fee 4 (points) of the loan amount will be due and payable to the
Lender by the Borrower upon the closing of the loan. This Loan Fee is not
refundable, except as otherwise provided herein.
Guarantors: All members of the Borrowing Entity who own 5% or more.

Collateral: The proposed loan shall be secured by a first mortgage/deed or trust lien on
the Property.
Target Closing Date: 10/20/2023
