I am delighted to offer you a full-time employment in the role of Data Research Specialist in KOL
team. It is intended for you to commence your employment on 17-Aug-22
Please read through this letter Carefully and indicate your acceptance of the offer by signing and
returning a copy of this letter.
1. Your Position
You will be employed on the terms and conditions in this agreement, in the role of Data Research
Specialist in KOL team
2. Location
You will be based at Chennai office.
3. Probationary Period
Your employment will be confirmed subject to satisfactory completion of six months’ probation
period. The probationary period is designed to access your performance and suitability for your role
and employment with the Employer. During the probation period if your performance is not up to
the expectation or you have concealed any material information or misbehavior, your employment
may be terminated by employer upon giving one-week notice.
4. Hours of work
(a) Employer’s ordinary business hours is 0930 am to 0630 pm with 1hr break for tea and lunch.
Office is functioning in shifts, and you agree to work in shifts.
(b) You will not be entitled to receive any remuneration for your work performed outside of the hours
referred to in sub clause (a) above. Whereas at the discretion and prior approval of your manager
based on the project requirement, you may receive remuneration for your work performed outside
of the hours.

6. Leave
You will be entitled to paid leaves in accordance with the applicable laws and the leave policy of the
company.
7. Company Policies
You agree that the Employer’s Policies, as amended or replaced from time to time, shall be binding
upon you but shall not form part of the employment contract.
9. Termination
(a) During the employment, after the probation period either party may terminate this agreement by
providing written notice of one month to the other party.
(b) Not withstanding sub-clause (a) above, the Employer may terminate this agreement by notice
effective immediately without payment (except salary accrued to the date of termination) where you
have committed an act of willful or serious misconduct, very poor performance, are significantly
neglectful of your duties, or you are in breach of this agreement.

Employment contract
This employment contract is signed between Pharma spectra informatics P Ltd and Praveen Kumar
, with the following terms and conditions mutually agreed effective 17-Aug-22.
Working days and hours: Monday to Friday, 9 hours work with 1-hour lunch and tea break,
General shift: 0930 am to 0630 pm; Other shifts also available (with compensation) with extra shift
allowances.
Other benefits: Bonus, Gratuity, PF, ESI and insurance facility etc. as per company policy
b. If the employee violates the stipulated minimum period of 1 year service excluding the
notice period and/or violates the condition of completing the project on hand and
terminates the service without completing the required notice period, then it is agreed that
the Employee shall be liable to compensate the Company all costs incurred on training and
other skill enhancements towards the employee as Rs 50000- or 2-months’ Salary (CTC) of
employee whichever is higher. Company reserves the rights to legally persuading the illegal
separation without fulfilling the conditions.
c. Employee will be governed by company’s code of conduct, rules, policies and procedures
and if there’s any breach of the same or non-performance of contractual obligation or the
terms and conditions laid down in this agreement, the Employee’s service could be
terminated immediately without any notice, notwithstanding any other terms and
conditions stipulated.

NON-DISCLOSURE
AND CONFIDENTIALITY AGREEMENT
1. “Confidential Information” shall mean all information (in written, oral or electronic form) that is
disclosed by the company as being confidential or proprietary in nature or should have been
reasonably understood by the employee to be confidential.
Confidential Information shall include, without limitation, business, financial, accounting, and
marketing information, analyses, forecasts, predictions or projections, technical information,
software, demonstration programs, routines, algorithms, computer systems, techniques,
documentation, designs, procedures, processes, formulas, inventions, specifications, improvements,
concepts, records, files, memoranda, reports, drawings, plans, price lists, customer and supplier
information or other account information, trade secrets, know-how, and other intellectual property.
In addition, the existence and terms of this Agreement, and the fact and substance of all discussions
or correspondence relating to this Agreement, including the identification by name or identifiable
description of the parties, shall be Confidential Information and shall not be disclosed without
consent of the company.
Confidential Information shall not include information that (a) is or becomes publicly available; (b)
is lawfully obtained from any source other than the Company without an obligation to keep it
confidential; (c) is previously known to the employee without an obligation to keep it confidential, as
can be substantiated by written records; (d) is expressly released from the obligations of
confidentiality imposed by this Agreement by the company in writing; (e) is required to be disclosed
pursuant to any applicable law, regulation, judicial or administrative order or decree; provided,
however, that the employee shall first have given prior written notice to the Company to enable the
employee to seek a protective order or other relief from disclosure.
2. In consideration of the disclosure of Confidential Information by the Company, the employee shall:
a) use the Confidential Information received solely in connection with and in furtherance of the
conduct of business and operation, and not for any other purpose whatsoever without the prior
express written consent of the Company, and shall limit access to such Confidential Information
solely to its employees, contractors, agents, advisors and legal representatives with a
need to know for such purpose, and shall advise such individuals of their confidentiality obligations
hereunder; and

b) This agreement is part of the terms and conditions of employment and will be in force during the
employee being in employment and after resigning from the Company for a minimum period of 2
years.
c) refrain from copying or disclosing the Confidential Information received, except as expressly
permitted in this Agreement; and
d) upon the written request of the company, promptly destroy, and certify destruction to the
Company, any and all copies of Confidential Information on any media.
3. Employee agree that the extent of damages to the company in the event of a breach of this
Agreement would be difficult to ascertain and that there may be no adequate remedy at law. In the
event of a breach, the company shall be entitled, in addition to any other remedies it may have at law,
to enforce any or all of the covenants contained in this Agreement by seeking an injunction or other
equitable remedy.
This Agreement constitutes the entire agreement between the employee and the employer and
supersedes any prior or contemporaneous oral or written representations regarding the subject
matter hereof. Nothing contained in this Agreement shall be construed as granting or conferring any
rights by license or otherwise in any Confidential Information disclosed, or under any trademark,
patent, trade secret, copyright, or any other intellectual property right of the company. This
Agreement creates no obligation to purchase, sell, develop, research, or disclose anything; it grants
no license; creates no agency, partnership or joint venture.
4. This Agreement may not be modified except by a written instrument signed by an authorized
representative of the company.
5. Employee should not make any representation or warranty, express or implied, as to the accuracy
or completeness of Confidential Information, and expressly disclaims all responsibility and liability
for all conclusions derived from the Confidential Information.
6. This Agreement shall be binding on the employee and employer, their successors, and assigns, and
shall be governed by the substantive laws of the state of Tamil Nadu without giving effect to
provisions regarding conflict of laws.

The Company will take appropriate legal steps and claim damages if the employee is found negligent
or ignorant in adhering to the above terms and conditions of employment.
Indemnity: Employee agrees to indemnify Company against all losses, damages, claims or expenses
incurred or suffered by Company because of Employee's breach of this Agreement.
Attorney Fees and Expenses: In a dispute arising out of or related to this Agreement, the prevailing
party shall have the right to collect from the other party its reasonable attorney fees and costs and
necessary expenditures.
Governing Law: This Agreement shall be governed in accordance with the laws of the State of
Tamilnadu.
Jurisdiction: Employee consents to the exclusive jurisdiction and venue of the central and state courts
located in Chennai in any action arising out of or relating to this Agreement. Employee waives any
other venue to which Employee might be entitled by domicile or otherwise.
