This Software Development Agreement is made and entered into as of

1.Scope of the project


1.1. Description of services
The Developer agrees to design, develop, and deliver the software product described
as according to the specifications outlined in Exhibit A
attached hereto and incorporated by reference.

2.1. Project Timeline: The Developer agrees to complete the Software according
to the following schedule:

2.2 Extensions: If the Developer anticipates any delay in the completion of the
deliverables, they must promptly notify the Client in writing, providing the
reason for the delay and a new proposed timeline.

3. Source Code Ownership


3.1 Ownership: Upon full payment of all fees owed under this Agreement, the
Developer shall transfer all rights, title, and interest in the Software, including
the source code, to the Client.
3.2 Developer's Retained Rights: The Developer retains the right to use general
knowledge, skills, and experience gained during the project for the
development of other projects, provided that it does not use the Client’s
confidential information.

4. Payment Terms
4.1 Total Fee: The total fee for the development of the Software is
payable as follows:
a) % upon signing this Agreement
b) % upon delivery of the Alpha Version
c) % upon delivery of the Beta Version
d) % upon delivery of the Final Version

4.2 Payment Schedule: Payments are due within days


of receipt of the invoice.

4.3 Late Payment: Any payment not made within days after the due date
shall bear interest at the rate of % per month.
5. Confidentiality
5.1 Confidential Information: Both parties agree to maintain the confidentiality
of any proprietary or confidential information disclosed during the term of this
Agreement.
5.2 Non-Disclosure: Neither party shall disclose the other party's confidential
information to any third party without prior written consent.

6. Termination

6.1 Termination for Convenience: Either party may terminate this Agreement at
any time by providing days' written notice to the other party.

6.2 Termination for Breach: If either party materially breaches this Agreement,
the non-breaching party may terminate the Agreement immediately upon
written notice.

7. Warranties and Disclaimers

7.1 Warranty: The Developer warrants that the Software will perform
substantially according to the Project Specifications for a period of days
following the Final Version delivery.

7.2 Disclaimer: Except as expressly provided in this Agreement, the Developer


disclaims all other warranties, express or implied, including, but not limited to,
implied warranties of merchantability and fitness for a particular purpose.

8. Governing Law

8.1 Governing Law: This Agreement shall be governed by and construed in


accordance with the laws of .

8.2 Dispute Resolution: Any dispute arising out of or related to this Agreement
shall be resolved through ,

9. Miscellaneous
9.1 Entire Agreement: This Agreement constitutes the entire understanding
between the parties with respect to the subject matter and supersedes all prior
