otherwise granting accommodation and/or forbearing to sue at your absolute discretion of forbearing to immediately exercise rights arisen or which may arise
in relation to the aforesaid credit facilities

credit limit that may be stated in any Credit Facility Agreement or under any other agreement or arrangement that may be made between you and the Customer
together with all interest, costs and charges (including all legal charges and expenses on solicitor and client basis) which you may incur in enforcing payment
for the outstanding sum due to you from the Customer.

I/WE do hereby accept and abide by the following terms and conditions of this Guarantee and Indemnity and hereby confirmed that the
content thereof is fully understood by me/us.

1. This guarantee and Indemnity shall be a continuing Guarantee and Indemnity for the debts contracted by the Customer with you
in respect of such goods supplied, services rendered, interest or other charges.

2. This Guarantee and Indemnity shall not be considered as satisfied by any intermediate payment or satisfaction of the whole or any
part of any sums of money owing as aforesaid but shall extend to cover any sum or sums of money which shall for the time being
constitute the balance due from the Customer to you upon any such account as herein before mentioned.

3. My/our liabilities and obligations under this Guarantee and Indemnity shall remain in force notwithstanding any act, omission,
neglect, event or matter whatsoever on you part except the proper and valid payment of all sums due from the Customer and an
absolute discharge or release of me/us signed by you, and without prejudice to its generality, the foregoing shall apply in relation
to anything which would have discharged me/us (wholly or in part) or which have afforded me/us any legal or equitable defense.

4. Demands under this Guarantee and Indemnity may be made by you on me/us from time to time and the liabilities and my/our
obligations under this Guarantee and Indemnity may be enforced irrespective of whether any steps or legal proceedings are being
or have been taken against the Customer.

5. In the event that I/We shall fail to pay any amount when due and payable under this Guarantee and Indemnity, I/We shall pay
interest on that amount from the time of default up to the time of full realization (after as well as before any judgment) at such rate
which you shall have specified from time to the Customer as applicable to the Customer.

6. This Guarantee and Indemnity and your rights under it shall be in addition to and shall not be in any way affected or prejudiced by
your holding or taking other or further Guarantees or securities or by your varying, releasing or omitting or neglecting to enforce
any such securities or by your varying or determining any credit to the Customer or giving time for payment or granting any other
indulgence to or making any other arrangements with or accepting any composition from the Customer or any person or persons,
corporation liable on any bills of exchange, promissory notes or other negotiable instruments or securities held or to be held by
you.

7. You may at any time or times at your absolute discretion and without giving any notice whatsoever to me/us refuse credit or the
supply of any goods and/or services to the Customer.

8. A certificate or written documentation by any of your officers as to the monies and/or liabilities for the time being due or incurred to
you from or by the Customer shall be conclusive evidence in any legal proceedings against me/us, my/our executors and legal
representatives, notwithstanding that the Customer may dispute the amount by virtue of a counterclaim or otherwise arising from
merchantability or fitness or quality of the goods or services rendered.

9. In order to give effect to this Guarantee and Indemnity, I/We declare that you shall be at liberty to act as though I/We am/are the
sole or principal debtor(s) and not merely surety/sureties.

10. This Guarantee and Indemnity shall be both in addition and supplemental to and not in substitution for any other guarantee,
indemnity or security provided for the Customer either given by me/us or by the Customer or any other person or persons to you.

11. I/We hereby undertake and agree to indemnify you from all actions, proceedings, liabilities, claims, damages, interests, costs,
charges and expenses in relation to or arising out of your supply of any goods and/or services to the Customer or the recovery by
you of the monies due to you under this Guarantee and Indemnity.

12. This Guarantee and Indemnity shall not be determined or in any way prejudiced by any change whatsoever in the constitution of
the Customer’s firm or company whether by retirement, expulsion, death or admission of new partners, directors or amalgamation
or the non-registration thereof.

13. In the case where the Customer is a partnership or trusteeship this Guarantee and Indemnity shall remain effective and shall not
be revoked or deemed revoked notwithstanding the death, retirement, change or addition thereto in and about the partnership or
trusteeship and shall in all respects and for all purposes be binding and operative until discharged by performance thereof.

14. No. Assurance, security or payment which may be avoided under any enactment relating to Bankruptcy or under Section 528 and
Section 530 of the Companies Act, 2016 or in statutory modification thereof and no release settlement or discharge which may
have been given or made on the faith of any such assurance, security or payment shall prejudice or effect your right to recover
from me/us to the full extent under this Guarantee and Indemnity.

15. This Guarantee and Indemnity shall continue to bind me/us notwithstanding any change by amalgamation reconstruction of the
respective Guarantors on the Customer and notwithstanding any amalgamation that may be effected by you with any other
company or companies, person or persons notwithstanding any reconstruction by you involving the formation or any transfer of all
of your assets to a new company or notwithstanding the sale of all or any part of any of your respective assets either on a
reconstruction or sale as aforesaid shall or shall not differ in their or its objects character and constitution from you it being the
intent of me/us that this Guarantee and Indemnity shall remain valid and effectual in all respects in favor of, against and with
reference to and that the benefit of this Guarantee and indemnity and rights conferred upon on you hereby may be assigned to and
enforced by any such companies, person, or persons and proceeded on in the same manner to all intents and purposes as if such
company or companies, person or persons had been named herein instead of yourself.

16. A demand in writing hereunder by you or on your behalf shall be deemed to have been sufficiently given if sent by ordinary post to
the last known address(es) or to the address(es) stated hereon of the undersigned and shall be conclusively deemed to have been
received by me/us within forty-eight (48) hours after the time of posting notwithstanding any evidence to the contrary.

17. A failure of any person required to execute this document as co-guarantor shall not be a ground for invalidating this document by
those persons who have already execute the same.

18. This Guarantee and Indemnity shall bind my/our executors, legal representative, personal representative, successors-in-title,
permitted assigns and heirs.

19. I/We hereby agree that you may at your absolute discretion initiate any action or legal proceedings against me/us in respect of all
obligations and liabilities arising out of the terms and conditions set out herein in any court within the Federation of Malaysia as
you deem fit to protect your interest herein.

20. I/We hereby agree that the service of any writ or summons or any legal process on me/us in respect of this Guarantee and Indemnity
may be affected by forwarding the same to me/us by prepaid ordinary post to my/our address(es) mentioned herein or at such
address(es) as may be made known by notice in writing given by me/us to you.

21. I/We hereby acknowledge that I/We hereby execute this Guarantee and Indemnity voluntarily and with full knowledge and
awareness of the term and conditions stated herein and I/We have not executed this Guarantee and Indemnity as a result of any
representation or promise made by or on behalf of you.

Pursuant to the Credit Reporting Agencies (CRA) Act 2010 and Central Bank of Malaysia Act 2009, I/we the undersigned do hereby give
my/our consent to you and CTOS Data Systems Sdn Bhd (“CTOS”), a registered credit reporting agency under the CRA Act to process
my/our company personal data.

By this consent, I/we understand and agree that:

i) You may conduct credit/trade check including CCRIS checks on me/us and when consent has been given individually, on our
directors, shareholders, guarantors, etc. with CTOS at any time for as long as I/we have a trade relationship with you or where any dues
remain unpaid and outstanding with you, for any one or more of the following purposes:
√ Opening of account √ Credit/Account monitoring
√ Debt recovery √ Credit/Account evaluation
√ Credit/Account review
√ Legal documentation consequent to a contract or facility granted by you.

ii) You may disclose any information on my/our conduct of my/our account(s) with you, to any business entity/ies for bona fide
trade checking at any time. I/We am/are also aware and understand that such information will be provided to CTOS, who may in turn
share such information to subscribers of their service.

iii) Where you require any processing of my/our application to be processed by any processing centre located outside Malaysia
(including your Head Office), I/we hereby give consent to CTOS to disclose my/our credit information except CCRIS, to such locations
outside Malaysia.

iv) Apart from the above, I/we the undersigned do give my/our consent to you and the CTOS, to process my/our personal data as
per the PDPA Act.
