CONTRACT AGREEMENT FOR DESIGN PROPOSAL OF

2B+G+12 HOSPITAL and G+7 MIXED USE BUILDINGS

This agreement is made and entered into, on this - between client/owner,


hereinafter referred to as “Client” and whose address is Name ____________

_____ CONSULTANT hereinafter referred to as the “Consultant” and whose

Mail:[email protected]

Definitions:
The “work” means preparation of the design proposal of 2B+G+12 hospital
and G+7 mixed use buildings that landed on 1200 square meters.

The “Supervisor” means a person or company appointed by the client who


provides the client with technical consultancy, and whose address is:

Whereas the Client is desirous of obtaining the service work, for the
preparation Design proposal whereas the consultant is willing to execute
the work for the client under the terms and conditions as set forth in this
agreement.

Now, therefore, in consideration of the mutual covenants hereinafter


contained, the parties agree as follows:

1. GENERAL

The Client is in desire of getting Design proposal including site location plan,
site 3D,Video,Printed proposal Document with Descriptions which will be
approved by the client or client’s representative (supervisor), within the
specified contract time and with contract amount of Ethiopian Birr
15,000/Fifteen Thousands On November 10, 2017.

1. DUTIES AND RESPONSIBILITIES OF BOTH PARTIES

A. DUTIES AND RESPONSIBILITIES OF THE CLIENT

1. The client will pay to the consultant on request and approved by the
supervisor within 5 days based on the amount of work accomplished.
2. The client receives corresponding receipts for payments performed for
the consultant for items, which had been executed and instructed by
the client.
3. If the client doesn’t pay the consultant within 5 days from date of
request, he is required to cover additional incurred cost.
4. The client has the right to hire his own supervisor, so that he will check
and control the work accomplished and approval of the payment asked
by the consultant.
5. The client has to pay 10 percent payment as advance payment against
the issuance of corresponding legal receipt upon signing of the
contractual agreement.
6. Any questions, explanations, and discussions requested by the client
can be made with the consultant or the representative of the
consultant through the client or supervisor when deemed necessary.

B. DUTIES AND RESPONSIBILITIES OF THE CONTRACTOR

1. The consultant shall bring to fruition all the necessary materials, as


well as personnel for carrying out the scope of work stated in the
attachment of Annex I.
2. The consultant must seek the client written approval before
subcontracting any work. Any work where subcontracting is approved
is subject to the same as outlined in this contract unless otherwise
explicitly stated in written document.
3. The consultant shall be solely responsible for and shall, at its own
expense, pay all taxes assessments, royalties or other charges levied
by any government authority in connection with the Service.
4. The consultant shall also be responsible for compliance with all
applicable laws, rules and regulations and obtaining authorities'

approval, licenses, permits for carrying out the scope of the work set
out in Annex I of this contract.
5. The consultant shall complete and submit the first draft document
within Five Days after the advance payment is remunerated.
6. The final document is expected to be submitted within 5 days after the
comments given by the client are incorporated.
7. The consultant will supply his own professionals to execute the work.
8. For any payment the consultant has to give the related corresponding
receipt, and if the payment delayed for more than 10 days after it has
requested, the consultant has the right to stop the work and ask for
compensation.
9. The consultant has to accomplish the work as per the Ethiopian food
quality regulations and standards as well as international standards.
10. Any questions, explanations, and discussions requested by the
consultant can only be made with the representative of the client or
the supervisor during working time.
11. If the consultant doesn’t finish the work within the period stated on this
agreement by unjustified reasons, he is required to pay penalty but the
penalty shall not be more than 10% of the contract.

2. CONTRACT DOCUMENTS

The following document shall be read and construed as mutually explanatory


of each other and form an integral part of this agreement.

3. PAYMENT SCHEDULE

3.1 Advance Payment: The Client shall pay advance payment which
is 10% of the contract price 1,500 /one thousand and five hundred
Birr upon official contract is signed by the two parties.

3.2 Second payment: The Client shall pay 50% of the contract price
which is 7,500/Seven Thousands and five hundred Birr at the
completion and submission of the draft document.

3.3 Final Payment: The Client shall pay 40% of the contract price
which is 6,000.00/Six Thousand Birr at the completion and
submission of the final document, accepted by the client.

4. COMMENCEMENT AND COMPLETION TIME

a. The consultant shall start the required work upon signing of this
agreement.
b. The total of the works shall be completed within a maximum of 10
Days, after singing of this contract agreement.

5. ANNEXES: The following documents are parts and parcel of this


contract, and annexed at the back of this contract.

Annex I – Site location plan, site 3D, Video, Printed proposal


Document.

6. TERMINATION

Both parties shall have right to terminate the agreement by giving 5 days
prior written notice, but the work progress should be ready for measurement.
If the work is terminated for any reason, the rights and obligations of each
party shall be in accordance with provisions of the Ethiopian law.

7. RELATIONSHIP BETWEEN THE CONTRACTOR AND CLIENT

It is to be deemed that, the relationship between client and the consultant is


exclusively under the agreement to cover the work under consideration, No
relationship shall exist between the consultant’s employees, sub-consultants,
and suppliers and any other third parties to be engaged in connection with
the work.

8. AMENDMENT AND MODIFICATION

Any amendment for modifications, if necessary, may be negotiated between


the parties hereto and shall be agreed by a written document signed by both
parties. In witness whereof, the parties hereto have caused this agreement
to be signed and affixed their respective signatures and seals on the date
first above written, in three copies each party retaining one and the
consultant of the work retaining the third.

Based on the conditions provided above, the client and the consultant will
use their maximum effort for the completion of the work. But if there is any
dispute between them they will try to solve the problem through negotiation.
If they can’t solve the problem by themselves they have agreed to take the
issue to the court. This contractual agreement consists of 5 pages, and
follows 1966 civil code of Ethiopia.
