MEMORANDUM OF UNDERSTANDING (MoU)

This Memorandum of understanding is made

BETWEEN

M/s. SHRIJU, 67,4th street, Thiagarajanagar, Tirunelveli, Tamilnadu-627011 hereinafter

referred as THE FIRST PART.

AND

The Chairman, representing

hereinafter referred as THE SECOND PART.

WHEREAS both the parties desire to structure a relationship and enter into a
Memorandum of understanding (MoU)

THEREFORE

IT IS HERE BY AGREED BETWEEN THE PARTIES AS FOLLOWS

1. PURPOSE
1. The Purpose of this MoU is to establish Partnership between the parties for bidding, proposal
submission, RFI/RFP submission for any Skilling Projects from government which is eligible for
SECOND PART related to all relevent sectors for people from rural & urban areas and enriching
their livelihood and that SECOND PART shall execute the schemes by mutually understanding with
the won proposals submitted by FIRST PART from funding agency

2. RESPONSIBILITIES

RESPONSIBILITY OF THE FIRST PART

2. The FIRST PART will use the bid diligence / scheme bids or project details/List to the Second Part
time to time through mail or call or direct meeting.
3. Project Proposal making and documentation related to the schemes time to time as per the
guidelines of funding agency and follow-up the proposal.
4. FIRST PART shall visit the SECOND PART arranged TRAINING CENTER and project location any
time.
5. FIRST PART shall involve business development of SECOND PART
6. FIRST PART shall support in identifying and suggesting the SECOND PART the new business skilling
areas, identification the technical potential Bid, due-diligence in financial bid, submitting
proposals, Monitoring and followups of proposals submitted, Support in guiding the project plan
and project team of Trust, Monitoring and guiding the project for smooth execution by the project
team.
7. FIRST PART shall support in meeting the customer along with trustee for any required business
meeting, attending the project meetings along with project team if required, proposal submission
as and when requested by management trustee, identification of business potentials through CSR
and other schemes.
8. FIRST PART Shall suggest for any consortium kind of arrangements along with SECOND PART
depending upon the requirements of bid.
9. FIRST PART Shall visit the entity floating tenders along with SECOND PART depending upon the
requirements of bid.
10. FIRST PART shall Send the final proposal to the bid inviting agency through their mail on behalf of
SECOND PART and shared with SECOND PART.

RESPONSIBILITY OF THE SECOND PART

11. SECOND PART should Forward the needed documents and informations ontime for the
Proposal/project/scheme of any required details to the FIRST PART.
12. SECOND PART shall pay the consultancy fee of Rs.25000 + GST per month on or before 5th of every
month.
13. SECOND PART shall reimburse any travel expenses happening for the interest of the proposal and
projects to FIRST PART. For long travel regarding the proposal or projects, SECOND PART shall
book tickets for FIRST PART.
14. SECOND PART shall inform their availability within three days for any meeting, business visit,
online meetings.
15. SECOND PART shall share the of the due diligence and any supportive informations to FIRST PART.
16. SECOND PART shall also share any required details required for the submitting of proposals or RFI
17. SECOND PART shall own the whole sole responsibility of running the project successfully.
18. SECOND PART shall give access to any informations to FIRST PART.
19. SECOND PART Shall provide the right information to FIRST PART. SECOND PART shall be
responsible for any wrong informations supplied by SECOND PART
20. SECOND PART support Centre infrastructure with equipment setup related to the project/each
course/proposals won as per guidelines and requirements from the funding agency. Providing
Suitable Venue for training along with infrastructure such as Computers (desktop(S) and laptop(s),
Internet connection, Teachers (trainers, examiners), class rooms(training room, rest room for M/F
separately, Library, Lab, Pantry-optional), , White Board, Furniture, etc.., for conducting the
training programs in accordance with the requirements of funding agency.
21. Meeting all the maintenance cost of the training center with the specified equipment shall be
arranged by SECOND PART.
22. All the project related expenses cannot be affecting the 20% of the project value to be given to
FIRST PART.
23. All the correspondence of letters related to the Scheme must be communicated only in E-
mail or written form for both PARTIES.
24. SECOND PART co-ordinate with the instructions given by the FIRST PART for project
or proposals and Training.
25. Apart from the mentioned terms, if any other to be implemented should be discussed by
both parties.

3. FINANCIAL CONSIDERATION

Financial Consideration as agreed between the Parties as per the terms mentioned in below

1. The financial Sharing of 20% of the project value with FIRST PART (SHRIJU)
2. SECOND PART should pay the quoted percentage for the project cost to FIRST
PART released from the funding agency at first two payment stage of the program.
3. The payment percentage agreed with FIRST part incase of winning the proposal may
be paid made as a consultancy fee may be adjusted incase of any of the proposals is
succeeded.
4. Payment will be released by SECOND PART to FIRST PART within 7 working days
when the fund is released from funding agency.

4. REPORTS AND DOCUMENTATION

1. This MoU is valid for two yeas from the date of signing.
