WEBSITE DEVELOPMENT AGREEMENT

This Agreement is entered into on 4/1/2024 between Sami (hereinafter


referred to as the "Client"), and [CONTRACTOR NAME], with its principal
office at [ADDRESS] (hereinafter referred to as the "Contractor").
WHEREAS, the Client desires to have a website developed for its consulting
firm, and the Contractor has the necessary expertise and resources to
provide such services.
NOW, THEREFORE, in consideration of the mutual promises and covenants
contained herein, the parties agree as follows:

1. Scope of Work: The Contractor shall develop a fully functional


website for the Client using WordPress and pre-existing themes. The
website shall be designed and developed in accordance with the
references provided by the Client, specifically the websites bain.com
and lek.com. The Contractor shall be responsible for implementing
all necessary features, functionality, and design elements to ensure a
professional and user-friendly website.

2. Deliverables: The Contractor shall deliver a fully functional and


responsive website for Sami, including all necessary pages,
navigation menus, and content management capabilities. The website
shall be optimized for various devices, including desktops, tablets,
and mobile devices.

3. Content and Materials: The Client shall provide the Contractor with
all necessary text-based content for the website. The Contractor shall
be responsible for sourcing and implementing open-source graphics
and images with Creative Commons rights for use on the website.

4. Hosting and Domain: The Client shall provide the hosting space and
domain name for the website.

5. Timeline: The Contractor shall complete the development and


delivery of the fully functional website within 15 days from the date
of this Agreement.

6. Compensation and Payment Terms: The total fee for the services
rendered under this Agreement shall be USD 180 (One Hundred and
Eighty United States Dollars). The payment shall be made as follows:
a. 50% of the total fee (USD 90) shall be paid as an advance payment upon
the execution of this Agreement. b. The remaining 50% of the total fee
(USD 90) shall be paid upon successful delivery and acceptance of the fully
functional website by the Client.

7. Intellectual Property Rights: The Client shall retain all intellectual


property rights, including copyrights, trademarks, and other
proprietary rights, to the content and materials provided to the
Contractor for the development of the website. The Contractor shall
not use or reproduce any of the Client's intellectual property without
prior written consent.

8. Confidentiality: The Contractor shall maintain the confidentiality of


all information, data, and materials provided by the Client and shall
not disclose or use such information for any purpose other than the
performance of this Agreement.

9. Termination: Either party may terminate this Agreement upon


written notice to the other party if the other party breaches any
material provision of this Agreement and fails to cure such breach
within 5 days after receiving written notice of the breach.
10. Entire Agreement: This Agreement constitutes the entire
agreement between the parties and supersedes all prior agreements,
understandings, and negotiations, both written and oral, between the
parties with respect to the subject matter hereof.

11. All the information provided by the employer to the contractor is


considered confidential by the contractor and the contractor is obliged to
keep the given information and does not have the right to give this
information to others.

12. The contractor undertakes to solve all technical problems related to


the website during the contract

13. In case of settlement, the contractor must train the management of


the final plan and provide him with the necessary information according to
coordination with the employer's representatives

14. If the employer requests additional training sessions after receiving


the correct training, the employer must pay the fee determined by the
contractor.

15. The contractor has the right to sign the delivered plan in the
appropriate place in a way that does not damage the original plan, unless
the parties agree on this matter.

16. If the employer requests not to sign the plan, he must pay 800
thousand Tomans to the contractor for not including the name of the
contractor in the plan.

17. If several preliminary plans are submitted by the contractor to the


client for review, after selecting the appropriate preliminary plan, the
client is required to return all the other plans to the contractor and will not
have any ownership rights to the other plans. Other plans belong to the
contractor.

18. Payment of all legal deductions of the contract amount is the


responsibility of the employer and the contract amount is paid to the
contractor in net form.

19. The contractor is not responsible for the access of the security
information of the website to other people in any way by the employer.

20. The contractor will not have any responsibility for the signs (domains)
registered by the employer somewhere other than the contractor's official
website.

21. In case of registration of the website token (domain) through the


contractor, the employer undertakes to pay him the annual fee related to
the renewal of the domain token according to the daily tariff listed on the
official website of the contractor. The domain token is according to the
daily tariff. to pay him listed on the contractor's official website.

22. The employer undertakes to pay the daily fee listed on the
contractor's official website for the request to add new features to the
website after signing the contract.

23. The employer undertakes to provide the basic information such as the
mark (domain), images, catalog, etc. before submitting the initial plan.
Obviously, if the employer does not cooperate, The contractor can not
provide the initial plan.

24. The employer undertakes to pay for any change request that leads
to redesign or changes in a part of the plan after the approval of the plan,
according to the daily rate listed on the official website of the contractor
or the estimate of the contractor.

IN WITNESS WHEREOF, the parties have executed this Agreement as of


the date first above written.
