2.1 Freight Components

2.2 Fuel Escalation Clause
Average Base diesel price in Rs 92.75across 4 Metro cities of India. Reference IOCl website. For every Rs.3-increase / decrease of Diesel price from
basic rate, there will be a corresponding increase / decrease of 2 % In DFS. Reduction is Diesel fuel Surcharge is not applicable for Diesel price
below the price, on date of signing.
2.3 GST
As for GOI Notification, i.e, Surface -12% & Warehousing/AIR/Train - 18%
2.4 Payment Terms
Transportation bills will be submitted fortnightly on booking basis E-POD's.

The payments should be made within 30 days from the date of submission of bills for transportation bills

All payments should be made by account payee check in favour of "OM Logistics Ltd." or via NEFT.

Bill payments should not be linked to claims/damages. Such cases shall be settled separately.

Bill enclosures, if any, should be specified.

2.5 Claim Procedure

In event of any damage, loss or pilferage during transit of goods, OLL will issue an certificate of fact to enable "M/s MAGNUS BIOTECH to claim
the loss from their insurers , for all claims. No debit/deduction in freight bills will be accepted on part for damages/shortage/pilferages.

2.6 Liability Clause

OLL will not assume any repsonsibility or liability for any loss direct or consequential irrespective of the amount involved due to delay in pickup,
transportation or delivery of shipments. OLL will also not be held liable for any loss or damage to "M/s MAGNUS BIOTECH" arising out of force
majeure circumstances such as, but not limited to, acts of God, act of war, civil commotion, sabotage, flood, fire, strikes or any other causes beyond
the control of OLL.
2.7 Hamali/Labor/Varai Charges
Hamali/Varai/Union charges will be payable from either c/nor or c/nee. If OM pays the same at either of the ends, the same will be billed for
reimbursement.

In case of Union Issue for vehicle, the collection or delivery charges will be separate. Either the material need to be made available to out nearest
branch or else the special charges for material collection or delivery will be applicable.
2.8 Validity Clause
Offer Validity till 30/09/2025
2.9 ODA/Extra Service Station Deliveries
Location not having OLL Offices are termed as ESS locations. In case of ESS (Extra Service Stations) following slab will be applicable from Nearest
Deliveries Location and the deliveries will be arranged M/s Om Logistics Ltd. As a special case. The charges will be applicable as per following table.

(The above ODA costing is applicable for normal shipment / in case of ODA shipment ODA charges will be Extra).

ESS charges we be in addition to Existing Freight charges.

For a delivery destination having a distance of more than 501 Km special delivery Approval required from the Customer.
There will be extra Transit Time which gests added to normal Transit Time for all ODA location and Extra handling charges will be applicable for
ODA Location.
For Urgent and Fast deliveries for ODA location the consignor/Nee should pay the Special delivery amount that will be depend upon the mutual
discussion and consent and should be confirmed and communicated through mail.
Given slab rate will not be applicable for NORTH east seven sister Locations & Port Blair, Leh , rates for these will be decided & approved on
case to case basis.
2.10: Loading/Unloading
Loading and unloading has to be arranged from customer end at their respective premises.

2.11: Demmurage charges

Will be charge @ Rs .2 per kg per day basis after a grace period of 15 days from the date of booking of material at our branch/hub.
2.12: Price Escalation
In the event of any hike in input costs, Vehicle Operational Cost, Air Freight Rates, Statutory Levies etc. during the contact period, OLL shall be have
the right to revise the rates accordingly.
2.13: E-Way Bill Implications
OM Logistics Ltd, shall not be held responsible for any penalty arising out of expiration of E-way bill. It is solely responsibility of the customer to
bear the same in case of non-compliance, if any?

Shipments which have expired E-way bill shall not be delivered till fresh valid E-way bill is provided.

Warehousing charges shall be applicable on all such shipments which are beyond the contracted warehousing time, Irrespective of the fact that
whether material could not be delivered due to E-way bill expiry.

Proposal Validity: This commercial offer will be valid for 30 days from the date this proposal was prepared.
