DEED OF ASSIGNMENT (DOA)

This Deed of Assignment (the “DOA”) is entered into 20 day of September 2024 (the
“Effective Date”) by and between MR. RAMON REVAMONTE REVILLOSA JR.,
(the “Provider”) in his own right of legal age and with full knowledge and consent, a
Filipino citizen bearing Passport Number: PO621651B with Date of Expiration 10
February 2029., who from here on and for the purpose of this here Deed of
Assignment shall be known as “Party 1”.

And,

MR. FREDERICK A. EDUVANE, (the “Assignee/Receiver) in his own right of legal

age and with full knowledge and consent, a Filipino Citizen bearing Passport
Number: P1216225B DATE OF EXPIRATION: 26 Mar 2029., Who from here on and
for the purpose of this here DEED OF ASSIGNMENT shall be known as “Party 2”.

Whereas, the Provider sends a Cashier’s Check with the face value of $
300,000,000.00 (THREE HUNDRED MILLION USD) which is clean and cleared, free
of any encumbrance, of non- criminal origin, and is irrevocable, transferable,
unconditional and confirmed for cash payment of full-face value at maturity by the
Issuing Bank.

Whereas, it is also acknowledged that the “Party 1” is Ready Willing and Able
(RWA) to assign the cashier checks issued by The HSBC (UK), to the Banking
Institution provided by MR. FREDERICK A. EDUVANE, “Party 2” for the
aforementioned monetizing purpose, declaring that as a seasoned and informed
investor and are entering into this of his/her own free will and in complete control of
mental capacity without undue pressure and not under duress.

Due to the abovementioned assignments signed between the parties; this Check will
be sent on behalf of FFP CONCEPT PLANNING SOLUTION CORPORATION and
as a guarantee of all obligations of FITIMAGE CO., LTD in the abovementioned as
assignee.

1. Transaction Mode 1) Both Party’s will sign this DOA and commit too
each other that they are Ready Willing and Able to
proceed with this project.
2) Provider delivers the Cashier’s Check via Swift
MT-760 to Receiver’s Bank.
3) Receiver authenticates and verifies the Cashier’s
Check with 300M USD face value
4) From the 50% of the face value, Receiver
returns the 50% according to Provider desire that
will be in Cash, whilst 50% will be intended for
trading all by trances.

2. Returns
Seventy-two (72) hours or Three (3) Banking days

after confirmation of CC - 50% of the face value

3. TERMS  Agreed 50/50 percent (%) due for sharing within 3
Banking days only, obligatory and enforceable
once the Cashier’s Check issued and advise to
the Receiver Bank is accepted.

 In the performance of their obligations under this

Agreement, parties shall comply strictly with all
laws, regulations, orders and policies having the
force of law of Philippines and South Korea where
applicable, all laws, regulations, orders and
policies having the force of law of any other
jurisdiction, including without limitation.
Assignment Procedures

1. Both Parties will sign this DOA and commit to each other that they
are Ready Willing and Able to proceed with this project;
2. Provider delivers the Cashier’s Check via Swift MT-760 to Beneficiary’s
designated account within 3Banking Days;
3. SWIFT copies of MT760 to be sent via e-mail to all parties.
4. Receiver authenticates and verifies the Cashier’s Check.
5. Receiver pays within seventy-two hours (72) Hours or three (3) Banking
days from the date of receipt from the Provider.

THE PARTIES COMMUNICATION

For communication, the Parties may use the following coordinates, with written
communication preferred for keeping records, always sending a copy of the
communication to their direct authorized consultant/ representative.

NON-SOLICITATION

The Receiver hereby confirms and declares that the Provider, its associates or
representatives or any person or persons on its behalf has/have never solicited the
Receiver, its shareholders or associates or representatives in any way whatsoever
that can be construed as a solicitation for this transaction or for future transactions.

NON-CIRCUMVENTION & NON-DISCLOSURE

The parties herein agree that non-circumvention/non-disclosure rules of ICC, latest

edition, shall apply to the transaction for a period of Five (5) years from the date of
execution of this agreement by the undersigned, his/her Provider, and agents. This
NC/ND also applies to any and all other transaction direct or indirect. Regarding this
transaction and its possible rolls and extensions, the Provider and his authorized
representative warrant not revealing the banking coordinates, provided herein, to
any individual or institution other than those banking officers necessary for
completion of this transaction.

FORCE MAJEURE

Any delay in or failure of performance by either party of their respective obligations

under this agreement shall not constitute a breach hereunder or give rise to any
claims for damages if, and to the extent that such delays or failures in performance
are caused by events or circumstance beyond the control of such party.

The term “Beyond the Control of Such Party “Include Lawful order of Government or
Authority, Act of War, Rebellion or Sabotage, Fire, Flood, Earthquake or other
natural disasters. Any other cause not within the control of such party or which is by
exercise of reasonable diligence, the party will be unable to foresee or prevent or
remedy.

EMNIFICATION

The Parties here to agree to indemnify and hold each other harmless from actions,
debts or liabilities caused or taken by the counter party. Each Party shall be liable
only for their own actions, debts, or liabilities, except such expenses/fees as
mutually agreed in writing.

ARBITRATION

All disputes and questions whatsoever which arises between the parties to this
agreement and touching on this agreement on the construction or application thereof
or any account cost, liability to be made hereunder or as to any act or way relating to
this agreement shall be settled by the arbitration in accordance with the arbitration
laws of the ICC.

This agreement contains the entire agreement and understanding concerning the
subject matter hereof and supersedes and replaces all prior negotiations and
proposed agreements, written or oral. Neither of the parties may alter, amend, nor
modify this agreement, except if mutually agreed in writing signed by both parties.
This agreement will be governed and construed in accordance with the laws of
England and Wales, In the event that either party shall be required to bring any legal
Actions against the other, enforcing any of the terms of this agreement the prevailing
party shall be entitles to recover reasonable attorney fees and costs.

TAXES, DUTIES AND EVENTUAL EXPENSES

Each party, individually and separately accept liability for any taxes, imposed, levies,
duties or charges that may be applicable in execution of their respective roles and
receipt of funds pursuant to this agreement.

GOVERNING LAW

This Agreement shall be governed and shall be construed in accordance with the
laws of the England and Wales, in effect on the date of its execution. The parties

choose the courts in England and Wales as having exclusive jurisdiction over the
parties and the subject matter of this agreement and the sole proper forum for the
adjudication of any dispute arising hereon- der. Said law shall be applicable law
governing the construction, performance, interpretation, execution, enforceability,
validity and any other such matter regarding this document.

CONDUCT OF THE PARTIES

In carrying out its responsibilities pursuant to this Agreement, by the Party, shall at
all times act in a lawful and ethical manner and abide by all applicable statutes, laws,
rules and regulations.

ORIGINAL OF COPIES

Scanned emails copies of this Agreement, including the signatures shown herein,
shall be deemed as valid as originals. This Agreement shall be accepted to be legal
and binding by both parties if executed and sent by fax and/or email direct to the
parties concerned at the numbers contained within this Agreement.

This has been written and agreed upon completely by all parties, in two (2) originals
and identical copies, one for the Provider and one for the Receiver, and dated 29
October, 2024 and is signed for acceptance by the receiver below.

EDT (Electronic Document Transmissions) to be accepted by the parties.

All communication and notices concerning this Agreement will be in writing and sent
by the hereinafter referred as official email address with hard copy (if requested)
sent to the physical address, both considered same as legal and fully enforceable.

a) EDT (Electronic document transmissions) shall be deemed valid and

enforceable in respect of any provisions of this Contract.

b) Incorporate U.S. Public Law 106-229, ‘‘Electronic Signatures in Global

and National Commerce Act’’ or such other applicable law conforming
to the UNICITRAL Model Law on Electronic Signatures (2001) and
ELECTRONIC COMMERCE AGREEMENT (ECE/TRADE/257,
Geneva, May 2000) adopted by the United Nations Centre for Trade
Facilitation and Electronic Business (UN/CEFACT).

c) EDT documents shall be subject to European Community Directive

No. 95/46/EEC, as applicable. Either Party may request hard copy of
any document that has been previously transmitted by electronic
means provided however, that any such request shall in no manner
delay the parties from performing their respective obligations and
duties under EDT instruments.

d) Signatures on this agreement received by the way of facsimile, mail

and / or E-mail shall be deemed to be an executed contract. This
Agreement is enforceable and admissible for.

e) All signatories hereto acknowledge that they have read the foregoing
agreement and by their initials and signature that they have full and
complete authority to execute this document for and in the name of
the Party for which they have given their signature.

full personal and corporate responsibility under penalty of perjury entering into this

Agreement with MR. FREDERICK A. EDUVANE, and his business associates for

the purpose of effecting a full compliance and to assist them to create a clear
business relationship between us.

Henceforth, I am engaging into financial business activities which will be offered to

me using financial assets at my complete disposal in different Banking Institutions in
several countries around the world and this activity is determined to create mutual
revenues.
