Curren$y - Artist Feature Agreement

This agreement ("Agreement") is entered into by and between:

Licensor: 808 Kartel Studio LLC

For valuable consideration, the receipt of which is hereby acknowledged, the


undersigned parties, hereinafter collectively referred to as the "Parties," do hereby
agree as follows:

This licensing agreement (the "Agreement") is entered into as of the date first
mentioned herein (the "Effective Date"), by and between the party identified as the
"Licensee," and DJ Flippp, acting on behalf of 808 Kartel Studio LLC, hereinafter
referred to as the "Licensor."

Representation and Warranty of Mechanical Rights


The Licensor hereby affirms and guarantees that it holds the sole and exclusive
mechanical rights to the copyrighted musical compositions enumerated individually
as follows:

TRACK INFORMATION:
• The presentation format for the track should always be:

(ARTIST) – (SONG TITLE) feat. CURREN$Y (PROD. _________________)

In the event that the Licensee introduces any supplementary featured artists, their
acknowledgment shall occur solely by referencing their names subsequent to the
previously mentioned names above.
• Important note: As the Licensee, you hold the position of the PRIMARY /
MAIN ARTIST, and it is imperative that all "FEATURED ARTISTS"
(CURREN$Y) are exclusively acknowledged as such and not designated as
additional PRIMARY / MAIN ARTISTS. I.E. You cannot label Curren$y as a
PRIMARY / MAIN ARTIST.

Failure to comply with these terms will lead to the removal of your
composition from online commercial distribution, as well as the
potential loss of all future distribution rights linked to your artist name
due to deceptive representation.

• Furthermore, the Licensee is expressly prohibited from registering their


song with Curren$y with any content identification system.

Failure to adhere to this guideline will result in this contract being


terminated indefinitely.

• Additionally, if an Artist Licensee or their Agency intentionally uses


streaming or playlisting bots or engages in actions to artificially boost online
streaming numbers as detected by individual DSPs, they could face an
immediate account penalty. This penalty may involve your song being removed
from online distribution and the potential forfeiture of all earnings from the
affected tracks.

• Please take note that the original instrumental composition by DJ Flippp


must be preserved for the track, unless a distinct Instrumental Transfer Rights
Agreement is formalized between the Licensor and the Licensee.

Master Use. The Licensor hereby grants to Licensee a non-exclusive license to record
vocal synchronization to the aforementioned track and its constituent elements partly
or in its entirety and substantially in its original form ("Master Recording"), utilize the
identities, visual representations, and resemblances of all entities affiliated with the
track to enhance the utilization and prominence of the track, as authorized by the
Licensee on a global scale. The Licensee shall possess exclusive rights to the master
of their own derived work for all intents and purposes stipulated within this
agreement.

Mechanical Rights. The Licensor hereby grants to Licensee a non-exclusive license to


use Master Recording and/or any resultant adaptation in the reproduction,
duplication, manufacture, and distribution of phonograph records, cassette tapes,
compact disk, digital downloads, other miscellaneous audio and digital recordings,
and any lifts and versions thereof (collectively, the "Recordings", and individually, a
"Recordings") worldwide for up to the pressing or selling a total of Five Thousand
(5,000) copies of such Recordings or any combination of such Recordings.
Additionally, licensee shall be permitted to distribute Fifty Thousand (50,000) internet
downloads or streams for profit and commercial use across all major streaming
platforms, including, but not limited to; Spotify, Apple Music, YouTube, Soundcloud.
Furthermore, licensee shall be permitted to distribute Unlimited free internet
downloads or streams for non-profit and non-commercial use.

This is all contingent upon the subsequent payment schedule:

a. The complete payment amount specified must be received by the date of this
agreement's issuance.
b. Upon full payment reception and the formal execution of this agreement, the
Licensee is obliged to complete the document and return the signed copy to
the Licensor and all designated representatives.

Recommended music distributors for independent uploads include


www.distrokid.com, www.reveldistro.com, www.mediafamous.com, and United
Masters. It is essential to note that the provision of services by digital service
providers (DSPs) is subject to the criteria and assessments set forth by each
respective company. These criteria operate independently, governed by their distinct
terms, and are separate from the assurances and protective measures outlined in this
agreement.

official partnership with them.

Performance Rights. The Licensor hereby grants to Licensee a non-exclusive license


to use the Master Recording in paid performances, shows, or concerts totalling up to
$1,000 (USD). An upgraded license (³Unlimited Non-Exclusive Licence) is needed for
additional usage. Unlimited non-profitable performance purposes are permitted.

Synchronization Rights. The Licensor hereby grants limited synchronization rights for
Fifty Thousand (50,000) video streams on all total sites. A separate synchronization
license will need to be purchased for distribution of video to Television, Film or Video
game.

Broadcast Rights. The Licensor hereby grants to Licensee broadcasting rights up to


One (1) Radio Station. An upgraded license (“Unlimited Non-Exclusive License) is
needed for additional usage.
Reciprocal Obligations. In consideration for the rights conferred upon the Licensee by
this Agreement, the Licensee shall remit the designated fee to the Licensor, in
accordance with the terms previously delineated. Additionally, the Artist(s) and/or
their duly Authorized Agent, acting as a representative of the Licensor, hereby affirm
that they have duly acquired all requisite third-party consents and authorizations,
allowing for the lawful duplication and exploitation of the "Track(s)." Furthermore,
they pledge to indemnify and absolve the Licensee, its assignees, licensees,
representatives, and affiliates from any liability arising from non-compliance with the
stipulations herein. Such compliance shall serve as a warranty and representation of
their status as authorized agents for the respective track and its components, as
itemized in Section 4 below, devoid of any conflicting legal obligations that might
impede the success of this recording.

Delivery of Materials. Upon the receipt of the payment, the Licensor shall furnish the
Licensee with the ensuing audio and data materials in the prescribed sequence:

a. Mastered Audio Files:


i. Beat 1 ft Curren$y
ii. Beat 2 ft Curren$y
iii. Beat 3 ft Curren$y
b. Curren$y – Acapella x Adlib Wav Stems (Applicable only if stems
upgrade has been purchased)

Exclusive Ownership of Adaptations. Both Parties mutually comprehend and endorse


the principle that the Licensor shall continue to retain exclusive ownership and
master rights to the original composition. Conversely, the Licensee shall possess the
exclusive rights to their derivative works (hereinafter referred to as the "Licensee
Master"), which are distinct from the original format as created by the Licensor.
However, Licensee understands they are still unable to register their Track(s) with
any content identification system as this is not within their rights agreed in this
documentation.

Copyright Entitlements. The Licensor and the Licensee hereby acknowledge that all
artists enumerated in the "Contents" section shall be entitled to the apportioned
publishing rights as remuneration for the Recordings or their utilization across
various media platforms. It shall be the duty of the Licensor to promptly notify their
respective publishing entities upon the release of the composition by the Licensee.
Prohibition of Assignment. The Licensee and any identifiable third parties associated
with the Licensee at the time of this Agreement's transmittal explicitly recognize that
they are without any authority to transfer or assign this Agreement and the
accompanying rights to any third-party entity. Any such transfer or assignment shall
have a direct bearing on the validity and enforceability of this Agreement. The
Licensor shall serve as the sole repository of records for each Licensee granted
herein, and no other party shall have the prerogative to reproduce, publish, or
disseminate the names of the Artist(s), whether individually or collectively, inclusive
of the service marks "CURREN$Y.". This shall pertain to all rights conferred herein, as
well as all promotional and marketing activities.

Comprehensive Understanding. This Agreement represents the complete


comprehension and consensus of the Parties concerning its subject matter. No
amendments, alterations, or modifications to this Agreement shall be legally binding
unless effected through a duly executed instrument, bearing the signatures of both
the Licensee and the Licensor. The validity, interpretation, and legal consequences of
this Agreement shall be governed by the laws of the State of California, United States,
in accordance with the registration records of the Licensor's business.

Legal Advisory. The Parties hereby acknowledge that they have been duly advised by
a third-party entity to seek independent legal counsel prior to executing this
Agreement. Furthermore, each Party explicitly acknowledges either securing
independent legal counsel or voluntarily waiving the right to do so.

IN WITNESS WHEREOF, the Parties hereto have executed this Agreement as of the
aforementioned Effective Date.
