Dear Ms. SIMBRAM DAS,

With reference to your application and subsequent interview you had with us, we are pleased to appoint you
as “2D Artist". The appointment willcome with effect from 03.09.2021. This offer is governed by the following
terms and conditions.

Ø You will be under probation for a period up to 3 months from the date of joining. During the period of
probation, the company shall assess your progress in terms of job, knowledge, skills, attitude, conduct and
discipline periodically and subject to the satisfaction of the company, your appointment will be confirmed at
the end of probation period.

Ø In case the company finds your progress is not satisfactory or otherwise, your services will be terminated
without any notice or payment in lieu thereof during the period of probation. If you desire to leave the
organization at any future time, you will be able to do so only after completion of the probation period, subject
to adherence of notice period given elsewhere in this letter.

Ø You are eligible for maximum of 3 leaves in the probation period and after the completion of probation you
are eligible for regular leaves as per the rules of the company subject to prior sanction.

Ø The salary and the various other monthly and annual benefits available to you are indicated in annexure-A.

Ø During your employment with WAYY STUDIOS (OPC) PRIVATE LIMITED, you will devote full time attention
to the duties assigned to you from time to time. You shall not engage yourself in any other employment or
business without prior written permission of the company.

Ø You shall not take up either full time or part time assignments with the client companies of WAYY STUDIOS
(OPC) PRIVATE LIMITED for one year from the date of relieving.

Ø You will keep us informed of any change in your residential address/phone numbers in writing within three
days from the date of change. All communications mailed to you by the company to the last address given
by you shall be deemed to have been received by you.

Ø Designation does not imply a related set of duties. Management reserves the right to assign duties from time
to time, depending upon company needs.

Ø You will be responsible for the safekeeping and return in good condition and order, of all company properties
which may be in your use, custody or charge.

Ø It is important to note that behavior towards any client, colleague or member of the public that you may come
across, in the course of your official dealings, should be polite and courteous. The Management reserves
the right to take disciplinary action against you, should there be instances of your misbehavior coming to
light, as quoted above.

Ø You may be required to undertake travel on company’s work as and when required. In case of travel on
company’s work, you are entitled to such travel expenses/allowance as may be in force from time to time.

Ø Please note that our offer is subject to references provided by you indicating satisfactory account of you and
you being found medically fit as declared by you.

Ø Please note that furnishing of false information and suppression of any factual information in the application
form or any other document is a disqualification for employment in our Company. If such an act should come
to our notice, your employmentwill be subject to termination with immediate effect, without any notice or
payment thereof.

Ø This contract of service is further governed by standard terms of employment, as enumerated vide annexure
B, which shall also be binding on you.

Ø In addition, you will adhere to the rules and regulation of the company which will be communicated to you
through employee hand book, circulars and notifications. Any other amendments will be communicated to
you from time to time.

Ø Your increment will be due on completion of 1 year with the company.

Ø This contract of service can be terminated by either party by giving two months’ notice or salary in lieu
thereof subject however, of the intention of the management to relieve you of your duties currently being
performed.

ANNEXURE - B
Employment Agreement
Secrecy
You are expected to maintain utmost secrecy in regard to the affairs of the company and shall keep
confidential all information, whether oral or written, which relates to internal controls, procedures, consultancy
models, computer or data processing programs, algorithms, electronicdata processing applications, routines,
subroutines, techniques or systems, or information concerning the business or financial affairs and methods
of operation or proposed methods of operation, accounts, transactions, proposed transactions, security
procedures, trade secrets, know-how or inventions of WAYY STUDIOS (OPC) PRIVATE LIMITED and its
affiliate(s), or any client, agent, contractors or vendors. You SHALL not disclose the identities and other
related information of any of our clients.

Breach of this provision shall be treated as a gross violation of the terms herein and your services are liable
to be terminated without notice, including that of claim for damages by the company from you.
Unauthorized absence
Unauthorized absence or absence without permission from duty for a continuous period of 7 days, would
tantamount to cessation of your lien on employment. In such a case, your employment shall automatically
come to an end without any notice of termination

Code of Conduct
You will be governed by the company’s Code of Conduct, as amended from time to time, and if there is any
breach of the same or non-performance of contractual obligation or the terms and conditions laid down in
this agreement, your service could be terminated without any notice notwithstanding any other terms and
conditions stipulated herein. The company further reserves the right to invoke other legal remedies as it
deems fit to protect its legitimate interests.

Statement of Facts
It must be specifically understood that this offer is made based on your proficiency on Technical/Professional
skills you have declared to possess as per the application and disclosed at the time of personal interview,
and on the ability to handle any assignment/job independently anywhere in India or overseas. In case, at a
later date, any of your statements / particulars furnished are found to be false or misleading, or your
performance is not up to the mark or falls short of the minimum standards set by the company, the company
shall have the right to terminate your services forthwith without giving any notice, notwithstanding any other
terms and conditions stipulated herein.

Authorization
Unless authorized in writing or by a specific power of attorney, you SHALL not sign any legal documents
representing the company. In case of violation of this clause, you shall become liable to pay any cost of
damages that may be claimed from the company by outsiders, due to such misdeed(s).

Smoking
We are committed to maintain a “smoke free” environment, subject of course with the help of all colleagues
at WAYY STUDIOS (OPC) PRIVATE LIMITED. Currently, the entire office premises are declared as “No-
Smoking Zone”.

Passwords
Access to our network, confidential files and folders, development environment and Intranet is through
individual password and authorization. For security reasons, it is essential to maintain confidentiality of the
same. If the password is forgotten, the Network administrator is to be contacted to reset and allow you to use
a new password.

Unauthorized software
You SHALL not install, download, copy, and duplicate any unauthorized or unlicensed software,programs,
games, attachments on to your computer system.

Work environment
You shall maintain your work environment neat and tidy and shall not leave unwanted papersetc., at your
work place. All written communications that may reach you, should be either filed inan appropriate folder or
destroyed after the purpose is served, as the case may warrant.

Overseas Deputation
The Company may, during the course of your employment, depute you overseas either on assignment or for
training. You will be required to sign a deputation agreement / surety bond as the case maybe. For further
details refer to the overseas deputation clause in the employee hand book.

Intellectual Property Rights


All intellectual property rights, including but not limited to, Patents, Copyrights, Designs, Trade Marks,
consultancy models, routines and subroutine developed by you during office time or using the company
infrastructure, or while performing or discharging official duties shall be the sole and exclusive property of the
company and the same shall be deemed to be “work made for hire”. You shall execute/sign such documents
for the purpose of assigning such intellectual property, as and when required by the company.

The company reserves the right to proceed legally against you and recover damages, where any such
intellectual property is sought to be protected by you independently of the company.

Health and Fitness


It is essential that you keep yourself fit and healthy in order to perform your duties to the best ofyour ability.
At any time, if it is found that you have been affected by any contagious disease or such other disease that
may cause uneasiness for fellow colleagues to work with you, your services shall become liable for
termination.

Jurisdiction
Even though the company may depute you overseas for on-site work or to any other location in India, the
jurisdiction concerning any dispute arising out of your employment will be the courts in
Hyderabad/Secunderabad only.
