NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is made and entered into this [DATE] by
and between:
Isabela City Disaster Risk Reduction and Management Office (CDRRMO),
with office address at Emergency Operations Center, Binuangan, Isabela City,
represented by Uso Dan I Salasim, CDRRMO Head, hereinafter referred to as
"CDRRMO";
and
The iWatch Agents, individuals contracted by CDRRMO to monitor and operate
the city-wide CCTV system, hereinafter referred to as "iWatch Agents."

WHEREAS, CDRRMO is responsible for the management and operation of the city-
wide CCTV system for purposes of public safety, crime prevention, and disaster
response; and
WHEREAS, iWatch Agents have access to confidential information and sensitive data
through their monitoring and operation of the CCTV system;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the
parties agree as follows:
1. Confidential Information
"Confidential Information" means any and all information disclosed by CDRRMO to
iWatch Agents, or to which iWatch Agents have access in the course of their duties,
whether in oral, written, electronic, or visual form, including but not limited to:
 CCTV footage and images: Live and recorded video feeds captured by the
CCTV cameras.
 Incident reports and investigations: Information related to incidents,
investigations, and security breaches observed through the CCTV system.
 System data: Information about the CCTV system's operation, including camera
locations, specifications, and access controls.
 Personal data: Images and information that may identify individuals captured by
the CCTV system.
 Security protocols and procedures: Internal policies and procedures related to
the operation and security of the CCTV system.
2. Non-Disclosure
iWatch Agents agree to hold Confidential Information in strictest confidence and not to
disclose it to any third party without the express written consent of CDRRMO. This
obligation shall survive the termination of this Agreement.
3. Authorized Use
iWatch Agents may use Confidential Information only for the purpose of performing their
duties related to the monitoring and operation of the CCTV system.
4. Data Security
iWatch Agents shall take all necessary precautions to protect Confidential Information
from unauthorized access, use, disclosure, alteration, or destruction. This includes
adhering to all applicable data security policies and procedures established by
CDRRMO.
5. Reporting Obligations
iWatch Agents shall promptly report to CDRRMO any unauthorized access, use, or
disclosure of Confidential Information, or any suspected security breach.
6. Return of Confidential Information
Upon termination of their employment or contract, or upon request by CDRRMO, iWatch
Agents shall promptly return all Confidential Information in their possession or control,
including any copies or extracts thereof.
7. Exceptions
The obligations of confidentiality under this Agreement shall not apply to information
that:
 Was already in the public domain at the time of disclosure.
 Becomes publicly known through no fault of the iWatch Agents.
 Is required to be disclosed by law or by order of a court of competent jurisdiction.
8. Remedies
CDRRMO shall be entitled to seek all available legal and equitable remedies, including
injunctive relief and damages, for any breach of this Agreement by iWatch Agents.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to
the subject matter hereof and supersedes all prior or contemporaneous
communications, representations, or agreements, whether oral or written.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the
Republic of the Philippines.
11. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision
shall be struck from this Agreement and the remaining provisions shall remain in full
force and effect.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first
written above.
