CONTRACT OF SERVICE

KNOW ALL MEN BY THESE PRESENTS:

This Contract of Service (“Contract”) is made and entered into by and


between:

The CAGAYAN STATE UNIVERSITY, an instrumentality of the


national government, established by Presidential Decree No.
1436 and governed in accordance with Republic Act No. 8292,
herein represented by the Officer-in-Charge of the Office of the
University President, DR. ARTHUR G. IBAÑEZ, ASEAN Engr.
hereinafter referred to as “The University”,

- and –

JASPER ALLAIN B. ARGONZA, Filipino, of legal age, and a


resident of MAXINGAL LAL-LO, CAGAYAN, hereinafter referred
to as “The Service Provider.”

Each a “Party” and collectively, the “Parties.”

- WITNESSETH-

WHEREAS, the University requires the services that fall within the expertise
and competence of the Service Provider;

WHEREAS, the functions and tasks assigned to the Service Provider are not
performed by regular employees of the University;

WHEREAS, the Service Provider has signified his or her intention to render
the required service to the University in accordance with the terms and
conditions contained in this Contract;

WHEREAS, the Service Provider warrants that he or she possesses the


minimum education, experience, and skills, required to perform the job as
described herein;

WHEREAS, the Service Provider attests that he or she is not related within
the third degree of consanguinity or affinity to the: 1) hiring authority and/or
2) representative of the University; and that he or she has not been
previously dismissed from government service by reason of an
administrative offense.

NOW THEREFORE, for and in consideration of the foregoing premises, and


of the mutual covenants and stipulations hereinafter set forth, the Parties
hereby agree, and by these presents, bind themselves, as follows:
1. SCOPE OF SERVICES. The Service Provider shall perform such
tasks, functions and services as may be assigned by the head of office and
confirmed by the Vice-President for Administration and Finance, viz.:

a. Provide assistance and technical support for the following


activities to ensure that deliverables and outcomes of technology
transfer programs/projects are attained:
- planning, organizing, monitoring, and evaluating activities/field
visits
- preparation of evaluation reports, activity write-ups,
- preparation of technical reports (progress and project
accomplishments)
- attendance to program/project reviews
- regularly review and update tasks

b. Compile training modules, videos/photo documentation, and


other IEC-related materials;

c. Prepare minutes of meetings, progress reports, activity reports,


terminal reports, and other program-related deliverables;

d. Provide inputs/data for reports/documents such as monthly &


quarterly physical accomplishment reports and DOST
performance reports;

e. Provide assistance for the following activities:


- In - charge of monitoring the project’s technical aspects
- Assist the project leader/staff in the implementation of the
project concerning technical, admin, and finance matters; report
financial statements.
- Perform other duties assigned by the project leader from time to
time.

f. Preparation of the following activities


- Purchase request
- Canvass project needs
- Documents for salaries and project needs
- Monitoring of monthly disbursement
- Preparation of the project’s financial reports.

2. TERMS OF PAYMENT. For and in consideration of the services


rendered, the University shall pay the Service Provider the amount of
THIRTY-SEVEN THOUSAND FIVE HUNDRED EIGHTY-FOUR Pesos,
(PHP37,584.00) per month for the service rendered by the Service
Provider charged to the DOST-PCAARRD-GIA funded project entitled,
“Adoption of Improved Hatchery-Nursery Culture System for
Commercial Production of Mangrove Crab Seedtock in Buguey,
Cagayaan.

The rate quoted herein is based on an eight-hour workday, which shall


include the amount due to the Service Provider and to the government
representing deductions for SSS, Philhealth, and Pag-IBIG Fund
contribution, as well as any applicable taxes;

3. EFFECTIVITY. This Contract shall be effective from July 01, 2024 to


December 31, 2024. The duration of this Contract may be extended
upon mutual consent of the Parties.

4. TERMINATION. Notwithstanding the fixed term of this Contract, the


University reserves its right to terminate this Contract before the
expiration date on any of the following grounds:
a) Availability of a regular employee to perform the functions of the
Service-Provider;
b) Abolition of the office to which the Service Provider is assigned;
c) Dishonesty, misconduct, and conduct prejudicial to the best
interests of the public service of the University;
d) Prosecution and a finding of probable cause for any criminal
offense, whether under the Revised Penal Code or special penal
laws;
e) When the provider acknowledges any person, other than the
University President and his duly designated officials, as a person of
authority;
f) Lack of funds available for the payment of Service Providers or part-
time lecturers;
g) Unsatisfactory conduct or want of capacity;
h) Habitual tardiness, absenteeism, and inefficiency;
i) Loss of confidence on the part of the superior officer;
j) Breach of this contract, the warranties and attestations of the
Service Provider, and the obligation of confidentiality; and
k) Other analogous circumstances.

5. NO EMPLOYER – EMPLOYEE RELATIONSHIP. It is understood that


this Contract does not create an employer and employee relationship
between the University and the Service Provider. The services
rendered hereunder are not considered as bases for entitlements to
leave privileges and other benefits enjoyed by the regular personnel of
the University.

6. THIRD PARTY LIABILITY – The University shall not be liable for any
damage or injury caused to third persons arising out of the negligence
or willful act of the Service Provider including those which may be
caused by the operation and use of any equipment owned by the
University.
7. LIQUIDATED DAMAGES. The Service Provider binds himself or herself
to render service for the same period as stated in this Contract and
agrees to pay the University the amount of One Hundred Thousand
Pesos (PHP 100,000.00) in liquidated damages, in case the Service
Provider fails to perform under this contract or causes its
pretermination.

8. INTELLECTUAL PROPERTY CLAUSE. All intellectual outputs


produced during or by reason of this Contract shall be owned by the
University.
9. CONFIDENTIALITY. The Parties shall treat as confidential the terms of
this Contract and all information supplied by or on behalf of one to the
other pursuant to this Contract. The Parties agree that the duty of

confidentiality shall continue after the termination or expiry of this


Contract.

10. DISPUTE RESOLUTION. In case of conflict between the Parties


arising from this Contract, both Parties agree to submit themselves
freely and voluntarily to the necessary consultation and negotiation for
purposes of amicable settlement and find a mutually acceptable
solution to their dispute. Existing University policies on alternative
dispute resolution shall be followed by the Parties.

Should the Parties fail to reach an amicable settlement of their dispute,


the same shall be submitted to arbitration, in accordance with the
Philippine Law on Arbitration. However, should the dispute between the
Parties reach the courts of law, the Parties agree that the competent
courts of Tuguegarao City shall have exclusive jurisdiction over the
same.

11. ENTIRE AGREEMENT. The parties acknowledge that this


Contract constitute the entire agreement between them and shall
completely supersede all other prior understandings, previous
communications, or contracts, oral or written, between the parties
relating to the subject matter hereof.

IN WITNESS WHEREOF, the Parties hereto have caused these presents to


be signed this ___ day of ______ 2024 at the Cagayan State University –
____________ Campus, __________ City, Cagayan 3500, Philippines.
