The purpose of this agreement is to resolve a dispute using a neutral mediator.


Both parties have agreed to appoint the mediator i.e. : Mr. Sumit Sharma who
will be assisting them in the settlement of their dispute. The Mediator is not
allowed to disclose any of the information discussed in this mediation process
with any person, company, administrative body, judge or jury, or arbitrator.

A. Provisions of Agreement:
1. The role of the mediator: The mediator shall use her/his skills to help the
parties reach a settlement of their dispute. The parties may reach a written

agreement but the mediator shall not write the agreement nor will the
mediator sign the agreement.

2. The role of the parties: The parties shall work in good faith with the
mediator to reach a settlement of their dispute. It is the responsibility of the
parties, not the mediator, to decide and write the terms of the settlement. The
mediator may help the parties draft the agreement but it is the parties that
consent to and sign the agreement.
3. Payment of mediator: The parties shall sign an agreement, prior to
commencement of any mediation, stating how the mediator shall be paid. The
payment agreement shall be provided to the parties by the mediator before
the first mediation session.

B. Terms and Conditions of The Agreement:


1. The term and conditions of this agreement is being signed and agreed
between Mr. A ( Owner Of Zarkha Board Company) and Mr. B ( Owner of
Siraj Industry).
2. The agreement is being signed between the parties on the date of 1st of
July, 2023 and the parties entered into a contractual agreement on the
same day.
3. The terms and conditions of this agreement is being governed by the
provisions prescribed under The Indian Contract Act,1972.
4. The supplier Mr. B will supply certain Raw Material to the buyer Mr. A
for the amount of 25,00,000/- Rupees on the delivery date of 28th of
July, 2023.
5. The buyer Mr. A shall pay the supplier Mr. B an advancement payment of
10,00,000/- on the date 23rd of July, 2023 and the rest amount of
15,00,000/- shall be paid by on the date of the delivery.
6. That both the parties are liable not to disclose any information given in
the agreement.
7. That in case of failure of the delivery of the Raw Materials Mr. B shall
fully refund the advance payment ( if made By Mr. A) of amount
10,00,000/- to Mr. A.

8. The delivery date can be extended not more than 4 days from the
original delivery date.

C. After The Negotiation, The Parties Have Agreed To Settle Their Dispute As
Follows:

1. It is agreed by Mr. B to fully refund the amount of 10,00,000/- Rupees


made by Mr. A as Mr. B was failed to deliver the Raw Materials on the
said date of 28th July, 2023.

2. That Mr. A has agreed upon the refund of the said amount without any
extra compensation or damages.

3. It is agreed that the said refund of 10,00,000/- Rupees shall be done my


Mr. B within a week after the negotiation.

4. It is agreed that if Mr. B fails to refund the money within a week after the
negotiation the he will be liable to pay Mr. A an interest of 15% on the
10,00,000/- Rupees every month.

5. The dispute arising from the arbitrary breach of contract between the
parties has been settled through this negotiation and no party can
further file a civil or criminal proceedings in any Competent Court of law
on this matter. If any case/petition/suit etc has been pending in the
Court then the it should be withdraw/disposed by the respective parties.

6. That the issue arose between both the parties has been settled on the
above said terms and conditions of the negotiations.

7. The parties have settle their dispute through their own free will without
any force, fear, coercion and undue influence by either side.
