CONSTRUCTION AGREEMENT

This Construction Agreement (the "Agreement") is made and entered into on this ___ day of
________, 2025, by and between:
1. [Client Name], a business entity registered under the laws of Pakistan, having its principal
place of business at [Address], hereinafter referred to as the "Owner".
2. [Contractor Name], a construction firm duly registered and operating in accordance with
the laws of Pakistan, having its principal place of business at [Address], hereinafter referred
to as the "Contractor".
WHEREAS, the Owner desires to engage the Contractor for the construction of a commercial
building located at [Project Address] in compliance with the Constitution and laws of
Pakistan.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, the parties agree as follows:

1. Scope of Work

The Contractor agrees to construct the commercial building as per the approved
architectural plans, structural designs, and specifications provided by the Owner. The scope
of work shall include but is not limited to:
a) Site preparation and excavation.
b) Foundation, structural framework, and masonry work.
c) Electrical, plumbing, and HVAC installation.
d) Interior and exterior finishing, including painting and flooring.
e) Compliance with building codes, safety regulations, and environmental laws of Pakistan.

2. Project Duration

The construction shall commence on _______ and shall be completed within _______ months.
Any delay in completion due to unforeseen circumstances shall be mutually discussed and
resolved.

3. Payment Terms

The Owner agrees to pay the Contractor a total contract price of PKR _______. The payment
schedule shall be as follows:
a) Advance payment of ___% upon contract signing.
b) Progress payments upon completion of each construction phase.
c) Final payment upon successful completion and handover.

4. Compliance with Laws

The Contractor shall ensure compliance with all applicable laws, including but not limited
to:
- The Constitution of Pakistan.
- The Pakistan Building Code.
- Environmental Protection Act, 1997.
- Labor Laws and Worker Safety Regulations.

5. Warranties and Liability

The Contractor warrants that all work shall be free from defects for a period of ____ years
from the date of completion. Any structural defects arising within this period shall be
rectified at no additional cost.

6. Dispute Resolution

In case of any disputes arising from this Agreement, the parties shall attempt to resolve the
matter amicably. If unresolved, the matter shall be referred to arbitration under the
Arbitration Act, 1940 of Pakistan.

7. Termination Clause

Either party may terminate this Agreement upon written notice if the other party fails to
fulfill its obligations. In case of termination, all completed work shall be evaluated, and
payments shall be adjusted accordingly.

8. General Provisions

This Agreement constitutes the entire understanding between the parties. Any amendments
must be in writing and signed by both parties. This Agreement shall be governed by the
laws of Pakistan.
