PODCAST PRODUCTION AGREEMENT

This Podcast Production Agreement ("Agreement") is entered into as of the ___ day of
________, 20, by and between:

Together referred to as the "Parties."

1. Services Provided

The Producer agrees to provide the following services to the Client (the "Services"):

 Podcast Conceptualization: Assisting with the development of the podcast theme,


format, and structure.
 Recording: Managing the technical setup and execution of audio recording sessions.
 Editing: Editing audio files to remove errors, improve sound quality, and ensure a
smooth final product.
 Post-Production: Adding music, sound effects, intros, outros, and any other elements
as agreed upon by the Parties.
 Distribution: Uploading or assisting with uploading podcast episodes to designated
platforms (e.g., Spotify, Apple Podcasts, etc.).
 Marketing/Promotion (if applicable): Assistance with promotional materials,
including graphics or social media content, as agreed upon by the Parties.

Additional or specific services may be outlined in Exhibit A attached hereto.

2. Term and Schedule

The Agreement shall commence on the date of execution and will continue for an initial term
of [Specify Term, e.g., "12 months"], unless terminated earlier in accordance with Section 9
(Termination).

 Production Schedule: The Parties agree to a production timeline attached as Exhibit


B, detailing recording, editing, and release dates.
 Number of Episodes: The Producer agrees to produce [Number of Episodes]
episodes for the Client during the term of this Agreement.
3. Compensation

In consideration of the Services rendered, the Client agrees to compensate the Producer as
follows:

 Flat Fee: The Client shall pay a total fee of [Amount in Words] ([Amount in
Numerals]), payable in the following manner: [Installment Schedule, e.g., "50% upon
signing and 50% upon completion of the final episode."]

OR

 Hourly Rate: The Producer shall be compensated at a rate of [Amount in Words]


([Amount in Numerals]) per hour for work performed, invoiced monthly and payable
within [30] days of receipt of the invoice.

Any additional costs, including but not limited to music licensing fees, equipment rental, or
travel expenses, must be pre-approved in writing by the Client and will be reimbursed upon
submission of receipts.

4. Ownership and Intellectual Property

 Ownership of Content: The Client shall retain full ownership of all podcast content,
including the final audio recordings, scripts, and any other materials produced as part
of this Agreement.
 License to Use: The Client grants the Producer a non-exclusive, limited license to use
the content produced for the purposes of portfolio development, self-promotion, and
industry recognition.
 Third-Party Materials: The Client warrants that any materials (e.g., music, images,
or third-party contributions) provided by the Client for inclusion in the podcast have
been appropriately licensed, and the Client assumes responsibility for any copyright
issues arising from the use of such materials.

5. Confidentiality

Both Parties agree to maintain the confidentiality of any proprietary or sensitive information
disclosed during the course of this Agreement. This includes any legal content discussed by
the law firm (Client) that is not intended for public dissemination. The confidentiality
obligation survives the termination of this Agreement.

6. Representations and Warranties

The Client represents and warrants that the content of the podcast will not violate any laws,
regulations, or third-party rights. The Producer represents and warrants that the Services will
be performed in a professional and workmanlike manner.

7. Revisions
 Number of Revisions: The Producer agrees to provide up to [Number of Revisions,
e.g., 2] rounds of revisions for each episode.
 Additional Revisions: Any additional revisions requested by the Client beyond the
agreed number will be billed at [Hourly Rate or Flat Fee], as set out in Section 3.

8. Indemnification

The Client agrees to indemnify and hold the Producer harmless from any claims, damages, or
legal actions arising from the podcast content, including but not limited to copyright
violations, defamation claims, or breaches of confidentiality.

9. Termination

Either Party may terminate this Agreement under the following conditions:

 For Cause: If either Party materially breaches this Agreement, the other Party may
terminate upon [30] days written notice and an opportunity to cure the breach.
 Without Cause: Either Party may terminate this Agreement without cause by
providing [30] days written notice. In such event, the Client will compensate the
Producer for Services rendered up to the date of termination.

10. Dispute Resolution

Any disputes arising out of this Agreement shall be first subject to good-faith negotiation
between the Parties. If the dispute cannot be resolved within [30] days, the Parties agree to
submit the matter to mediation before resorting to legal action. The jurisdiction for any legal
proceedings will be [State] courts.

11. Miscellaneous

 Independent Contractor: The Producer is an independent contractor, and nothing in


this Agreement shall be construed to create an employer-employee relationship.
 Entire Agreement: This Agreement constitutes the entire agreement between the
Parties and supersedes all prior agreements or understandings, written or oral.
 Amendments: This Agreement may only be amended in writing, signed by both
Parties.
 Severability: If any provision of this Agreement is found to be invalid, illegal, or
unenforceable, the remaining provisions shall remain in full force and effect.
