WAIVER, QUITCLAIM AND RELEASE

having been duly sworn in accordance with law , hereby depose and state that :

1. I confirm my termination/resignation from, Nauts and Vectors Company Inc. (the

“company”) effective as of (________________).

2. I acknowledge receipt the amount of pesos: ______________________________

(Php ___________________) (net of taxes and other deductions) as final and
complete satisfaction of all my claims against the Company; Attached as Annex A is a
computation of the final pay showing gross amount ,deductions and taxes.

3. I acknowledge that during the entire period of my employment with the Company, I
was fully compensated and I have received all salaries, benefits and privileges to
which I am or was entitled by reason of my employment. I have received all amounts
that are legally due me from the company by reason of my employment and I have
no further claims whether arising from law, contract or any policies, plans programs
or practices of the Company.

4. In further consideration of the foregoing :

a. I released, remise and forever discharge the Company , the Company’s parent ,
subsidiary or affiliate companies , their predecessors and successors , and each
of their respective parent companies , affiliates , subsidiaries , stockholders ,
officers , directors , trustees, agents , representatives , or employees (each and
collectively referred to as “ Related Interests”) , from any and all claims,
demands, liabilities, actions, causes of actions, suits at law or equity of
whatsoever kind and nature, whether known or unknown, relating to, arising out
of, or in connection with my employment with the company and the cessation
thereof.
 b. I acknowledge that I have no cause of action, complaint , case or grievance
whatsoever against the Company and/or Related interest in respect of any
matter relating to, arising out of, or in connection with my employment with the
Company and the cessation thereof.

c. I undertake and warrant that I have not file, cause to be filed intervene in,
support or continue any claim, action or complaint whatsoever against the
Company and/or Related interests relating to arising out of, or in connection
with my employment with the company and the cessation thereof. If any such
claim, action or complaint has been instituted and/or is pending, whether
initiated by myself or another, I shall forthwith cause the withdrawal,
termination or dismissal with prejudice thereof and submit immediately to the
company proof of such withdrawal, termination or dismissal with prejudice or
otherwise provide all necessary assistance as requested by the company and/or
related interest for the purpose of such withdrawal termination or dismissal. I
agree that in event I fail to cause the withdrawal, termination or dismissal with
the prejudice of any such claim, action or complain, the effect of my execution of
this instrument is the withdrawal, termination or dismissal thereof with
prejudice, and the company and/or related interest can accordingly present this
instrument as evidence of such withdrawal, termination or dismissal.

5. I finally declare that I have carefully read and understood this instrument and the
release, waiver and quitclaim hereby given are made willingly and voluntarily and
with full knowledge of my rights under the law.
