WITNESSETH AS UNDER: -

WHEREAS, All that piece and parcel of land admeasuring about 32376 sq.mtr. carved
out of Plot no .1 totally admeasuring 39000 Sq.Mtr. being a part of land bearing Sr. No 288,
situated at Village Maan, Taluka Mulshi, District Pune was acquired for development purpose by
New World Reality LLP vide various deeds and documents.

AND WHEREAS, thereafter the said New World Reality LLP got the building plans
sanctioned for an area admeasuring about 31237.33 Sq.mtrs from the office of the Collector
Pune vide its Order bearing No.

PMH/NA/SR/526/14 dated 24.02.2015.

AND WHEREAS, in pursuance of the above the said developer was exclusively entitled
to develop the captioned property and the said developer New World Reality LLP purposed to
construct a scheme of residential units, flats etc under the name and style as Tinsel Town.

AND WHEREAS, the said developer New World Reality LLP have executed a
Agreement dated 30.09.2019 in favour of the Assignors which is registered in the office of Sub
Registrar of Assurances, Mulshi No. 2 at Serial No. 18529/2019 on 30.09.2019.

AND WHEREAS, the plans of the said scheme have been revised from PMRDA and
they have issued Commencement Certificate having Outward No.BMU/Case No.2351/15-16
Mauje Maan/S. No. 288 (P) Plot No. 1/, dated 13/04/2016.

AND WHEREAS, the Assignors herein had approached the said developer and had
agreed to purchase a flat in the said scheme bearing no. Flat bearing no. 408 situated in the ‘E’
building situated on the Fourth Floor as detailed above.

AND WHEREAS, the Assignors Mr. Sumit Kodwani and Ms. Poorva Agrawal W/o
Sumit Kodwani had availed housing loan from
Axis Bank by mortgaging the captioned flat with them. However the said loan has been repaid
fully and the said Axis Bank has issued a No Dues Letter dated ______.

AND WHEREAS, the construction of the building where the captioned flat is situated
has been completed and the PMRDA has issued Completion Certificate bearing No.
BMU/Mou.Maan/Survey No.288 out of which Plot no. 1/Pra.Kra/2351/15-16 dated _________ .

AND WHEREAS, after the delivery of the possession of the said flat the said developer
New World Reality LLP have issued a Possession Letter dated __.__.2021.

AND WHEREAS, the society of the flat owners under the name and style as
Tinsel Town Co-operative Housing Society Limited has been formed and it bears
registration no. PNA/MSI/HSG/(TC)/14379/2020-21 dated 10.07.2020. However the said
society has not yet issued a Share Certificate in the name of the present owner /
Assignors.

BUT WHEREAS, the property tax assessment of the captioned flat is not yet done by
Gram Panchayat Maan and hence the captioned flat does not have any property ID / Milkat No .

AND WHEREAS, the present Assignors are in actual use and occupation of the
said Flat and is paying the Gram Panchayat Taxes, Society Maintenance Charges and
Electricity Bill in their name.

AND WHEREAS, for just and sufficient reasons and to comply with legal
necessities the Assignors has agreed to transfer and assign their right title and interest in
respect of the said Flat in favour of third party for consideration.

AND WHEREAS, the Assignees / Purchasers came to know about the intention
of the Assignors to sell the said Flat and offered to purchase the same and further
offered to pay an amount of Rs.
59,00,000/- (Rupees Fifty Nine Lacs Only).

AND WHEREAS, the said offer being reasonable and as per prevailing market rate was
accepted by the Assignors and they have agreed to assign all their right title and interest in the
said Flat in favour of the Assignees.

AND WHEREAS, the Flat which is the subject matter of this Deed of Assignment is
more particularly described in schedule ‘II’ below

AND WHEREAS, THIS DEED OF ASSIGNMENT NOW


WITNESSETH AND IT IS HEREBY AGREED BY AND BETWEEN THE
PARTIES AS UNDER: -

1. The total consideration in respect of above Flat has been fixed at Rs. 59,00,000/- (Rupees
Fifty Nine Lacs Only). The said amount has been paid by the Assignees to the Assignors by
Cheque / Banker’s Cheque / NEFT / RTGS / Demand Draft as detailed in schedule of
payment below, as per the request of the Assignors, the receipt whereof is hereby being
acknowledged by the Assignors / Vendor.

2. The Assignors hereby assure that the said Flat is free from any encumbrances whatsoever
and that they are having a clear and marketable title and no one else except the Assignors
is having a right, title and interest to deal with the said Flat and to dispose off the same for
consideration.

3. The Assignors assures that they have not mortgaged the said Flat with any bank or
financial institution and that the same is free from encumbrances of whatsoever nature
and that the same is not a subject matter of litigation in any Courts. The Assignors further
assures that they have not agreed to sell the said Flat to any third party on any terms and
conditions whatsoever and that they have not entered into any agreement either oral or in
writing to that effect with any third party.

4. The Assignors further covenants that they have paid the outgoings in respect of the said
Flat up to the period ending 31/03/2022 and society / building maintenance charges up to
the period ending 31/12/2021.

5. The Assignors the Assignors have transferred all their right, title and interest in the said
Flat together with rights of membership in Tinsel Town Co-operative Housing Society
Limited in favour of the
Assignees.

6. The Assignors have today handed over vacant and peaceful possession of the said Flat to
the Assignees who shall here further be entitled to use and occupy the same as absolute
owners thereof with a further right of disposition subject to the applicable Rules and
Regulations in respect of building. If any body objects to the right, title and interest and
possession of the Assignees, they the Assignors shall be fully the responsible to remove the
said objections at their risk and cost.

7. The Assignors shall also execute all the documents / forms for transfer of the said Flat in
the name of the Assignees in the records of the Tinsel Town Co-operative Housing Society
Limited and in the records of Gram Panchayat Maan, and any other Government and / or
Semi-Government Authorities.

8. The Assignors have granted, conveyed, transferred and assigned the said Flat together
within all and singular area, compound, sewers, ditches, fences, drains, scrubs, ways,
paths, passage, walls, water, water courses, lights, liberties, privileges, easements, profits,
advantages, rights, and appurtenances whatsoever to the said property or ground
hereditaments, or any part thereof belonging or in any way appertaining to or with the
same or any part thereof now or any time hereto before hold, used, occupied, or enjoyed,
or reputed or known as part thereof and to belong or to be appurtenant thereto.

9. And the same is and shall be also together with all deeds, documents, writings, other
evidence of title relating to the said property hereditaments and premises or any part
thereof. And all the estates, rights, titles, interests, use, inheritance, property, possession,
benefits, claim, and demand, whatsoever at law and in equity of the said Assignors into out
of or upon the said property or any part thereof.

10. The Assignees shall hereafter have and hold the said Flat and premises hereby granted,
conveyed, transferred, along with the rights in the land below the same, with its and every
of its rights and in appurtenances and together with all deposits of Electricity Meter,
Sinking Fund etc. Unto and to the use and benefit forever subject to the payment of all
taxes, rates, assessments, dues and duties, now chargeable upon the same or hereafter to
become payable to the Government or any other Public Body in respect thereof.

11. And the Assignors hereby for themselves and their heirs, executors, and administrators
covenant with the said Assignees that notwithstanding any act, deed, matter or thing
whatsoever the Assignors or any person lawfully or equitably claiming or to claim by, form,
under or in trust for the said Assignors made, done, committed, omitted, or knowingly or
willingly suffered to the contrary said Assignors now have in themselves good right, full
power and absolute authority to grant, convey, transfer, and assign the said Flat hereby
assigned, granted, conveyed, transferred and assigned or intended so to be unto and to
the use of the Assignees in the manner aforesaid.

12. That herefurther it shall be lawful for the Assignees from time to time and all times
hereafter to peacefully and quietly to hold, enter upon, have, occupy, possess, and enjoy
the said Flat with the appurtenances and receive proportionate issues, profits, benefits,
thereof to and for his own use and benefit without any suit, claim, lawful, action/eviction,
interruption, and demand whatsoever from the Assignors or his successors or any of them
or from any person lawfully claiming by, from , under or in trust, for them.

13. That the Assignors hereby covenant with the Assignees that the Assignees shall hold the
said Flat freely and clearly and absolutely acquitted, exonerated, and forever discharged
and otherwise by the Assignors well and sufficiently of from, against all former and other
estates, titles, charges, and encumbrances whatsoever either already or hereafter to be,
had, made, executed, occasioned, or suffered, by the Assignors or by any other person
lawfully or equitably claiming or to claim by, from, under or in trust, for them.

14. The Assignees are entitled to become the members of the Tinsel Town Co-operative
Housing Society Limited and the Assignors shall cooperate by signing necessary documents
/ forms for the effective transfer of the said Flat in the name of the Assignees in the
records of the society and the records of Gram Panchayat Maan and shall also cooperate in
transferring the name of electric bill. However the expenses for the same and the transfer
charges of the society will have to be borne by the Assignees.

15. The Assignors shall clear the Electricity Bill upto date and shall also sign the forms for
transfer of the Electric Meter bearing Customer No.
_______ and Meter No. _______in the name of the Assignees.

16. The Assignees shall be entitled to become members of the Society and enjoy all the
common amenities and facilities provided by the Builder / Promoter and enjoyed by the
Society.

17. This Agreement shall be subject to the provisions of the Maharashtra Apartment and
Ownership Flats Act 1963 and the rules made thereon from time to time and also subject
to the provision of the Maharashtra Co-operative Societies Act 1960.

18. All the expenses of the present agreement including Stamp Duty, Registration Fees,
Advocates Fees and other Miscellaneous Expenses have been borne by the Assignees
jointly.

19. Appropriate Stamp Duty as per Maharashtra Stamp Act, L.B.T on the Purchase Value of the
property has been paid along with registration fee.

20. The Assignors hereby agrees to have received an amount of Rs.59,00,000/- (Rupees Fifty
Nine Lacs Only) as detailed in schedule of payment below and has no grievances about the
same.

21. The Assignors do hereby confirm, admit and declare the Assignees as a legal, lawful and
absolute Owner/Holder and Possessor/Occupier of the said Flat which is more particularly
described in the schedule hereunder given and further declare that no amount of any kind
either of price consideration or any other charges has remained due from the Assignees.

Mulshi, Zilla Parishad Pune, and within the jurisdiction of Sub Registrar of Assurances, Mulshi
and the said property is surrounded on or towards

adjacent Terrace admeasuring about 18.85 Sq.mtrs i.e 202.93 Sq.ft (Which is inclusive of the
area of Balconies) and One Car parking area in the scheme known as Tinsel Town and in the
society known was Tinsel Town Co-operative Housing Society Limited constructed on the lands
hereinabove mentioned.
