2.0 The intending tenderer must read the terms and conditions of UPAVP carefully. He should
only submit his tender if he considers himself eligible and he is in possession of all the
documents required.

2.1 Only those contractors / Firms having O & M experience of SBR based STP of minimum 30.00
MLD capacity-1 nos or 18.75 MLD capacity-2 nos or 15 MLD capacity-03 nos for the period
of minimum 02 year in Govt./ Semi Govt /PSU organization within last 5 years.
2.2 tender Information and Instructions for Tenderers posted on Website(s) shall form part of
Tender Document..
3.0 Those intending tenderers / contractors not registered on the website i.e.
www.etender.up.nic.in , are required to get registered beforehand. If needed they can be
imparted training on online tendering process as per details available on the website i.e.
www.etender.up.nic.in.
4.0 The intending tenderer must have class-III digital signature to submit the E-tender.

5.0 The Tender Document as uploaded can be viewed and downloaded free of cost by anyone
including intending tenderer. But the E-tender can only be submitted after uploading the
mandatory scanned documents such as a RTGS from any Nationalized Bank against EMD &

7.0 The tenderers are required to quote strictly as per terms and conditions, specifications,
standards given in the tender documents and not to stipulate any deviations.
8. After submission of the tender the tenderer can re-submit revised tender any number of
times but before last time and date of submission of tender as notified.
9. When it is desired by UPAVP to submit revised financial tender then it shall be mandatory to
submit revised financial tender. If not submitted then the tender submitted earlier shall
become invalid.
10. On opening date, the tenderer can login and see the tender opening process.
11. Contractor can upload documents in the form of JPG format and PDF format.
12. Contractor to upload scanned copies of all the documents including valid EPF registration/
GST registration/ PAN No. As stipulated in the tender document.
13. If the contractor is found ineligible after opening of tenders, his tender shall become invalid
and cost of tender document and processing fee shall not be refunded.
14. If any discrepancy is noticed between the documents as uploaded at the time of submission
of tender and hard copies as submitted physically by the contractor the tender shall become
invalid and cost of tender document and processing fee shall not be refunded.
15. Notwithstanding anything stated above, UPAVP reserves the right to assess the capabilities
and capacity of the tenderer to perform the contract, in the overall interest of UPAVP. In
case, tenderer’s capabilities and capacities are not found satisfactory, UPAVP reserves the
right to reject the tender.
16. Certificate of Financial Turn Over: At the time of submission of tender, the tender shall
upload Affidavit/ Certificate from Chartered Accountant mentioning Financial Turnover of
last 3 years or for the period as specified in the tender document and further details if
required may be asked from the tenderer after opening of technical tenders. There is no
need to upload entire voluminous balance sheet.
17. In case of Percentage Rate Tender, Contractor must ensure to quote single percentage rate.
The column meant for quoting rate in figures appears in pink colour and the moment rate is
entered, it turns sky blue. The Rate shall be Quoted upto 2 Decimals.

In case of Item Rate Tender, price shall be entered against each item in the Bill of Quantities/
Schedule of Quantities. The cost of item against which the contractor has failed to enter a rate or
price shall be deemed to be covered by rates and prices of other items in Bill of Quantities /
Schedule of Quantities and no payment shall be made for the quantities executed for items
against which rate has not been quoted by the contractor. The column meant for quoting rate in
figures appears in pink colour and the moment rate is entered, it turns sky blue. The Rate shall
be Quoted upto 2 Decimals.

In addition to this, while selecting any of the cells a warning appears that if any cell is left blank
the same shall be treated as “0”. Therefore, if any cell is left blank and no rate is quoted by the
tenderer, rate of such item shall be treated as “0” (ZERO).

18.0 List of Documents to be scanned and uploaded within the period of tender submission:

19 Contractor will provide everything at site which is necessary for proper operation &
maintenance of the STP. All necessary T&P and labour manpower (unskilled / semi skilled/
skilled) will be arranged by contractor for proper operation & maintenance of the 37.50 MLD
STP. It is to be noted that all costs during the O&M period excluding the cost of power &
Diesel for Genset is to be borne by the Contractor.

Instruction to Tenderer (ITT)

1. On line Item rate from only contractors / Firms having O & M experience of SBR based STP of
minimum 30.00 MLD capacity-1 nos or 18.75 MLD capacity-2 nos or 15 MLD capacity-03 nos for the
period of minimum 02 year in Last 5 years Govt. / Semi Govt /PSU organization of relevant field
are invited for the work of “Operation & maintenance of 37.50 MLD STP based on Sequential
Batch Reactor Technology established in Sector-10B Vrindavan Yojna no-2, Lucknow.”

2. The tender document as uploaded can be seen on website www.etender.up.nic.in and can be
downloaded free of cost.

: 3. Mode of Submission: Earnest Money Deposit

Earnest Money Deposit of amount as mentioned in “NIT/ Memorandum (Annexure-I)” required to be


submitted along with the tender shall be in the form of RTGS in favour of "E.E. CD-Lucknow-05,
UPAVP, Luckow" from any Nationalized bank in the enclosed format. The EMD shall be valid for
minimum period of 180 (One Hundred Eighty) days from last day of submission of Tender.
The EMD shall be scanned and uploaded to the e-Tendering website within the period of tender
submission date.
4. The EMD of all unsuccessful tenderers will be returned within thirty (30) days of the Award of the
contract to successful tenderer or after the receipt of their verification from the Zonal office of
the issuing Bank, whichever is later. No interest will be payable by the UPAVP on the said amount
covered under EMD/Any other Security Deposit.

5. Interested Firms/contractor who wish to participate in the tender has also to make following
payments in the form of RTGS of any Scheduled Bank and to be scanned and uploaded to the e-
Tendering website www.etender.up.nic.in within the period of tender submission:

6. The tender submitted shall become invalid if:


i. The tenderer is found ineligible.
ii. The tenderer does not upload all the documents (including service tax registration/GST
registration / deptt registration) as stipulated in the tender document.
iii. If any discrepancy is noticed between the documents as uploaded at the time of submission of
tender and hard copies as submitted physically in the office of tender opening authority.

8. VALIDITY OF TENDER

The tender for the works shall remain open for acceptance for a period of Ninety (90) days from
the date of opening of financial tender. If any tenderer withdraws his tender before the said period
0r issue of letter of acceptance, whichever is earlier, or makes any modifications in the terms and
conditions of the tender which are not acceptable to the UPAVP, then the UPAVP shall, without
prejudice to any other right or remedy, be at liberty to forfeit the said earnest money as aforesaid.
Further the tenderers shall not be allowed to participate in the retendering process of work. The
tendrer has to give the validity of his tender for three months on Rs 100/= non judicial
stamp paper & 1/= revenue stamp on it duly signed as per annexure attached.

9. ACCEPTANCE OF TENDER

UPAVP reserves the right to reject any or all the tenders in part or full without assigning any reason
whatsoever. UPAVP does not bind itself to accept the lowest tender. The UPAVP reserves the right
to award the work to a single party or split the work amongst two or more parties as deemed
necessary without assigning any reason thereof. The Contractor is bound to accept the part work
as offered by UPAVP after split up at the quoted/negotiated rates.

10. The tenders shall be strictly as per the conditions of contract. Tenders with any additional
condition(s)/modifications shall be rejected.

11 The witnesses to the Tender/Contract Agreement shall be other than the tenderer/ tenderers
competiting for this work and must indicate full name, address, and status/occupation with dated
signatures.

12. The acceptance of tender will rest with the UPAVP who does not bind itself to accept the lowest
tender and reserves to itself the right to reject any or all the tenders received without assigning
any reason thereof. Tenders in which, any of the prescribed conditions are not fulfilled or found
incomplete in any respect are liable to be rejected.

13. On acceptance of tender, the name of the accredited representative(s) of the contractor who
would be responsible for taking instructions from Engineer-in-Charge or its authorized
representative shall be intimated by the contractor within 07 days of issue date of letter of Awards
by UPAVP.

14. The tenderer shall not be permitted to tender for works if his near relative is posted in the project
office or concerned Office of the UPAVP. The contractor shall also intimate the names of
persons who are working with him in any capacity or are subsequently employed by him and who
are near relatives to any of the officers in UPAVP. Any breach of this condition by the tenderer
would render him liable to the withdrawal of the work awarded to him and forfeiture of Earnest
Money and Security Deposit. This may also debar the contractor from tendering for future works
under UPAVP. For the purpose of operation of this clause a near relative shall mean wife, husband,
parents, grandparents, children, grandchildren, brothers, sisters, uncles, aunts, cousins and their
corresponding in-laws.

15. The time of completion of the entire work, as contained in contract shall be as mentioned in
“Memorandum", which shall be reckoned from the 10th day after issue of the letter of Award by
the UPAVP.

16. Canvassing whether directly or indirectly, in connection with tenderers is strictly prohibited and the
tenders submitted by the contractors who resort to canvassing will be liable for rejection.

The tender award, execution and completion of work shall be governed by tender documents
consisting of (but not limited to) Letter of Award/Letter of work order, Bill of Quantities, Special
Conditions of Contract, General Conditions of Contract Specifications, Drawings. The tenderers shall
be deemed to have gone through the various conditions including sub-soil water conditions,
topography of the land, drainage and accessibility etc. or any other condition which in the opinion
of contractor will affect his price/rates before quoting their rates. No claim whatsoever against the
foregoing shall be entertained.
17. The drawings with the tender documents are Tender Drawing and are indicative only.

18 ADDENDA/ CORRIGENDA
Addenda/Corrigenda to the tender documents may be issued prior to the date of submission of the
tender to clarify or effect modification in specification and/or contract terms included in various
tender documents. The tenderer shall suitably take into consideration such Addenda/Corrigenda
while submitting his tender. The tenderer shall return such Addenda/ Corrigenda duly signed and
stamped as confirmation of its receipt & acceptance and submit along with the tender document. All
addenda/ Corrigenda shall be signed and stamped on each page by the tenderer and shall become
part of the tender and contract documents.

19 SITE VISIT AND COLLECTING LOCAL INFORMATION


Before tendering, the tenderers are advised to visit the site, its surroundings to assess and satisfy
themselves about the local conditions such as the working and other constraints at site, approach
roads to the site, availability of water & power supply, application of taxes, duties and levies as
applicable & any other relevant information required by them to execute complete scope of work.
The tenderer may obtain all necessary information as to risks, weather conditions, contingencies &
other circumstances (insurgencies etc.) which may influence or affect their tender prices. Tenderer
shall be deemed to have considered site conditions whether he has inspected it or not and to have
satisfied himself in all respect before quoting his rates and no claim or extra charges whatsoever in
this regard shall be entertained / payable by the UPAVP at a later date.

20.0 HANDING OVER & CLEARING OF SITE
20.1 The Contractor should note that the said STP for operation and maintance shall be made avaliable to the
firm /contractor at site by the E/I. after accepctance of the tender for specified period. The contractor is
required to arrange all resources for operation & maintenance of the STP.
21 SCOPE OF WORK for Operation & Maintenance
The Bidder shall operate and maintain the Sewage Treatment Plant and all other allied works
under this Contract for a period of 12 months. For this period, the scope of work shall include, but not
be limited to the Operation and Maintenance of the following:
 Sewage Treatment Plant at Sec-10, Vrindavan yojna Lucknow including all the Civil Units and
Electro-Mechanical Equipments as per the Bidder's Proposal to ensure that all the output
guarantees are met.

 All other in-plant facilities listed in the detailed Scope of Work
The Bidder shall also dispose-off the sludge, screenings, grit and any other material, as per
specifications and to the satisfaction of the Engineer In-charge. It is to be noted that all costs for O&M
period excluding the cost of power/Disel of DG Set is to be borne by the Contractor. Within his quoted
cost, the Bidder is to ensure that the following guarantees are to be maintained:
 Guarantee for Quality of Treated Effluent.
 Guarantee for Power Consumption.
 Guarantee for Automation System.
The Bidder shall provide on job training to the Employer staff as per specifications.
The Bidder shall, at no extra cost to the Employer, repair and re-condition all the required mechanical
equipments in the concluding year of the O & M period and Hand over the facility to the Employer in
proper & fully working condition.
22 Operation and Maintenance Cost
All the cost for Operation and Maintenance of the Plant such as Chemicals and Consumables, Disposal of
Screenings, Grit and Dewatered Sludge, Manpower, Spares, Repair and Maintenance of Civil, Mechanical,
Electrical/Electronic, Instrumentation Items including all other major/minor repairs, breakdowns, replacements
etc. including painting on metallic & non metallic surfaces as required excluding the cost of disel for Genset
and Power (Electricity bills), shall be in the scope of the Bidder. No extra payment other than whatever has
been quoted in Price Schedule will be entertained by the Employer.

The Bidders are to quote O&M Cost and provide Functional Guarantee based on the following data which shall
be used for technical evaluation of qualifying Bids:
BOD : 200 mg/l
TSS : 250 mg/l
23 Contract Period
The total Contract Period shall be as follows:
O&M Period : 12 Months

24 APPROVAL OF TEMPORARY / ENABLING WORKS

The setting and nature of all offices, huts, access road to the work areas and all other temporary
works as may be required for the proper execution of the works shall be subject to the approval of
the Engineer- in-charge.All the equipments, labour, material including cement, reinforcement and
the structural steel required for the enabling/ temporary works associated with the entire Contract-
shall have to be arranged by the Contractor only. Nothing extra shall be paid to the Contractor on
this account.

25 CLARIFICATION AFTER TENDER SUBMISSION

Tenderer’s attention is drawn to the fact that during the period, the tenders are under
consideration, the tenderers are advised to refrain from contacting by any means, the UPAVP
and/or his employees/ representatives on matters related to the tender under consideration and
that if necessary, UPAVP will obtain clarifications in writing or as may be necessary. The tender
evaluation and process of award of works is done by duly authorized Tender Scrutiny Committee
and this committee is authorized to discuss and get clarification from the tenderers.

26 ORDER OF PRECEDENCE OF DOCUMENTS

In case of difference, contradiction, discrepancy, with regard to conditions of contract,


Specifications, Drawings, Bill of quantities etc. forming part of the contract, the following shall
prevail in order of precedence.
i. Letter of Award, along with statement of agreed variations and its enclosures, if any.
ii. Description of Bill of Quantity / Schedule of Quantities.
iii. Special Condition of Contract/scope of work.

 Earnest Money deposited shall be Rs. 2.00 Lacs and the security money shall be 10% of the bonded cost of
the work. The E.M.D. shall be converted into security amont in respectfull of successful tenderer.the balance
amount can be accepted in the shape FDR/CDR any nationalised bank of India duly pledged in the favour of
„EXECUTIVE ENGINEER CONSTRUCTION DIVISION Lucknow-05 U.P. HOUSING & DEVELOPMENT
BOARD LUCKNOW‟.

 Tender of the firms who have litigation in court of Law against UPHDB, will not be considered.

 Tender of the firms are liable to be rejected who have failed to complete the work timely and work is still
pending for more than one year in the UPHDB.

SPECIAL CONDITIONS

GENERAL
1. These special conditions shall be read in conjunction with the General Conditions of the contract.
Where the provisions of these special conditions are at variance with the provisions of the General
Conditions of the contract, the provisions of these special conditions shall take precedence.
2. The contractor is expected to be well conversant with the conditions of GPW Form 9 as applicable
to works (General conditions of the contract) which shall be part of the agreement.
3. The Tenderer‟s are advised to see carefully the site of work before actually submitting their tender.
The Location of work site at, Lucknow under the scope of this tender can be seen in the office of the
Executive Engineer Construction Division Lucknow-05 U.P. Housing & Development Board,
Lucknow on any working day or on Parishad website www.upavp.com.

TENDERERS TO ENSURE AND NOTE


4. The tender is to be addressed to the Executive Engineer Cons. Div.Lucknow-05, U.P. Housing &
Development Board, Lucknow and should be submitted with the name of work written on the cover
as per directions given in instructions to the Tenderer‟s. The tenders to be deposited in the tender
box specially kept for the purpose in the office of the Executive Engineer Cons. Div.Lucknow-05,
U.P. Housing & Development Board, Lucknow.
5. No page of the tender shall be removed & the entire set must be submitted, as it is failure to
comply the instructions may result in the rejection of the tender.
6. All entries made by the tenderer should be legible. Tender should not contain erasures and
corrections, and if there is any correction, should bear the dated initials of the tenderer. The
tenderer must sign each page of the tender.
7. No additions or alternations are permitted in the tender papers. If tender does so, the same shall not
be considered and such tender is liable to be rejected.
8. Any tender not fulfilling all the conditions is likely to be rejected.
9. No refund of the cost of tender is claimable for tenders not accepted or for tenders not submitted.
10. Contractor has to sign the agreement after submission of stamp paper as per prevailing order, rules
within ten days from the date of acceptance of the work, in case of delay on the part of the
contractor beyond ten days; a penalty of Rs. 1000/- per day will be imposed and shall be
recoverable from contractor, which will be deducted from any dues of contractor.

11. If the contractor withdraws his offer/tender, or modifies his offer/tender, before acceptance of the
tender, his entire earnest money shall be forfeited by authority.

be 10% of the bonded cost of the work E.M.D. would be converted into security amount in respect of
successful tenderer and balance shall be deposited at the time of agreement in the form of
FDR/CDR duly pledged to Executive Engineer Cons. Div.Lucknow-05, U.P. Housing &
Development Board, Lucknow.
14. The tenderer shall submit Non-Judicial Stamp Paper for agreement as per stamp duty order rules.
The Contractor shall have to furnish an undertaking with respect to value of stamp paper that if any
change in the value.of stamp paper is being ordered by Govts. / Honorable Courts the same shall be
deposited by the tenderer.
15. The earnest money deposited by the unsuccessful tender shall be returned after thirty days from the
date of acceptance of the tender .After the acceptance of the earnest money of the successful
contractors shall be converted into the security deposit.
16. The security deposited shall be refunded to the contractor as per provisions of form GPW-9.
LABOUR REGULATIONS
17. The contractor will have to follows all existing rules and regulations of the govt. and labour
department regarding the labour employed by him without entitling him for any extra claim on this
account.
18. The contractor shall responsible for the damage(s) done to any property or injury to any person
whatsoever caused by him or any body in his employment or caused in consequence of his work.
He will indemnify and keep the govt. indemnified against claims demands proceedings charges.
Cost charges and expenses whatsoever in respect of or in relation to any such injuries or damages.
The contractor shall taken a necessary precautions for the safety of his employees on the work and
shall comply with all applicable provision of safety laws and building codes to prevent accident or
injuries to persons on the work.
EXECUTION OF WORK
19. All drawings and designs will be supplied according to the necessity of the particular works and the
contractor will not have any claim for compensation in case of late supply of necessary design
drawings.
20. For carrying out the work the contractor shall be provided with one set of working drawings.
Additional copies if required will be supplied to him on payment of additional charges as decided by
Engineer-in-charge
21. The contractor shall be wholly responsible for setting out the works and for the corrections of the
positions levels dimensions & alignment according to the plan/drawing including all necessary
instruments pegs poles, pillars etc. and other material required for the purpose to the satisfaction of
E/I
22. The work shall be executed as per program drawn by contractor and accepted by the E/I.

23. In the event of working at night, the contractor shall provide sufficient lighting, safety arrangements
for working staff to the satisfaction of the engineer-in-charge/ Executive Engineer Cons. Div. Lko-05,
U.P. Housing & Development Board, Lucknow. Any order or approval issued under this clause by
the engineer-in-charge/ Executive Engineer Cons. Div. Lko-05, U.P. Housing & Development Board,
Lucknow shall not relieve the contractor from or diminish his obligations under the contract.
24. If Engineer-in-charge, UPHDB finds that the work progress is slow and feels that the work will not be
completed in the time specified, then the engineer-in-charge, shall order the contractor to work day
and nights, and/or on holidays and the contractor shall obey these orders without objection or
request for compensation. No compensation whatsoever shall be paid on this account.
CONTRACTORS SUPERVISORY STAFF
25 Within fifteen days of the registration of the contract bond the contractor shall have to notify in
writing the name and attested photographs of his two authorized Representatives. One of them will
always be available at site of work to receive technical orders & the other for instruction for issue of
material other miscellaneous works. The contractor shall be fully responsible for the order received
by his representative or the materials received by his representative or the materials received by his
representatives.
26. The contractor shall provide sufficient supervision to the work using the skill & attention. He shall
deploy experienced engineer on the work throughout its currency.
The Engineers deployed by contractor shall be got approved in writing from the Engineer in charge
(whose approval at any time can be withdrawn) for supervision of the work and to receive directions
& Instructions of the work from E/I, on behalf of contractor. The supervisory staff of the contractor
shall not be changed without obtaining the approval of E/I in the event of non presence of these
Engineers. UPHDB will deduct Rs. 30000.00/-PM Degree Engineer and Rs. 25000/- PM per
Diploma Engineer to presence and/or absence of such engineer from the work shall be final &
binding upon the contractor. The tenderer will have to remove any person employed on the work if
ordered by the E/I for any reason.
27. If the contractors does not use at site the T & P as mentioned in the Appendix “C” the UPHDB shall
arrange the same and the necessary deductions for the rental of machinery and T&P shall be made
from contractor‟s bills penalty as deemed fit shall be imposed for which no claim shall be
entertained.
WORK TO BE DONE AS PER SPECIFICATION
28. The specifications to be follow for the executions of the works shall be:
28.1 General earth work cutting and its cartage shall be done as per requirement of the site which will be
recommended by the Department to contractor.
28.2 Relevant IS Codes and Manuals & NGT Guidelines shall be followed for item of work not covered in
specification annexed with the tender document.
28.3 Any G.O. issued in the light of High Court‟s instructions will be binding over the Contractor and
dicisions regarding contract may change in complience with that order
28.4 The Bill of Quantities is to be read in conjunction with the Form of tender drawings conditions of
contract specifications as these documents are jointly explanatory and descriptive of the works
included in contract. In case of conflict amongst description of the items (s) specifications conditions
and drawings the decision of engineer-in-charge shall be final & binding.

INSPECTION OF WORK
The Engineer-in-charge/UPHDB shall have the right to inspect the work and related documents
either through their authorized officers or any agencies appointed for purpose as and when the need
in the construction and satisfaction execution of the work the contractor shall subject themselves to
such inspection and shall carry out the instructions issued in pursuance of the above inspections.
29. A SITE ORDER BOOK shall be maintained at the site of the work in which instructions shall be
given to the contractor as and when necessary. This order shall have to be signed and compiled
with by the contractor or in his absence by his authorized representative or agent & in such case it
will be presumed the same have been conveyed to him in time.
VARIATIONS
30. The quantities given in the bill of quantities are approximate & are liable to variation up to any extent
on either side without entitling the Contractor to any compensation any claim or extra rate.
RATES
31. In giving their rates the Tenderers take into account all fluctuations of the market, as no claim shall
be entertained on this account during the acceptance of the tender and currency of the contract.
32. The tendered rates shall be for all completed items of the work & shall include all quarrying royalties,
testing, screening, tools and plants, railway freight, carriage of materials to site, stacking & removal
charge of any rejected materials and Municipal taxes, octrol etc. and all taxes in force from time to
time.
33. Tendered rates are inclusive of all taxes and Royalty/levies payable under the respective statutes
only GST & Labour cess shall be paid extra as applicable.
34. Rates quoted shall be considered to be for all height unless specified other wise.
PAYMENT
35. The Contractor shall submit monthly running bills to the Executive Engineer Cons. Div.Lucknow-05
U.P. Housing & Development Board, Lucknow for the work completed by him during the month. The
payments shall be made as per provisions of form GPW-9.
36. All tax with surcharge shall be deducted on the gross amount of the work done for all the payments
made to the Contractor according to the provision of Govt. tax Act modified from time to time.
37. The Contractor shall submit a certificate along with each bill that full labour payment has been made
by the Contractor till the end of the preceding month.
38. The Contractor shall have to sign FARKHATI at the time of final bill.
CO-OPERATION WITH OTHER AGENCIES
39. The contractor shall not put hindrance to any person or to other contractors authorized by the
department to carry out works of any nature entrusted to them. The contractor shall have to allow
the other party to work and adjust his work accordingly and no claim shall be entertained on this
account. In case of any dispute the decision of the E/I shall be final and binding upon all the parties
concerned.
40. The contractor shall do his work in such a way that the work of other contractor is not hampered.

MISCELLANEOUS
41. The contractor shall at all times keep the premises free from accumulated waste material or rubbish
caused by his employees on the work and on completion of the work he shall clear away whole site
of such material and fill up the borrow pits made by him. He will leave whole of the site and works
clear in a workman like manner. Nothing extra shall be paid to the contractor for this clearing up.
The contractor shall maintain and keep the area in agreed sanitary condition, which is used by men
engaged in the work by him. He shall remove and clear all structures etc. which may have been set
up by the contractor for accommodating his labour on the completion of the work to the satisfaction
of the Engineer-in-charge/U.P.HDB.
42. In case of any dispute the decision of Executive Engineer / SE / C.E. UPHDB shall be final & binding
on the contractor. However an appeal before the Housing Commissioner can be made whose
decission shall be final.
43. No claim of Contractor for the interest will be entertained by the U.P. Housing & Development
Board, Lucknow in respect of the deposits mentioned in the contract or in respect of any money or
balance which may be in their hands owing to any disputes between the U.P. Housing &
Development Board, Lucknow and the contractor or in respect of any delay on the part of U.P.
Housing & Development Board, Lucknow in making monthly payments or otherwise.
44. The contractor shall have to make arrangements at his own cost for accommodation for the staff
deployed for O&M work.
45. Contractor shall also make arrangements of first aid facilities for any accidents. All care and
precautions shall be taken and it should be ensured that there are no accidents while execution of
work.
46 The Contractor will provide all necessary equipment required for the proper upkeep and
maintenance of the premises and Safety Equipments should also be provided by the firm at STP as
per the recommendation of Inspector of Industries. Contractor shall also take care of safety
compliance as applicable from time to time as per safety rules/Factory act/Indian Electricity
regulations/manuals/ manufacturer's special instructions.
47. The work shall be executed strictly in accordance with the engineering / environmental norms and
as per direction of Executive Engineer division concerned.
48. Contractor shall ensure uninterrupted operation or any other scope of work as per agreement.
49 The work shall be carried out in a manner complying in respect with the requirement by laws of the
department/ local bodies/Authorities in whose jurisdiction the work is situated.

70- SCOPE OF WORK – OPERATION & MAINTENANCE
1. Operations
a. Daily Operations of Sewage Treatment Plant
The Contractor shall carry out all facility operation and waste water disposal operations
indicated below; in accordance with Good Operating Practices, as set out in this Contract. The
Facility operation and waste water disposal operations shall include, but not be limited to the
following:

 Operating Sewage Treatment Plant to maintain the quality of treated sewage within the
standards prescribed in the Tender, operate electrical equipment during power failures by
operating generators, operate the Centrifuge for sludge drying and treat incoming sewage at
prescribed standards through optimal dosing.
 Carrying out daily cleaning of grit channels and removal of screenings and disposal of
floating matter in grit dewatered sludge out of premises.
 Carrying out continuous flow measurements of treated & untreated sewage and recording the
same online / offline.
 Collecting samples of influent and effluent and analyzing them daily to determine the quality
of sewage and performance of the treatment plant and
 Providing security for facilities and system at all times.

b. Contingency Plan
Developing and implementing contingency plans in respect of responses to natural disasters,
periods of power failure, storm water inflow into sewers during monsoon, de-silting of units of
treatment plants, constraint operations or other similar emergencies to maintain the quality of
treated sewage.

c. Energy Audit
The Operator shall take all necessary measures to minimize the power consumption in carrying out its
operations. The energy audit operations shall include, but not be limited to the following.
 Reducing electricity consumption by regulating equipment operation through suitable
modifications to the operating schedules.
 Maintaining power factor and demand to avoid penalty
 Installing more efficient pumping equipment and following better maintenance practices for
electrical installation.

d. Repairs and Maintenance (STP premises)


The Contractor shall carry out preventive, routing maintenance and break down maintenance
Operations for proper upkeep of plant in accordance with good operating practices. The
following items shall be included in such maintenances.

i) Machinery and Treatment Plant Equipment


 Dewatering and de-silting of sludge Sump, chlorination Tank, chemical dosing tanks at least
twice a year as per approved programs and disposal of silt.
 Cleaning and maintaining all rising mains/sewers in the plant area at least four times a year.
 Repairing and replacing damaged pipes, fittings and valves for suction and delivery pipe.

 Repairing and replacing pump impellers, body, bearings shafts column pipes.
 Repairing and replacing motors
 Repairing and replacing starters, circuit breakers, capacitors
 Repairing and replacing vanes and/or gears of agitators
 Repairing and replacing transformer.
 Repairing of blowers, decanter, diffusers, chlorinator, chemical dosing equipments &
Centrifuge.

ii) Building and Civil Structures


 Water proofing leaking roofs of the Buildings.
 The preventive and routine maintenance shall include all repairs and provision of spares
material and tools required for these repairs. The Contractors shall also carry out breakdown
maintenance and repairs. The labour, tools and plant, spares shall be arranged by the
Contractor. The following spares shall be the respective responsibility of the Contractor and
the Employer during preventive routing and breakdown maintenance.

2. Advice Early Warning:


The Contractor is to warn the Engineer at the earliest opportunity of specific likely future events
or circumstances that may adversely affect the operations or the condition of the facilities and /
or system. The Contractor shall cooperate with the Engineer in making and considering
proposals for how the effect of such an event or circumstances can be avoided or reduced and in
carrying out any resulting instruction of the Engineer

The Contractor shall also advise the Employer from time to time, on improving the quality of
operations, reduction in water / energy losses and betterment practices.

3. Replacing
The Contractor shall utilize the office space, provided by the Employer to establish its
monitoring and reporting office along with computer and peripherals. It shall also obtain a
telephone connection and maintain the same through the Contract period. All data transfers and
updates made to the Employer shall be affected through the said telecommunications medium.

The Contractor shall carry out all reporting indicated below and as set out in this Contract. The
reporting shall include, but not be limited to the following
 Daily summary of Operations at Sewage Treatment Plant – A daily report of operation of the
diffuses, agitators, decanter and other equipment at the sewage treatment plants providing
information on the quantity of sewage treated, hours of operation of equipment, energy
consumed and use of chemicals.
 Sewage Quality Monitoring – A daily report monitoring the quality of raw and treated
sewage through the analysis of samples.
 Sewer / Storm Water Drains / wet well & other units etc. Monthly cleaning report sewer /
storm water drain de-silted and record of silt disposed at disposal sites.

4. Employer‟s Responsibilities
The Employer shall be responsible for procuring obtaining and maintaining Employer
Clearances required, however that the Contractor shall be responsible for maintaining the

conditionality of any such clearance, if such maintenance falls within the preview of the
Contractor.

The Employer shall supervise the Contractor‟s Operations at all times and notify the Contractor
of any defects that are found. Such checking shall not affect the Contractors responsibilities. The
Engineer may instruct the Contractor to search for a defect and to uncover and test any work that
the Employer considers may have a defect.
The Employer shall be responsible for:
 Energy charges and treated effluent testing charges from State PCB if required.
 Maintaining administrative control over the personnel, facilities and system.

5. Contractors Responsibilities
The Contractor shall maintain properly and keep intact all assets / works/facilities / system of the
Employer throughout the Contract period and shall hand over the same in good working
condition at the end of the Contract. The Contractor shall not modify or alter any operations
regarding the facilities and / or system without prior written permission of the Employer or its
representative.

The Contractor shall procure all spare parts required for the maintenance of equipment
excluding those to be supplied by the Employer. The Contractor shall warrant to the effect that
all the spares shall be procured from the authorized sources and be of the best quality and fit for
the purpose for which it is being used.

The Contractor is expected to carry out the work in such a manner as not because any damage to
public property on account of negligence or otherwise. The Contractor shall be fully responsible
for making good the damages so caused by him entirely at his own cost.

The assets / works / facilities / systems of the Employer shall be at the risk and in the sole charge
of the Contractor and it shall be responsible for making good any loss or damage there to arising
from any cause whatever including that due to a theft or robbery.

The Contractor shall provide adequate engineering equipment, maintenance staff, inventories
plant and machinery and all other things, whether of a temporary or permanent nature required
for carrying out operations under the Contract.

The Contractor shall carry out its Operations, so far as compliance with the requirement of the
Contract permits, so as not to interfere unnecessarily or improperly with:
- The convenience of the public
- The access to use and occupation of public or private roads and footpaths to or of properties.

Permissions: The Contractor shall obtain all required permissions, sanctions clearances and
permits for carrying out its Operations, including Contractors clearances by self at own cost and
shall be fully responsible for carrying out the operations in a safe and secure manner, consistent
with the law of the land, laws and regulations regarding such facilities and / or System and
directives of any Authority and planning permissions.

Safety: The Contractor shall be responsible for the safety of all activities on the site and shall be
absolutely and solely responsible for any and all kinds of injuries or damages to persons and
property of any description whatever may be caused by or result from the operations carried out,
whether these may have been carried out skilfully and carefully and strictly in conformity with
the provision of the specifications or not.

Discoveries: All fossils, coins, articles of value or antiquity and structures and other remains or
things of geological or archaeological interest discovered on the Site shall as between the
Employer and the Contractor, be deemed to be the absolute property of the Employer. The
Contractor shall take reasonable precautions to prevent its workmen or any other persons from
removing or damaging any such article or thing and shall, immediately upon discovery thereof
and before removal, acquaint the Engineer of such discovery and carry out the Employer
instructions for dealing with the same.
The Contractor shall be responsible for payment of reinstatement charges for roads, footpaths
and land as per the Employer‟s rates.

The Contractor shall take full responsibility for the adequacy stability and safety of all Site
operations.

6. Staff & Labour:


A. Engagement of Staff & Labour
The Contractor shall employ skilled, semi-skilled and unskilled labour in sufficient numbers to
carry out its operations at the required rate of progress and of quality to ensure workmanship of
the degree specified in the Contract for timely fulfilling of the Contractor‟s obligations under the
Contract and to the satisfaction of the Employer.

The Contractor shall not employ in connection with the operations any child who has not
completed his/her fifteenth year of age. It shall also not employ an adolescent who has not
completed his / her eighteenth year unless he/she is certified fit for carrying out operations as an
adult as prescribed under clause b) of such section (2)(of Section 69 of the factories Act 1948.

The Contractor shall provide its staff, a minimum of two sets of uniforms with the titles the
Employer inscribed on the back and subject to approval of the Employer. Each worker on duty
shall wear a clean uniform whenever on duty.

The Contractor shall be required by the Engineer deliver to it, to such forms and at such
intervals as the Engineer may prescribed a return showing the numbers of the several classes of
staff employed by the Contractor on the site and such other information as the Engineer may
require.

If the Employer asked the Contractor to remove a person who is a member of the Contractor‟s
staff stating the reasons, the Contractor shall ensure that the person leave the site within seven
(7) days and has no further connection with operations under the Contract.

At all times during continuance of the Contract, the Contractor and its sub-contractors
shall abide by all existing and future labour enactment and rules made there under,
regulations, notifications and bye-laws of the Central, State or Local Government. The

Contractor shall keep the Employer indemnified in case any action is taken against the
Employer by any Authority on account of contravention of any of the provisions of any Act
or rules made there under, regulations or notifications including amendments.

If the Employer is caused to pay or reimburse such amounts as may be necessary to carry or
observe, or for non-observance of the provisions stipulated in the notifications/bye-
laws/acts/rules/regulations including amendments if any, on the part of the Contractor and in
connection with labour enactment, the Engineer shall have the right to deduct any money due to
the Contractor including its amount of security deposit. The Engineer shall also have the right to
recover from the Contractor, any sum required or estimated to be required for making good the
loss or damage suffered by the Employer.

B. Contractor‟s Superintendence
The Contractor shall provide all necessary superintendence while carrying out its operations and
as long thereafter as the Employer may consider necessary for the proper fulfilling of the
Contractor‟s obligations under the Contract. The Contractor shall nominate a competent and
authorized representative (Contractor Representative) approved of by the Engineer which
approval may at any time be withdrawn. The Contractor‟s Representative shall give its whole
time to the superintendence of the operations. The Contractor‟s Representative shall receive, on
behalf of the Contractor, instructions from the Engineer which shall be deemed received by the
Contractor.

C. Contract Performance Review and Progress

Management Meetings:
Either the Employer or the Contractor may require the other to attend a management meeting.
The business of a management meeting shall be to review the plans for remaining Operations
and to deal with matters raised in accordance with any advice. The Employer shall record the
business of management meetings and is to provide copies of its record to those attending the
meeting and to the Employer either at the management meeting or after the management
meeting and stated in writing to all who attended the meeting.

The Employer may instruct the Contractor to rectify defects and deficiency in its Operations.
Alternatively, the Employer shall carry out the operations on its own and deduct the amount
incurred in attending to such defaults from the next payment due to the operation. The deduction
of such damages shall not relieve the Contractor from its obligations to carry out the operations,
or from any other of its obligations and liabilities under the Contract.

Notwithstanding anything stated above:


If the Employer is of the opinion that the actions of the Contractor is deemed as an event of
default of services and the event persists beyond one (1) day the Employer shall be entitled as
invoke the Security deposit and carry out the operations through a another Contractor or
departmentally. The Employer shall then proceed as per Tender conditions

6. Liquidated Damages and Penalties for O/M works:
The basis for applying penalties is to restrict Contractor from deviating from disposing all
raw/treated waste water efficiently from the service area – as per fixed schedule and as per
stipulations prescribed in the Tender.

The Contractor is also expected to carry out the instructions of the Engineer or its representative
from time to time, maintain the System in accordance with good Operating Practices attend to
Customer complaints, refrain from offering operations without due authorization where so
required and follow other requirements under this Contract.

The Contractor shall be subject to the following liquidated damages and penalties for its failure
to carry out its operations as indicated below:

7. Intellectual Property & Confidential Information


The Parties agree that all details, plans, manuals documentation, specifications, schedules,
programs, reports, calculations and other work relating to the Facilities and / or Systems and the
provision of operations pursuant to this Contract (hereafter referred to as “Proprietary Material”)
which have been or are hereafter written, originated or made by any of them or any of their
respective employees, sub-contractors or agents and by the persons related to the Contractor in
connection with this Contract shall be owned by and be the property of the Employer. The
determination of information as Proprietary Materials shall be made at the sole discretion of the
Employer.

The Contractor shall have an irrevocable royalty-free, non-exclusive license to use the
Proprietary Material during the term of this Contract for all purposes connected with fulfilling
its obligations hereunder. However, this license shall not be transferable to any party other than
to a permitted assignee under this Contract. Such license shall not continue after the suspension
or termination of this Contract or the discharge by the Contract of its duties hereunder.

8. Confidentiality
The Contractor shall cause the persons related to the Operator not to, without the prior written
consent of the Employer, at any time, divulge or disclose to any person or use for any purpose
unconnected with the operations, proprietary material under this contraction. This shall not
apply to information.

 Already in the public domain otherwise than by breach of this Contract.


 Already to the possession of the receiving party before it was received from the office party
in connection with this Contract and which was not obtained under any obligation of
confidentiality; or
 Obtained from a third person who is free to develop the same and which was not obtained
under any obligation of confidentiality.

The Contract shall, whenever required take necessary steps to ensure that all persons employed
by it, under this Contract comply with the Indian Official Secrets Act 1923 (XIX of 1923) and
agree that it applies to them and shall continue to apply even after completion of this Contract.

No photographs of the Facilities or System or any part there of or equipment employed thereon
shall be taken or permitted by the Contractor to be taken by any of its employees or any
employees of its sub-Contractor without the prior approval of the Engineer in writing and no
such photographs shall be published or otherwise circulated without the approval of the
Engineer in writing.

The Employer shall use its best efforts to ensure that the confidential proprietary information
relating to the Contractor is not made public. However, the Employer shall not be liable in any
manner whatsoever in case such information becomes public.

9. Assignment
The Contractor shall not subcontract the whole of the operations or a substantial part thereof.
Except where otherwise provided by the Contract, the Contractor shall not subcontract any part
of the operations without the prior consent of the Engineer. Any such consent shall not relieve
the Contractor from any liability or obligations under the Contract and it shall be responsible for
the acts, defaults and neglects of any subcontractor, its agents, servants or workmen as fully as if
they were the acts, defaults or neglects of the Contractor, its agents, servants or workmen.

The Contractor shall not be required to obtain such consent for:


 The provision of labour or
 The purchase of materials specified in the Contract.

10. Default of Contractor
10.1 Event of Default
a) At any time after the Commencement Date, the Engineer may investigate each case where
the Contractor has failed to properly perform the operations in accordance with this Contract.
The Engineer shall issue a notice to the Contractor, instructing him to rectify the failure
within a reasonable time.

b) An event of default on the part of its Contractor being unable to fulfil its services obligations
under the Contract shall be deemed as a serious default and is said to have occurred doubts
any of the following causes.

c) The Engineer certifies to the Employer with a copy to the Contractor that in its opinion the
Contractor
 Has repudiated the Contractor.
 Without reasonable excuse has failed to commence Operations in accordance with the
Contract and pursuant to the Commencement date; or failed to complete the Operations
within the time stipulated for completion.

d) Gross misconduct of the Contractor

e) Despite previous warning from the Engineer, in writing, is otherwise persistently or


flagrantly neglecting to comply with any of its obligations under the Contract.

f) Contractor persistently fails to follow. Good operating practices in execution of the Contract.

g) If the Contractor changes the use to which any part or whole of the Site is put or initiates a
variation without the required approval of the Engineer.

h) The Contractor stops providing the operation for one day and the stoppage has not been
authorized by the Engineer.

i) The Engineer gives notice that failure to correct a particular defect is a fundamental breach
of Contract and the Contractor fails to correct it within a reasonable period of time
determined by the Engineer.

j) If the Contractor is in breach of any law or statute governing the operations.

k) The Contractor does not maintain a security which is required and

l) The Contractor, in the judgement of the Employer has engaged in Corrupt Practices
fraudulent Practices in competing for or in carrying out the Operations under the Contract.

m) If the Contract fails to obtain or keep in force the insurance requirements under this Contract.

n) The Contractor (in case of a consortium) has modified the composition of the consortium
and/or the responsibility of each member of the consortium without prior approval of the
Employer.

o) The Contractor is enable to maintain the composition and structure of its organization due to
any of the following causes:
 The Contractor enters into voluntary or involuntary bankruptcy, or liquidation.
 The Contractor becomes insolvent.
 A receiver, administrator, trustee or liquidator is appointed over any substantial part of
its assets and
 Any act is done or event occurs with respect to the Contractor or its assets which under
any applicable law has substantially similar effect to any of the foregoing acts or events.‟

10.2 Consequences of Default


a) It is a default by the Contractor is said to have occurred pursuant to the Employer may after
giving three days notice to the Contractor enter upon the Site, the facilities and / or system
and terminate the Contract without thereby releasing the Contractor from any of its
obligations under the Contract, or affecting the rights and authorities conferred on the
Employer by the Contract. The Employer may use so much of the Contractor‟s equipment,
temporary works and materials as it may think proper.

b) If the Contract is terminated because of an Contractor‟s event of default, the Employer shall
be entitled to invoke the Security Deposit and carry out the Operations through a successor
Contractor or departmentally and at the risk and cost of the Contractor. If the total amount
due to the Employer exceeds any payment due to the Contractor the difference shall be a
debt payable to the Employer,

c) If the Contract is terminated because of an Contractor‟s event of default, all materials on the
site, plant, equipment and temporary works shall be deemed to be the property of the
Employer.

d) Unless prohibited by law, the Contractor shall, if so instructed by the Engineer within 3 days
of such entry and terminated referred to, assigns to the Employer the benefit of any Contract
for the supply of any goods or materials or operations which the Contractor may have
entered into for the purposes of the Contract.

11. Default of Employer


11.1 Events of Default
a) An event of default on the part of the Employer, affecting the performance of the
Contractor‟s operations shall be deemed to have occurred due to any of the following causes.

b) The Employer does not give access to part of the Site by the commencement date.

c) The Employer does not make a payment certified by the Engineer within 90 days from the
day of receipt of the Engineer‟s Certificate.

d) The Engineer instructs the Contractor to stop providing the operations and the instruction is
not withdrawn within 3 days and

e) The Employer is in breach of any law or statute governing this Contract.

11.2 Consequences of Default
1. Pursuant to the Contractor may terminate its employment under the Contract by giving
notice to the Engineer with a copy to the Municipal Commissioner. Such termination shall
take effect 14 days after giving the said notice.

2. If the Employer, before the expiry of the above notice period, or immediately thereafter
removes the cause of its default, the Contractor‟s entitlement shall lapse in respect of such
defaults, and the Contractor shall continue with / resume normal working as soon as is
reasonably possible.

12. Risks, Indemnification's & Insurance


A. Risks
All risks of loss of or damage to physical property and of personal injury and death which arise
during and in consequence of the performance of the Contract other than the risks stated, is the
responsibility of the Contractor.

B. Indemnification
1. The Contractor shall indemnify and keep indemnified the Employer against all losses and
claims for injuries or damage t any property whatsoever which may arise out of or in
consequence of the operations and against all claims, demands, proceedings, damages, costs,
charges and expenses whatsoever in respect of or in relation thereto.

2. The Contractor shall at all times indemnify the Employer against all claims, damages or
compensation under the provision of:
 Payment of wages Act 1936
 Minimum Wages Act 1948
 the Employers Liability Act 1938
 The Workmen‟s Compensation Act 1923
 Industrial Dispute Act 1947.
 Indian Factories Act 1948 and
 Maternity Benefit Act 1961.

Or any modifications thereof and rules made there under from time to time or as a consequence
or any accident or injury to any workman or other persons in or about the Operations, whether in
the employment of the Contractor or not save and except where such accident or injury have
resulted from any act of the Employer, their agents or servants and also against all cost, charges
and expenses of any suit, action of proceedings arising out of such accident or injury and against
all sum and sums which may with the consent of the Contractor be paid to comprise or
compound any such claim without limiting its obligations and liabilities as above provided. The
Contractor shall insure against all claims damages or compensation payable under the various
acts mentioned above or any modifications thereof or any other law relating thereto.

C. Insurance
The Contractor shall provide in the joint names of the Employer and the Contractor insurance
cover from the Commencement date to one year beyond the end of the Contract Period for the
Contractor‟s risks covering:

 Loss of or damage of property (except the Facilities, System and Equipment) in connection
with the Contract.
 Personal injury or death; and
 The Contractor‟s All risk (CAR) Insurance Policy.
 The covers shall be obtained from the Directorate of Insurance, Uttar Pradesh State only.

The Contractor may at its own discretion provide for the following insurance covers
 Loss or damage to the Facilities and / or System and
 Loss of or damage to equipment.
 Such cover may be taken either from the Directorate of Insurance, UP State or from any other
Insurance company with the approval of the Employer.

The Contractor shall deliver policies and certificates to the Engineer for an approval before the
Commencement Date. All such insurance shall provide for compensation to be payable in the
types and proportions of currencies required to rectify the loss or damage incurred.

If the Contractor or any of its Subcontractors does not provide any of the policies and
certificates required, the Employer may affect the insurance, which the Contractor should have
provided and recover the premiums the Contractor has paid from payments otherwise due to the
Contractor or, if no payment is due, the payment of the premiums shall be a debt due to the
Employer.

Alterations to the terms of insurance shall not be made without the approval of the Engineer and
both parties shall at all times comply with any conditions of the insurance policies.

13. Force Majeure


A. Force Majeure Events
A Force Majeure Event as defined is said to have occurred if any such event arises after the
issue of the Letter of Award of Contract and extends for a period greater than thirty days, outside
the control of both parties, thereby rendering it impossible or unlawful for either party to fulfill
its Contract obligations under the law governing the Contract. The Force Majeure Events are:
 War, invasion, mobilization, requisition or embargo;
 Rebellion, revolution, insurrection or military or usurped power or civil war.
 Contamination by radio-activity from any nuclear fuel or from any nuclear waste from the
combustion of nuclear fuel radioactive toxic explosive or other hazardous properties of any
explosive nuclear assembly or nuclear component of such assembly.
 Riot commotion or disorder, unless solely restricted to employees of the Contractor or of its
Subcontractors;
 Floods and any other calamity resulting from climatic imbalances and
 Provided always that such events are beyond the control of the parties and have a materially
adverse effect on the operations.

The Contractor shall be under no liability whatsoever in consequence of any of the Force
Majeure events referred to in this clause whether by way of indemnity or otherwise.

Both parties shall be released from further performance pursuant to any Force Majeure events
occurring outside the control of both parties and extending for a period greater than 180 days.

If the Contract is frustrated by a Force Majeure event, the Employer shall certify that the
Contract has been frustrated. The Contractor shall make the site safe and stop operations as
quickly as possible after receiving this certificate.

14. Consultation and Duty to Mitigate


For so long as the period of Force Majeure is continuing the affected party shall consult with the
other parties on the period and effect of the Force Majeure event, and the affected party shall use
all reasonable endeavours to alleviate its effects on the performances of its obligations under this
Contract. The other party shall afford reasonable assistance to the affected party to alleviate the
effect of the Force Majeure event on the performance by the affected party of its obligations
under this Contract. The affected Party shall use its best efforts to continue to perform its
obligations hereunder and to correct or cure the same during the subsistence of such Force
Majeure Event.

15. Consequences of Force Majeure


If and to the extent that any of the Force Majeure events listed above results in loss or damage to
the Facility and / or System the Contractor shall promptly give notice to the Employer. The
Employer may direct the Contractor to rectify this loss or damage to the extent required by the
Employer at costs to be mutually agreed between the parties. The Contractor shall expeditiously
rectify the loss or damage and shall be entitled to payment of such costs. In the event that the
parties are not able to reach an agreement on the cost of rectification, the Employer may cry out
the rectification works by itself or through any agency nominated by it. The Contractor shall
provide all cooperation required to complete such rectification expeditiously.

16. Resumption of Performance


When the affected party is able to resume performance of its obligations under this Contract, it
shall give to the other party a written notice to that effect and shall promptly, and in any vent
within 3 days resume performance of its obligation hereunder:

 The obligations and liabilities of the parties under this Contract would continue as long as
Force Majeure event does not impede the performance.
 There shall be no penalty / liquidated damages applicable in the period of subsistence of a
Force Majeure.

17. Taking over Process


At the end of the Contract period and subject to the provisions or its earlier terminations except on
account of default of the Contractor, the Contractor shall request the Engineer to take over the Facilities
and / or System. The Employer shall take over the facilities and / or System within 7 days of such a
request being made. The Contractor shall:
 Cease all further operations except for such operations as may be necessary and instructed by
the Engineers‟ Representative for the purpose of making safe or protecting those parts of the
Facilities and / or System and any operations required to leave the Site in a clean and safe
condition.
 Hand over all documents and supplies for which the Contractor has received payment and

 Remove Contractor‟s equipment which is on the Site and repatriate its entire staff and labor
from the site.
 Provide adequate training to ensure complete transfer of technology of entire operation &
maintenance of systems/automation etc. to the successor Contractor to the satisfaction of the
Engineer.

The Contractor shall supply to the Engineer a detailed account of the total amount that the
Contractor considers payable under the Contract before the end of the Contract Period. The
Engineer within 28 days of receiving the Contractor‟s account shall certify any final payment
that is due to the Contractor, or indicate to the Contractor the corrections or additions that are
necessary. If the final account is still unsatisfactory, after the Contractor resubmits it, the
Engineer shall decide on the amount payable to the Contractor and issue a payment certificate.

The Employer shall any time, within a period of 90 days from the Completion Date or
Termination Date as applicable, carry out an independent assessment of the facilities and / or
system departmentally or through a Successor Contractor. Any deficiencies in the facilities and/
or System shall be made good by or at the cost of the Contractor so as to bring the facilities and
or /system into Good Repair and proper working condition as handed over at the
Commencement Date and subsequent works done pursuant and normal wear and tear excepting.

18. Repairs and Maintenance Schedules

As per indicated period checking the operation, correcting defects, attending to calibration and
setting is required attending to minor repairs and proper up keeping such as cleaning and

Follwing miscellaneous work shall also be coverd under the Scope of work O&M

1 Disposal of Sludge/Screenings/Debris
The screenings/debris/dried sludge cakes from the STP shall be disposed off by the Contractor to a
suitable location which is away from the residential area. The place of sludge disposal shall be as per
the decision of the Engineer In-charge, within a radius of 15 kms from the plant. The responsibility of
sludge withdrawal and disposing off lies with the Contractor within the operation and maintenance
period. The Contractor should explore the possibility promoting it as manure.

2 Disposal of Excavated Stuff


It will be the responsibility of Contractor to dispose all the excavated stuff within the Employer limits
as directed by Engineer In-charge.

3 Safety Equipment:
Safety Equipments should be provided at STP as per the recommendation of Inspector of
Industries. Contractor shall also take care of safety compliance as applicable from time to time
as per safety rules/Factory act/Indian Electricity regulations/manuals/manufacturer's special
instructions.

4 Scope of Work for Operation & Maintenance


The Bidder shall operate and maintain the Sewage Treatment Plant and all other allied works
under this Contract for a period of 12 months. For this period, the scope of work shall include, but not
be limited to the Operation and Maintenance of the following:
 Sewage Treatment Plant at Margao including all the Civil Units and Electro-Mechanical
Equipments as per the Bidder's Proposal to ensure that all the output guarantees are met.
 General Facilities and Utility Services.
 PLC/SCADA based Automation system.
 All other in-plant facilities listed in the detailed Scope of Work

The Bidder shall also dispose-off the sludge, screenings, grit and any other material, as per
specifications and to the satisfaction of the Engineer In-charge. It is to be noted that all costs
for disel & genset during the O&M period.

Excluding the cost of power is to be borne by the Contractor. Within his quoted cost, the
Bidder is to ensure that the following guarantees are maintained:

 Guarantee for Quality of Treated Effluent.


 Guarantee for Power Consumption.
 Guarantee for Automation System.

The Bidder shall provide on job training to the Employer staff as per specifications.

The Bidder shall, at no extra cost to the Employer, repair and re-condition all the required
mechanical equipments in the concluding year of the O & M period and Hand over the facility
to the Employer in proper & fully working condition.

5 Operation and Maintenance Cost


All the cost for Operation and Maintenance of the Plant such as Chemicals and Consumables, Disposal
of Screenings, Grit and Dewatered Sludge, Manpower, Spares, Repair and Maintenance of Civil,
Mechanical, Electrical, Instrumentation Items including all other major/minor repairs, breakdowns,
replacements etc. excluding the cost of disel for Genset and Power (Electricity bills), Cost of
Electricity shall not be in the scope of the Bidder. No extra payment other than whatever has been
quoted in Price Schedule will be entertained by the Employer.

The Bidders are to quote O&M Cost and provide Functional Guarantee based on the following data
which shall be used for technical evaluation of qualifying Bids:

TSS : 250 mg/l
6 Contract Period
The total Contract Period shall be as follows:

19. The Bidder shall carry out the sampling tests of raw sewage by themselves to ascertain the raw
sewage quality for treatment process.

20. Treated Sewage Quality:


1. The Contractor shall process in such a way that the treated effluent quality attains the

4. Tenderers are advised to quote the rates according to geographic condition of site of work
5. It will be the sole responsibility of firm to inform concerning Engineer in charge for
quality assurance of Operation & Maintenance time to time.
6. The Engineer in charge will issue a certificate to the firm that satisfaction of Operation
& Maintenance per month.
7. The firm will be responsible for any negligence for Operation & Maintenance of S.T.P.
break down, accident leakage/breakage and any type of the defect of materials due to
manufacturing defect or bad workmanship and defective civil works for the repair and
maintenance.
8. It is assumed by the department that there will be no leakage/breakage default in STP
so, any charges, whatsoever, shall have to be borne by the firm shall not be paid by the
department in any case on account of repair and maintenance during the maintenance
period.

9. The contract shall ordinarily remain in force up to 12 months or completion of work or
guarantee/ warrantee period from the date of entering into the agreement but it can be
terminated at any time and any stage during the validity of the contract without
assigning any reason. No claim or damage on account of such termination of the
contract shall be entertained.
10 In case of non-compliance of work order, firm shall be taken to blacklist for next
three years in addition to penalty imposed as per rule and earnest/security money lying
with the department shall be forfeited.
11. The date of actual execution of ordered work shall be taken as the date of completion
of work.
12 After technical evaluation, price bid of those tenderers who qualify technically will be
opened. The order will be placed with the tenderer who successfully qualify technically
and commercially. It should be noted that department is under no obligation or binding
to place an order on the firm quoting the lowest rate.
13 To Provide Cholorine Gas, polymer for centrifuge and all other chemical required for
sewage treatment shall be in Scope of this Contract.
14. The tenderer will assure that the Operation & Maintenance of allotted work and all other
related activities are carried out without a break for the entire period of the contract.
15 The tenderer shall ensure that chemical & biological testing of sewage every day
including supply of all necessary chemical & testing equipment.
16. The tenderer shall provide for manpower for security of the plant, gardening and any
other inputs at site to facilitate to run S.T.P. during operation and maintenance period.
17 The contractor shall remove surplus garbage materials, malba etc. well to satisfaction of
engineer in charge on day to day basis.
18 The tenderer is required to submit the following information along with his offer and
relevant documents/certificate shall be attached in separate sheet in same order as given

19 The tenderer should have to submit under taking of satisfactory performance for
Operation & Maintenance of 37.50 MLD STP as per CPCB, UPPCB norms and
guide lines issued by NGT time to time.
20. The tenderer are requested to quote firm and fix rates in Indian Rs for each item as
mentioned in schedule “B” of the tender document.
21. The rates will not be subjected to any escalation at a later stage and agreement of
contract rate will made for 01 years.
22. However bifurcation of rates should be clear mentioned and percentage of taxes,
excise duties or any other statuary levy on the furnished product included in the rates
should be clearly mentioned in the commercial offer.
23. The tenderer should have to submit Testing Reports of Treated Sewer after every
fifteen days/ as required by E/I. from the laboratory of UPPCB/CPCB/IIT Lab/any Govt.
Recognized laboratory /Govt. Institution.
24. Log Book should be maintained for Per day solid waste Material.
25. Sludge generation record book should be maintained for Per day solid waste Material.
26. Contractor have to submit a list of Working as well as stand by/spare Equipment list
with monthly payment bill.
27. Testing report of treated sewage in STP Lab on daily basis should be submitted with
monthly bill.
28. All the testing report of the treated sewage water to be uploaded online system on daily
and mobile application should also be maintain for the STP.
