AMENDED TRUST DEED

THIS AMENDED DEED OF TRUST is made and executed at Hyderabad on


this 29th day of March, 2018 by the Author of the Trust Mr. Vasu
Vegiraju S/o V. Rama Raju, aged about 41 years, Resident of Flat No.
405, Madhavaram Heights, Baghameer, Kukatpally , Hyderabad - 500072,
Telangana State, India hereby execute this amended deed of Trust and as
per details given below:

1. Whereas the above named Author of the Trust has created a Trust
in the name of “MANALONI MANISHI FOUNDATION” vide trust
deed document No.222/2016 registered at Sub-registrar, Balanagar,
Hyderabad, Telangana on 24th September 2016 and to irrevocably
put the said initial trust fund for public charity, educational, and
medical purposes as hereinafter expressed and contained in these
presents and in pursuance of such desire has already transferred /
paid and handed over the said property to the trustees mentioned
below.

2. Whereas Author of the trust is possessed of and otherwise well and


sufficiently entitled to the sum of Rs. 54,000/- (Rupees fifty four
thousand only) (hereinafter referred to as Initial Trust Fund)

3. Whereas it is the desire of the Author of the Trust that the initial
trust fund may be further augmented from time to time by flow of
funds and other assets including movable and immovable property
and any other kind by way of gifts, or donations, acquisitions,
allotments, grant, exchange or otherwise etc. including funds from
outside India and in any foreign currency, subject to applicable laws
and regulations

4. Whereas the trustees are desirous to serve Farmer families of


Indian Community and also who are economically backward. Also to
take care of the educational requirements of the kids from such
families by financially supporting them to pursue their academic
aspirations. Also, to support them meet their medical needs based
on humanitarian grounds. The trust’s primary motive is to help
those families lead a respectful life in the Society.

Initial Trustees: The following persons are appointed to be the trustees


for putting the said property in Trust for the purposes detailed in this Trust
Deed.

1. Sri Vasu Vegiraju S/o V. Rama Raju, aged about 40 years, Occ:
Business, Resident of Flat No. 405, Madhavaram Heights,
Baghameer, Kukatpally, Hyderabad – 500072, Telangana State,
India.

2. Sri Gottimukkala Srinivas Raju S/o G. Sai Raju, aged about 39


years, Occupation: IT-Consultant, Resident of 5891 Marble Circle,
Johnston, IOWA State 50131, U.S.A

3. Sri Boppana Srinivasa Rao S/o Boppana Venkateswara Rao, aged


about 42 years, Occ: IT-Consultant, Resident of 840 Lewisburg Ln,
Aurora, ILLINOIS State 60504, U.S.A.

Whereas the author has received trustee resignations from Sri


Gottimukkala Srinivas Raju S/o G. Sai Raju and Sri Boppana Srinivasa
Rao S/o Boppana Venkateswara Rao.

Whereas the following persons are appointed as trustees in place of Sri


Gottimukkala Srinivas Raju S/o G. Sai Raju and Sri Boppana Srinivasa
Rao S/o Boppana Venkateswara Rao as new trustees.

Hereinafter collectively called as the trustees which expression unless
repugnant to the context or meaning thereof includes their heirs,
executors, and administrators, etc.

Now other amendments except two outgoing trustees and two


incoming trustees in place of outgoing trustees.

NOW THIS DEED OF TRUST WITNESSETH AS FOLLOWS:

1. NAME

The Trust hereby established shall be named as “MANALONI MANISHI


FOUNDATION”

2. PLACE

Office of the Trust shall be situated at Flat No. 405, Madhavaram Heights,
Baghameer, Kukatpally, Hyderabad - 500072, Telangana State, India or at
such other place in India as the Board of Trustees may from time to time
decide. The operations of the trust shall be carried out in India only.

3. MAIN OBJECTS OF THE TRUST:

(a) To promote, establish, manage and operate educational institutions,


including schools, colleges in different disciplines such as medical,
dental, science, agricultural, engineering, music, arts, crafts,
management, sports and other professional areas, distance learning
methodologies, computer and vocational training centers, hospitals,
diagnostic centers, medical & other research centers, laboratories etc.,
either directly or in collaboration with organizations engaged in the
promotion of such similar activities for imparting best of the education
with global standards to the students, to build and develop the mental
and physical faculties, good leadership, the psychological attitudes, to
mold students for achieving appropriate career advancement and to
prepare the students to discharge duties impartially and with
distinction and dedication in any chosen walk of life.

(b) To organize lectures, seminars, conferences, debates, study circle


meetings professional development programs and forums on subjects
such as Agriculture, animal husbandry, education, socio-cultural,
economic and environmental issues.

(c) To tie-up, associate and co-operate with other schools, colleges,


universities or any other education and research institutions in
carrying out the aims and objectives of the Trust.

(d) To guide, counsel, provide information, monetary support including


scholarships to deserving students seeking admission in various
academic and professional courses in India or abroad.

(e) Provide monetary support to Individuals and organizations who are
engaged in the fields of Agriculture and Animal Husbandry.

(f) Provide monetary support to meet the medical expenses to


deserving members of the public and to provide medical aid/ re-
imbursement or arrange medical facilities.

(g) Provide financial assistance, making donations and contributions or


otherwise making provision for orphanages, old age homes, health
care centers, rehabilitation centers or any other organization/ center/
society engaged in welfare of any section of the society including
adoption thereof.

(h) Financial assistance to people or section of society in acute distress,


rendering immediate financial relief to the families of the members
who die or sustain serious injuries during working hours or in the
course of farming.

(i) To promote, establish, manage and operate funds for agriculture,


providing basic amenities, drinking water provision, socio-economic
upliftment of the downtrodden and other weaker sections of the
society.

(j) To provide relief and rehabilitation for the poor or affected by the
natural calamities like droughts, floods etc., including preventive
measures if any and or to undertake relief management and
mitigation.

(k) In pursuance of the above aims and objects, the trust may in future
through its Board of Trustees carry all or any of the following acts:

(a) Acquire property, movable and/ or immovable of all descriptions as


may be deemed necessary for the purposes of the Trust by
purchase, lease, mortgage, will, gift, grant, legacy, bequest, or
otherwise in any manner, from any person, company, society,
trust, government institution, or any other entity, domestic or
foreign.

(b) Take or receive any gifts, donations, contributions, memberships


etc., whether money or property, movable or immovable, in the
form of debentures, stocks, securities, shares in any company or
society or any other entity by a person, living, or by legacy,
bequest, will or foundation and whether subject to special trust or
otherwise and to take steps for securing of such contributions,
gifts, donations etc. from time to time, as may be deemed
expedient.

(c) Take or receive any contributions being contributions made with a


specific direction that they shall form part of corpus of the trust.

(d) Alienate and/ or transfer by way of sale, mortgage, lease, release,


loan, charge, hypothecation, pledge, exchange, hiring out, gift or

otherwise, with or without security, any property or funds of the
trust, or any portion (s) thereof, including the making or giving of
subscriptions.

(e) Make contributions and/ or provide assistance of a pecuniary


nature or otherwise, to such institutions, bodies, or persons from
time to time, as may be deemed expedient.

(f) Lend money, free of interest, invest, lay aside, deposit in banks or
otherwise deal with the funds of the Trust not immediately
required for the purposes of the Trust and to subscribe to or
purchase, acquire, hold, sell, endorse and/ or negotiate in
debentures, stocks, shares and securities of every description
subject to the conditions / provisions prescribed under the
applicable laws of the land.

(g) Borrow or raise funds with or without security in any manner that
the Trust may think fit, create security by way of charge,
mortgage, hypothecation, pledge or any other form of
encumbrance on the assets of the Trust to secure the funds
advanced or facilities availed by the Trust.

(h) Negotiate with and enter in to agreements, with governments,


governmental institutions, companies, societies, trusts, or any
other entities or individuals, as would be conductive for the
promotion or accomplishment of the object of the trust and to
apply for, obtain, collect, receive, such grants, loans, allowances,
rights, concessions, and privileges, as may be deemed expedient
for the accomplishment of the objects of the Trust.

(i) To obtain necessary registrations, permissions, licenses,


authorizations from various government, semi-government,
regulatory and statutory authorities to pursue the objects of the
trust.

4. NUMBER OF TRUSTEES

a. The number of Trustees shall not be less than 2 and not more
than 9 persons. Sri Gottimukkala Srinivas Raju and Sri
Boppana Srinivasa Rao would be life time trustees. The initial
Board of Trustees shall nominate and invite person/persons
to be the other trustees for such period, as they may deem fit
and proper.

b. On an additional Trustee being appointed and on his / her


signifying acceptance in writing of his/ her appointment, the
Trust property shall automatically vest in him / her along with
the other Trustees for the time being and he/ she will be
entitled to carry on all the duties and functions of a Trustee
without any further deed or writing.

5. BOARD OF TRUSTEES

a. All the trustees together shall constitute the Board of Trustees for
the administration and management of the Trust. The management
of the affairs of the Trust shall vest in the Board of Trustees as per
the rules and roles assigned in By-laws. The trustees shall amongst
themselves nominate the following:

i. Managing Trustee;

ii. Secretary of the Trust; and

iii. Treasurer of the Trust.

b. Provided however that nothing contained in these presents shall be


deemed to prohibit any trustee from holding more than one position
as mentioned hereinabove.

c. The tenure in respect of each of the positions mentioned above


shall be 2 years. Provided further that a trustee, holding any of the
above positions shall be entitled, though not obliged, to seek re-
nomination to the same post.

6. MANAGING TRUSTEE

(i) The initial Board of Trustees shall nominate one amongst the
trustees as specified in clause 5 above to be the Managing
Trustee who shall be entrusted with the day to day
administration of the Trust under the guidance, control and
supervision of the Board of Trustees.

(ii) Mr. Vasu Vegiraju shall be the Managing Trustee.

(iii)The Managing Trustee shall be vested with powers such as


opening Bank Account(s) for and on behalf of the Trust, entering
into contracts and agreements, making applications, applying
for various registrations from concerned departments or
government authorities, executing documents for or relating to
purchase, acquisition, sale, lease, disposal of trust property,
issuing acknowledgement and receipts, endorse and/ or
negotiate various transactions in respect of the trust.

(iv) The Managing Trustee shall perform the duties and


responsibilities entrusted to him in the manner and subject to
the restrictions if any imposed upon exercise of such authority
by the Board of Trustees.

7. VACANCIES

a. Any vacancy among the Members of the Board of Trustees may be


filled by the initial trustees as specified in clause 5 above or by their

successors and they shall hold office for such duration as may be
specified by the Board of Trustees.

b. Any vacancy amongst the Trustees, arising due to the death of such
Trustee, shall be filled in by one of the legal heirs of such demised
Trustee. The legal heirs shall decide amongst themselves to
nominate one of them to fill in the post of the demised Trustee.

8. TERMINATION OF OFFICE OF THE TRUSTEES

A Trustee shall cease to hold office in case of:

i. death;

ii. resignation;

iii. if the trustee is adjudged insolvent or found guilty of an offence


involving moral turpitude.

iv. if the trustee is found to have acted against the interest of the
Trust.

v. if it is unanimously decided by the Trustees that his continuation


in the Office is detrimental to or against the interest of the Trust.

vi. Upon expiry of the period up to which the Board of trustees have
nominated the trustee.

9. MEETING AND PROCEEDINGS OF THE TRUSTEES

a. The Board of Trustees shall meet, at least, once every three months
or through electronic means at such intervals as may be deemed
necessary.

b. The Secretary shall in consultation with the Chairman, convene the


meetings of the Trust. However, any two or more Trustees may
request the Secretary/ Chairman to convene a meeting of the Trust
provided they also furnish to the Secretary / Chairman brief details
of the agenda for such meeting. In the event of the Chairman /
Secretary declining or failing to convene a meeting, as requested by
the Trustees, such Trustees, not being less than three in number,
may proceed to convene a valid meeting, subject to presence of
quorum, by issuing notices to the other Trustees, as provided for
hereinabove.

10. NOTICE

a. At least 7 days’ notice shall be given in writing for a meeting of


Board of Trustees. Such notice shall include details of the date,

time, venue, as well as a brief agenda of the issues proposed to be
discussed at the meeting.
b. However, a meeting of the Board of trustees can be called upon and
validly conducted on a shorter notice provided all the trustees agree
to such shorter notice convening the meeting.
11. QUORUM & VOTING RIGHTS

a. The Quorum for the Meeting of the Board of Trustees shall be 2/3 of
the total strength of the board of trustees (any fraction in such one-
third being rounded off to one) or two trustees whichever is higher.

b. In the event of absence of quorum, the proposed meeting shall,


automatically stand adjourned to the next week at the same day,
time and venue. The proceedings at such adjourned meeting shall
be deemed to be valid notwithstanding absence of quorum,
provided such adjourned meeting is attended to by a minimum of
two trustees.

c. Decisions taken by the Board of Trustees shall be by way of


resolutions passed at a meeting or by circular resolutions. Circular
resolutions to be valid must be circulated to all the trustees.
d. Each trustee shall have one vote and the Chairman shall have a
casting vote (in addition to his own vote) in the event of a tie. All
resolutions shall be passed by simple majority.

e. Provided further that important matters necessitating deliberations


by the trustees shall be placed at regularly convened meetings of
the trustees rather than by circular resolution. The Chairman shall
in consultation with the Secretary take a final decision in this
regard.

12. MINUTES

a. A minute book shall be maintained by the trust which shall record


proceedings at the meeting of the Board of Trustees and shall be
authenticated by the Chairman of the Meeting.

b. The Managing Trustee and or Secretary shall be responsible for safe


custody of the Minutes Book.

13. POWERS, FUNCTIONS AND DUTIES OF THE TRUSTEES:

(1) All property of the Trust acquired in future, both movable or


immoveable or of any other kind, shall vest in trust and the trustees
shall manage the whole property and affairs of the trust and shall be
deemed to have been vested with all powers, duties and functions
necessary to the promotion and carrying out of the objects of the
trust including maintenance of the trust property in good condition.

(2) In particular and without prejudice to the generality of the powers


vested in the trustees and not withstanding anything to the contrary
to the Indian Trust Act 1882, the Trustees shall for the purposes of
this Trust have the following powers, duties and functions:

a. To appoint a Committee / Committees of management for such
terms and with such powers as may be specified from time to
time, for carrying on the routine management of the affairs of
the Trust.

b. To appoint such employees on such terms and conditions as


the Trustees may deem fit for carrying out the work of the trust
and exercise control all such employees including the power of
suspension, dismissal and removal.
c. To make, sign and execute all such documents, instruments,
applications as may be necessary and proper for carrying the
management and affairs of trust.
d. The managing trustee is authorized to register this trust i.e.,
“MANALONI MANISHI FOUNDATION.”

e. To frame Bye-Laws and such other regulations as are required


for achieving its objectives.

f. To spend or incur the following expenses namely:

i. All rates, taxes, cess, assessments, dues and duties if any


payable to the government to any municipal or other public
bodies in respect thereof or any part thereof.

ii. The costs of ordinary repairs, maintenance, insurance


and for provision of any amenities to the trust property.

iii. Wages and salaries of any manager, supervisor,


accountant, clerk, servant or other employees employed
by the trustees in the carrying out of this trust.
iv. All other costs, charges and expenses of and incidental
to the management and administration of the trust
property in accordance with the objects and purposes
hereof or which may be incidental thereto.

(3) In addition to the above powers, the Board of Trustees shall be


entitled to undertake and exercise, in good faith and in the interests of
the Trust, all such acts, deeds, powers, authorities, etc., as may be
required for the furtherance of the Aims and Objects of the Trust.

(4) After deducting the costs charges and expenses incurred by the
trustee’s as aforesaid out of the total gross income received by them
from the trust property the balance that is the net income will be
utilized for the objects of the trust as decided by the board of trustees.

14. BANK ACCOUNT

a. The Managing Trustee shall open such Bank Account or Accounts


with any Bank in the name and style of “MANALONI MANISHI
FOUNDATION” and such accounts shall be operated by the
Managing Trustee until otherwise decided by the Board of Trustees
at any point of time in future.

b. Provided further that the trust may open Bank Account/s in the
name of institution/organization founded by the Trust by passing
necessary resolution at the meeting of the Board of Trustees. Such
Bank Accounts shall be operated by such persons as authorized by
the Board of trustees from time to time.

15. FINANCIAL YEAR AND ACCOUNTS

a. The financial year of the trust shall be the period commencing


from 1st April of every year and ending on 31st March of next
year.

b. The Managing Trustee, Secretary and Trustee shall be jointly


and severally responsible for maintaining true and correct
record of the receipts, payments incomes, expenses and
transactions of the Trust and the safe custody of all records of
the Trust, particularly those relating to its administration and
properties.

c. The Books of Account of the trust shall be audited by a


Chartered Accountant every year.

16. DEFECTS OF PROCEDURE IMMATERIAL

No act of Trustees shall be invalidated by reason only of any vacancy in


the Board of Trustees or any irregularity in the proceedings at the meeting
of the Board of Trustees or committee (s) thereof.

17. INDEMNITY

The Trustees shall be kept fully indemnified and harmless by the Trust
against any action or claim, loss suffered or liability arising against them,
on account of anything done by them in good faith pursuant to the powers
and authorities conferred upon them as Trustees of this Trust.

18. DISPUTE RESOLUTION

a. In the event of any disagreement or dispute amongst the Trustees


related to and/ or arising out this Trust Deed, the same shall be
referred, initially, for settlement to respectable person or an
institution well known for conducting arbitration mutually agreed
upon by the parties in dispute.

b. The arbitration proceedings shall be conducted only at Hyderabad


and shall be held in English language only.
c. The parties in dispute shall not initiate any legal proceedings so
long as the matter is pending for disposal by the Arbitrators. Only
the courts in Hyderabad shall have exclusive jurisdiction over all
matters arising out of this Trust Deed.

19. MISCELLANEOUS PROVISIONS

(a) The funds of the Trust shall be invested in the modes
specified under the provisions of Section 11(5) of the Income Tax
Act, 1961, as amended from time to time.

(b) No amendments to this Deed shall be made, which may


prove to be repugnant to the provision of Section 2(15), 11, 12, 13,
and 80G of the Income Tax Act, 1961, as amended from time to
time.

(c) This Trust is irrevocable.

(d) The benefits of the Trust shall be open to all, irrespective of


caste, creed, sect or religion.

(e) The fund and income of the Trust shall be utilized, solely,
for the achievement of its objects and no portion of it shall be
utilized for payment to the trustees by way of Profit, dividend,
interest, etc.

20. DISSOLUTION

In the event of dissolution or winding up of the Trust the assets of the trust
remaining on the date of dissolution shall not under any circumstances be
distributed among the Trustees, but the same shall be transferred to any
other Trust, Society, Association or Institution whose objects are similar to
those of this Trust and which have been recognized by the Income Tax
authorities under the provisions of the Income Tax Act.
