Time Charter Party for the Carriage of LNG


PART I NEGOTIATED CHARTERING TERMS
(Together with Parts II, III and Appendices shall form the entirety of the agreement)

Laydays/Cancelling The times and dates above shall be in local time at the place of Delivery in
Owners’ option. Delivery Window/Laycan is subject to agreed Charter Party
terms by 25th April 2021.
Charterers shall have the option of cancelling this charter if the Vessel is not
ready and at their disposal prior to the last date and time entered above.

A period commencing on delivery of the vessel to Charterers’ and in


accordance with the delivery provisions, for a firm period of 270 days.

Charter Period No extension of Charter Period for off-hire periods.

The Owner and Charterer will, periodically, discuss in good faith extending the
Charter Period. Such extension, if any, would be mutually agreed on between
the Owner and the Charterer.

Rate of Hire US$28,500/day or pro rata


United States Dollars
(US$) per day Charterers shall pay the full amount owing without deduction or withholding
for taxes.
Charterers’ obligation (Hire payments and fuel oil consumption) shall be
throughout the Charter Period.

Fuel and hire at a rate of US$20,000/day, for the notional voyage from last
discharge port (Singapore) to delivery location (Tema, Ghana).
For the purpose of calculating the Positioning Fee, the following parameters
shall be used:

- Speed & consumption: 12 knots & 42.7 MTS/day LSMGO (as per Form B)
- Bunkers: Per Fuel Price
- Hire: US$20,000/day

To the extent that the Owner has not secured a new charterer following the
Charter Period, the Charterer will compensate the Owner with Fuel and Hire
at a rate of US$20,000/day, for the notional voyage from last discharge port
Tema, Ghana to Jafrabad, India.

For the purpose of calculating the Ballast Bonus, the following parameters
shall be used:

- Speed & consumption: 12 knots & 42.7 MTS/day LSMGO (as per Form B).
The consumption cost of 42.7 MTS/day LSMGO, described in this Ballast
Bonus clause, will be excluded from the Ballast Bonus calculation in the
event the Owner exercises Owner’s option to have the Vessel redelivered
with LNG Heel as per Redelivery Condition clause.
- Bunkers: Per Fuel Price
- Hire: US$20,000/day

The Parties may address Heel and bunkers used during the charter in either one of the following ways:

If upon Redelivery (whether it occurs at the end of the charter or on the earlier
termination of this charter), the quantity of bunkers (which shall include fuel
oil, gas oil or any of their low sulphur equivalents) exceeds the quantity on
Delivery, Owners shall pay for such excess quantity at the Fuel Price. If the
quantity of bunkers upon Redelivery is less than the quantity of bunkers on
Delivery, Charterers shall pay Owners for the difference at the Fuel Price.
Bunker and Copies of the original suppliers’ invoices shall be made available where no Fuel

Reconciliation
If upon Redelivery (whether it occurs at the end of the charter or on the earlier
termination of this charter), the quantity of Heel exceeds the quantity of Heel
taken on Delivery, and Owners have declared their option to retain Heel, then

If the quantity of Heel upon Redelivery is less than the quantity of Heel on
Delivery, Charterers shall pay Owners for the difference at the LNG Price.

ShellLNGTime2 Part II, (LNG Form B) as attached is included in the terms of


LNG Form B this charter and represents Owners’ guarantees and warranties unless otherwise
stated in this Part I.

The agreed terms and conditions of this charter shall be recorded and evidenced
by the production of this ShellLNGTime2 Part I signed by both Charterers and
Owners (unless the Parties agree that confirmation by email shall suffice),
Charter Party together with Part II, LNG Form B, within 24 hours of the fixture being
Administration concluded. This shall state any amendments, additions or deletions to
ShellLNGTime2 Part III. No further written and signed Charter Party
documentation will be produced unless specifically requested by Charterers or
Owners, or as may be required by additional clauses of this charter.
H. Clarksons Co Ltd to receive 1.25% of all charter Hire and Hire element of
Brokers Positioning Fee and Ballast Bonus earned by Owner under this charter. The
brokerage fee is to be paid by Owner to Broker; and
Pace Marine Solutions Pvt Ltd to receive 1.25% of all charter Hire and Hire
element of Positioning Fee and Ballast Bonus earned by Owner under this
charter. The brokerage fee is to be paid by Owner to Broker.
Owners agree to provide STS equipment (equipment list attached) at hire rate of
