Dear Vishesh Mishra,

Further to your recent interview, I am pleased to offer you a position with our Company. This letter details the
particulars of the terms of your employment with Peritos Solutions & Consulting Pvt Ltd.

1. JOB TITLE

Your employment shall be as an IT Manager reporting to Vinita Kasliwal as well as to any other person
as may be required by the Company. All employees have a general duty to assist and further, the interest
of the Company in all ways reasonably asked of them. You may therefore be asked to assume additional
or special duties other than those for which you were specifically engaged, and you may also be required
to carry out duties for any other company which is associated with the Company. Your employment shall
otherwise be exclusive to the Company.

2. START DATE

Your employment with the Company shall commence on 08-01-2025.

3. BENEFITS

3.1 Compensation:

Your salary shall be payable monthly. Kindly refer to Appendix A for the detailed salary structure. All
payments to you will be subject to legally required withholding and such other agreed withholding as may
be agreed by you with the Company. Such withholdings may include contributions towards any company-
sponsored welfare plan, loan or insurance plan. The Company has the right to structure the components of
your salary in accordance with applicable laws and its policies.

None of your rights to receive any form of compensation payable pursuant to this offer may be assigned or
transferred except by operation of law. Any other attempted assignment, transfer, conveyance or other
disposition of your right to compensation or other benefits shall be null and void.

The Company will pay, or reimburse you for, all pre-approved, reasonable and adequately substantiated
expenses you incur in connection with the performance of your duties, provided that you obtain

appropriate advance approvals of such expenses.

3.2 Leave/Holiday Entitlement

You shall be entitled to earned leave and casual leave in accordance with the Company's leave policy. You
shall schedule your holidays and vacation in accordance with the best interests of the Company and shall
submit such dates for the prior approval of your Manager.

3.3 Performance Incentive

The payment of Incentives shall be in accordance with the Company’s rules and policies and shall be
entirely based on individual and Company performance.

4. RULES, POLICIES AND PROCEDURES

You must at all times comply with the Company's rules, policies and procedures. Such rules, policies and
procedures are incorporated by reference into this letter and by signing this letter you acknowledge and
agree that at its sole discretion: (a) such rules, policies and procedures may be modified by the Company;
and (b) the Company may formulate new rules, policies and procedures, and that any such modification of
the Company's rules, policies and procedures or such new Company rules, policies and procedures shall
also be incorporated by reference into this letter.

5. NON-COMPETE AND NON-SOLICIT

5.1 In the event of your resignation, you will not work for any directly competing Organization nor solicit
any employee of Peritos Solutions for a period of twelve months from the date of your leaving the
company without prior written sanctions of the Company. Additionally, you may not in any way, directly or
indirectly, for the purpose of conducting or engaging in any competitive business, call upon, solicit, advise
or otherwise do, or attempt to do business with any customer of the Company.

5.2 You hereby agree that the restriction imposed by the above Clause is reasonable given your
designation, compensation, the training that the Company may give you, etc. You also agree that the
Company shall be entitled to obtain any relief including any injunctive relief from any court in case you
breach or are liable to breach the said above clause. The Company may even write, etc. to any party in
order to protect its interest in such an event.

6. TERMINATION AND SUPERANNUATION

6.1 For the first 6 months, the notice period will be 7 days from both sides. After 6 months, both you and
the Company are free to terminate your employment relationship at any time by providing 15 days written
notice. In the event you serve less than the applicable notice period, you agree to pay the Company your

gross salary instead. The Company can terminate your employment with 15 days' notice, as applicable, or
remuneration (Gross salary only) in lieu thereof. However, please note that the Company reserves the right
to terminate your employment at any time without notice or payment, for cause, including misdemeanour,
misconduct or negligence, willful misconduct, repeated failure to comply with lawful directions, breach of
the Company's rules policies or procedures, breach of the terms of your employment, breach of a ny
representation made by you to the Company, unethical business conduct, breach of any statutory duty and
for any act or omission adversely affecting the goodwill, reputation, credit, operations or business of the
Company. Instances of misconduct shall include, but not be limited to, acts such as:

a. Habitual absence without leave for continuous seven days;

b. Fraud, misappropriation, or dishonesty in respect of the Company's property or business;

c. Commission of any act not in conformity with discipline or good behaviour e.g. sexual harassment,
violence, intoxication etc. or acceptance of illegal gratification;

d. Habitual neglect of work or gross or habitual negligence; and

e. Disclosure to any unauthorized person of any confidential or proprietary information of the Company.

6.2 If any declaration given or information furnished by you to the company proves to be false or if you are
found to have willfully suppressed or concealed any material information. In such cases, you will be liable
to removal from services without any notice.

6.3 The Company shall be entitled to terminate your services in the event you become disabled, which
would include your remaining sick for a period of [one (1)] month continuously or for an aggregate period
of [two(2)] months over a [one (1)] year period or in case you are unable to fulfill your duties because of
any physical or mental ailment/illness, in case you are unable to produce a medical certificate from a
medical practitioner appropriate for this purpose.

6.4 Upon termination of your employment, for any reason whatsoever, you shall immediately hand over all
papers, documents, security pass and/or identity card and other property belonging to the Company which
may be in your possession or custody, and hereby undertake not to make or retain copies in any form or
replica of any such items. Also, at the time of termination of your employment, the Company shall pay the
amounts accrued to you after making deductions, to the extent such sums are due to be paid by you to the
Company, within a period of 30 days of the termination of your employment, unless otherwise notified to
you by the Company.

6.5 Upon termination of your employment, you shall automatically vacate all offices held by you as a
result of your employment with the Company and also hand over any premises being leased or provided to

you for your benefit by the Company.

6.6 Depending on the duration of your employment with the Company, you may be entitled to statutory
payments at the time of termination of your employment with the Company. Upon such termination, the
Company shall pay you the amounts accrued to you after making deductions, to the extent such sums are
due to be paid to you by the Company.

6.7 Upon or prior to the termination of your employment, you hereby authorize the Company to deduct
from your salary (including holiday pay, sick/absence pay or any pay in lieu of notice) any amounts, which
are owed by you to the Company

6.8 You shall superannuate on attaining an age of sixty (60) years, unless an extension is granted by the
Company, in writing. For the purposes of this Clause your age shall be determined in accordance with
records kept by the Company.

7. CONFIDENTIALITY

You undertake to treat the Confidential Information as being strictly private during your employment with
the Company and thereafter shall not use or attempt to use, divulge, communicate or exploit the
Confidential Information partially or in whole to any third party to secure your or any third party benefit,
other than for the limited purpose of your employment as specified in this letter. Further, you shall not
copy or reproduce the Confidential Information or any part thereof, except with the prior written consent of
the Company.

You acknowledge that in the course of your employment with the Company, there may be some variations
or improvements upon the Confidential Information and agree and confirm that all such variations and
improvements upon the Confidential Information shall form part of the Confidential Information and shall
be the property of the Company.

You shall keep the Confidential Information in a secure condition and render all assistance required by the
Company to prevent and safeguard against improper use of the Confidential Information. Further, you
shall, on being directed by the Company, without demur or delay, immediately return the Confidential
Information furnished by the Company or any of its associated companies without retaining any copies
thereof. All analyses, compilations, data, studies or other documents prepared by the Company or any of
its associated companies shall be destroyed on the Company's express written direction to that effect.

All Confidential Information shall remain the property of the Company at all times. The disclosure of the
Confidential Information to you shall not be deemed to confer any rights on you in respect of such
Confidential Information or otherwise other than as provided herein. You agree and confirm that all the
Confidential Information is confidential, proprietary and valuable to the Company.

Prior Individual knowledge and skills pertaining to market, industry, competition, Technology, Product and
processes shall be included in the definition of Confidentiality / Non Solicit.

You acknowledge that damages alone would not be an adequate remedy for any breach of the provisions
of your obligations under this Clause 10 and, accordingly, without prejudice to any and all other rights or
remedies that the Company and/or its customers may have against you, the Company and/or its
customers, as the case may be, shall be entitled without proof of special damage to the remedies of
temporary or permanent injunction, specific performance and other equitable relief for any threatened or
actual breach of the provisions of this Clause 10.

For the purposes of this letter, "Confidential Information" means any and all information (whether
commercial, financial, technical or otherwise) relating to the Company or its customers and obtained or
provided to you by the Company, its employees or customers under this letter, whether orally or in writing
or whether eye readable, machine-readable or in any other form, including, without limitation the form,
materials and design of any software or equipment or any part thereof, the methods of operation and the
various such information), trade secrets, industrial processes, specifications, techniques, practices,
technical data, data relating to the price structure, sales and costing data, literature and procedures of and
relating to the Company's or its customers' business operations, database of pthe resent and prospective
customer list, proprietary information and documents relating to third parties, Company's business
strategy for the existing and future products and services including development, marketing, sale and
trading in such products and provided that such information is by its nature clearly confidential (whether or
not that information is marked or designated as confidential or proprietary). For the avoidance doubt, it is
clarified that the terms of this letter shall be deemed to be Confidential Information. Applications thereof,
processes, formulae, plans, business plans, strategies, data, know-how, ideas, designs, photographs,
drawings, specifications, technical literature, information relating to employees, suppliers and any other
material made available by the Company or gained during the employment period at the establishment of
the Company or at any of its branches whether before or after this letter is executed, for the purpose of
considering, advising in relation to or furthering any project (and any information derived from

8. INTELLECTUAL PROPERTY

In consideration of the salary received by you pursuant to this letter, you hereby assign to the Company in
perpetuity, free from all encumbrances, all the benefits, rights (vested, contingent and future), privileges,
interests and advantages, arising out of and in connection with the business and/or operations of the
Company in relation to all Intellectual Property, whether acquired or developed by you individually or in
conjunction with others (irrespective of whether such others are associated with the Company or not)
during your employment with the Company. You shall assist the Company, without any charge, but at the
cost and expense of the Company, to ensure the vesting of the Intellectual Property in the Company and
shall take all necessary actions and execute all documents to ensure such vesting.

For the purposes of this letter, "Intellectual Property" means without limitation, all (a) works of
authorship including computer programs, architecture, documentation, designs, files, records, and data;
(b) inventions, discoveries, improvements, and technology; (c) proprietary and Confidential Information,
trade secrets and know-how; (d) databases, data compilations and collections and technical data; (e) trade
names, trade dress, trademarks and service marks; (f) tools, methods and processes; (g) devices,

schematics, test methodologies, and hardware development tools; and (h) any and all instantiations of the
foregoing embodied in any media.

9. ADHERENCE TO IT POLICY

You shall be responsible for following the laid down IT policy of the Company. You will exercise diligence
and follow the correct laid-down operating procedure while using all the hardware including your
desktop/Lap Top, Printer, Scanner, Fax, EPBAX, Photo Copier etc. You will use the allotted official Email ID
for official purposes and official communication only and shall never transmit/communicate any text,
message or communication in any form which may be classified as derogatory, defamatory, leading to
harassment or sexual abuse to your colleagues, subordinates, seniors or any person having business
interest with the Company, or otherwise. You shall also be responsible for the safety and security of the
data, including but not limited to various software installed/copied in your desktop/laptop for the period
while such hardware/software is in your possession. You shall return all the allotted hardware and other
peripherals as the case may be to your supervisor, Manager immediately upon termination of your
employment with the Company. In case of any breach of the terms of this Letter in general or breach of
this clause in particular, the Company shall have an exclusive right to withhold your full and final
settlement and issuance of your relieving letter without prejudice to other rights and remedies available to
the Company under any other Act or Laws for the time being in force. You shall also keep the Company
indemnified against any loss or damage which it may incur due to your misconduct, or mishandling of the
said hardware and or peripherals during your employment.

10. ARBITRATION

All disputes, controversies or differences which may arise between the Parties, out of or in relation to or in
connection with this Agreement, which cannot be amicably resolved through negotiations within 60 days of
either the Company or you notifying the same in writing to the other, shall be finally settled in accordance
with the Arbitration and Conciliation Act, 1996. The Managing Director of the Company or any person
nominated by him shall act as the sole arbitrator to adjudicate the same. The place of Arbitration shall be
New Delhi. The decision of the arbitrator shall be final and binding on you and the Company.

11. MISCELLANEOUS

11.1 Waiver

No delay, failure or omission on the part of the Company to exercise any of its powers, rights or remedies
under this letter will operate as a waiver of them nor will any single or partial exercise of any such powers,
rights or remedies preclude any further exercise of them.

11.2 Severability

If any provision of this letter is held by a court of competent jurisdiction to be illegal, invalid or
unenforceable, the remaining provisions shall remain in full force and effect. Any invalid or unenforceable
provision of this letter shall be replaced with a provision which is valid and enforceable and most nearly

reflects the original intent of the invalid or unenforceable provision.

11.3 Disclosures

You confirm and agree that by accepting the terms of this letter, you declare that you have not been
arrested, convicted of, cautioned for, or charged but not yet tried with any offence or crime, even though
subject to a pardon, amnesty, or other similar legal action and there is no lawsuit, arbitration,
administrative or other proceeding or governmental investigation pending or, to the best of your
knowledge, threatened against you and that you have not been the subject of any adverse court judgment
which threatens your solvency or substantially compromises your financial security. If a judgment has been
made against you at any time before this offer of employment, you must disclose this fact to the Company,
if intending to accept employment with the Company. The Company reserves the right to terminate your
services without notice if, at any stage of your employment, it is discovered that such declaration is
materially untrue.

11.4 Survival

The provisions of Clauses 7, 8 and Clause 9 shall survive the termination, for any reason whatsoever, of
your employment.

To accept the terms and conditions of this letter, please sign and return a copy of the letter to the HR
Department. Should you have any questions regarding this letter, please do not hesitate to contact us.
